Dear Ms. Gobert:

By letter dated January 22, 2018, Shell Pipeline Company LP ("SPLC") received notice from the BSEE Pipeline Section that Cleopatra Gas Gathering Company, LLC ("Cleopatra"), as Right-of-Way Holder of ROW OCS-G24635, is required to submit to BSEE by February 2, 2018, documentation that the producing operator (BP Exploration & Production Inc.) agrees to the demarcation of Segment 14008 as approved by BSEE by letter dated August 21, 2008.

Segment No. 14008 originates at the Atlantis facility (GC787A) and includes the SCR portion of the pipeline and a horizontal section extending along the seafloor on the ROW several miles eventually terminating subsea in GC Block 739. As per the Safety Flow Schematic MGT-INT-B-14-HS-DRW-0003-1 (copy attached) previously approved by BSEE on August 21, 2008, the producing operator, BP Exploration & Production Inc., is responsible for the pipeline on the facility hull up to the SCR flex joint. The responsibility ofthe transporting operator (Shell Pipeline Company LP) begins at the lower face of the flange directly above the SCR flex joint.

By the attached letter dated January 25, 2018, BP Exploration & Production Inc. acknowledges their agreement with the aforementioned demarcation.

The notification identified the point of demarcation between the pipeline and the interconnect facilities on the Atlantis platform from which the pipeline originates, as well as the responsibility for operations downstream of the point of demarcation (Shell Pipeline Company LP, Company No. 02289) vs. upstream of the point of demarcation (BP Exploration & Production Inc., Company No. 02481), BP Exploration 8i Production Inc. submits this letter to confirm that it supports the point of demarcation and respective responsibilities indicated in Cleopatra's notification. BP Exploration 8t Production Inc. further agrees that a reference to the associated ROW (OCS-G24635) and Segment Number (14008) will be included in future submittals for the section of the pipeline for which BP is responsible.
