Memorandum from the Department of Planning and Community Development

TO: Aberdeen City Councilmembers THRU: Randy Robertson, City Manager FROM: Phyllis Grover, Director of Planning and Community Development DATE: September 6, 2018 RE: Results on the Expression of Interest (EOI) for the Aberdeen Family Aquatics Center Background: The Aberdeen Family Aquatics Center is approximately 11.18 acres zoned R-1 Low Density Residential with access off Robin Hood Road. Purchased for $285,000 with Program Open Space (POS) funds in November 1985. The City staff was approached by Coppermine Fieldhouse LLC to visit the aquatics center and later submitted their Letter of Intent to lease with an option to purchase the property. After their proposal was reviewed the City Council directed the City Manager and staff to pursue an Expression of Interest and determine the level of interest for acquiring and expanding the current uses of the facility. Expression of Interest (EOI) Process: Our Procurement Officer solicited an EOI for the Aquatics Center in the Baltimore Sun and on the City’s website. It was also sent directly to Coppermine Fieldhouse, the Boys & Girls Club of Harford County, the Y of Central Maryland, Huntley Sports Group, Black Bear Sports Group, The Arena Club, and War Horse Cities. The EOI is attached at enclosure 1. On August 16 a pre-proposal meeting was held and an on-site visit was conducted with the Y of Central Maryland. Prior to the scheduled pre-proposal meeting the City Manager and I met on-site with the owners of The Arena Club. Proposals were due on August 24, 2018. Results and Next Steps: One proposal was received from Coppermine Fieldhouse LLC (encl 2). The Y of Central Maryland ultimately forwarded an email indicating they would not be submitting a proposal. The Arena Club sent an email indicating they would not be submitting a proposal at this time. On the basis of the above, request Council determine it desires to sell and/or lease. If Council determines it desires further negotiations with Coppermine regarding terms, recommend adjourning for a closed session.

SALE OR LAND LEASE OF ABERDEEN FAMILY SWIM CENTER

REQUEST FOR EXPRESSIONS OF INTEREST (EOI)

CITY OF ABERDEEN, DEPARTMENT OF FINANCE

PROPOALS DUE: 24 AUGUST, 2018 BY 4:00 P.M. EST

The City of Aberdeen is seeking expressions of interest from individuals or firms interested in leasing or acquiring the Aberdeen Family Aquatics Center located at 615 Old Robinhood Road. The City is seeking interested parties to lease or acquire the 11.18 acre swim facility and expand the recreational uses to include multi-purpose field(s), enclosing the swimming pool to create a year round asset, and additional family-oriented activities.

1. Public Open Space linkage:

The site is located at 615 Old Robinhood Road, Tax ID# 02-057735, Harford County Tax Map 52, Parcel #0075, containing 11.18 acres, zoned R-1 Low Density Residential. This facility was acquired by the City of Aberdeen in 1985 with the Maryland Department of Natural Resource Program Open Space (POS) funds.

The Aquatics Center contains an extraordinarily well maintained 50-meter Olympic-sized swimming pool, the only one in Harford county, and tot pool. The office/bathroom facilities, storage building, playground equipment, large covered pavilion areas are in good condition. The large parking lot was resurfaced just last year. The entire facility and grounds have been mutually maintained by the Aberdeen Department of Public Works and leadership from the Aberdeen Aquatics organization and Boys and Girls Club since its acquisition. In the last four years, approximately $200k worth of documented equipment and improvements have been made across the campus.

The original facility and some renovations have been funded under the auspices of Maryland’s Department of Natural Resources (DNR) Program Open Space (POS). Several procedural steps are required for “Land Use Conversions” for park areas acquired with POS funds. Lands acquired with POS funds must adhere to DNR’s requirement to convert the land to another use or sell the land. All POS acquisitions for parks or open space are held in perpetuity unless the sale is approved through this process. POS funds were used for acquisition and construction of:

Aberdeen Family Swim Center – 11.18 acres zoned R-1 Low Density Residential; access off Robin Hood Road. Purchased for $285,000 with POS funds in November 6, 1985. In August 1997, the City used POS funds to construct a soccer field. The City received POS funding in October 2011 for upgrades to the swimming pool and baby pool and replacement of the playground structure ($63,000).

Step 1 - The Annotated Code provides that land acquired or developed under a State grant from POS may not be converted without written approval of the following Departments:

- Secretary of the Department of Natural Resources - Secretary of the Department of Budget and Management - Secretary of the Department of Planning

The City of Aberdeen is required to replace the land with land of equivalent area and of equal recreation or open space value, and for any conversion of land acquired or developed under a State grant from POS we must also conduct two appraisals. The purpose of the appraisals is to determine if the land proposed for acquisition is of equal or greater value than the appraised value of the land to be converted, under the new use of the converted land.

The regulations state the land use conversion must be equal in monetary value, equal in size and recreational value. We have to demonstrate a net positive benefit to the public for the land conversion to be approved.

Step 2 – Send an official letter to the Maryland Department of Natural Resource providing an overview of the City’s intentions to sell the Aberdeen Family Swim Center and replace the park use with the proposed amenities at another park with equivalent recreation or open space value.

NOTE: This process takes a minimum of six months from the time of submission of the two appraisals and justification.

2. Public Recreation & Enjoyment Connection

The second element outlined by the City for a lease or acquisition of the Aquatics Center is that interested parties will not only recognize the extraordinary possible financial value of this asset, but the social and recreational importance as well. As such, the Council desires to incorporate the summertime involvement of the Harford County Boys & Girls Club into any future plans for the facility. The Aberdeen Aquatics Center is a treasure for this community, and there has been a long-standing relationship between the city and community to maintain and use this resource during the summer for the betterment and enjoyment of its residents. The current means to sustain that seasonal relationship has been through the Boys and Girls Club. It is the intent of the City at this time that this connection be sustained into the future.

3. Primary Consideration:

The City of Aberdeen is especially interested that a future lessor or owner expand the uses and programming of the aquatics programs by covering or doming the pool and providing heated water so that the facility can be used on a year round basis. The City Engineer and other local firms have examined the possibility and cost of the above and determined it would not be an unreasonable task nor extraordinarily costly when weighed against the potential and possibilities of year round use. Aberdeen’s leadership would also like a new owner or lessor to examine and address the possibilities and costs of capitalizing on the collocated playing fields through the consideration of doming/covering and lights. Again, the intent is to maximize year round opportunities. The City acknowledges the unique conditions of this consideration and will actively entertain all offers recognizing and factoring financial considerations between the present value of the Center weighed against investments in the facility and grounds to transform it into a year round athletic site.

4. Other Considerations

a. The City is interested in receiving proposals from individuals or firms possessing the financial capabilities and business acumen to maintain the facilities and the vision to expand the current uses so that it is a viable asset for the Aberdeen community.

b. The City is interested in a competitively priced purchase or land lease offers.

c. Interested individuals or firms may seek additional agreements with adjoining property owners in

an effort to assemble more land to better accommodate the requirements of this EOI. Any such agreements must be stated in the response and verified with a letter of consent from the property owner(s).

d. The City seeks an individual or firm that is willing to accept the facilities and site “AS-IS”, who will address any and all issues as part of the sale or lease.

e. Proposals submitted should reflect the individual or firm’s familiarity with the provisions of the applicable zoning district, the City’s adopted 2011 Comprehensive Plan, and the recreation needs expressed by the City Council and the Aberdeen Parks and Recreation Committee.

f. Individuals or firms interested in this EOI must provide evidence of successful completion of projects with a similar scope and magnitude.

5. Process/Procedure

Interested individuals or firms will be asked to follow a specific process in preparing and submitting proposals for consideration:

a) Information gathering: In addition to reviewing applicable provisions of the City’s Comprehensive Plan and Development Code, applicants should familiarize themselves with the layout and history of the site.

b) A pre-proposal conference will be held on August 16, 2018 in the Aberdeen Municipal Center, 60 N. Parke Street, 2nd floor conference room, Aberdeen, MD 21001 at 1:00 P.M. EDT. The pre-proposal conference will be the opportunity for interested individuals or firms to raise questions regarding this solicitation. If at all possible it is requested that questions be submitted in writing to the procurement agent prior to the pre-proposal conference. All interested individuals or firms are encouraged to attend, but attendance is not mandatory for submittals.

c) Submission of a Proposal: Proposals are due by August 24, 2018 by 4:00 p.m.

d) Evaluation of Proposals by the City: The City will review all proposals received to determine the level of interest and notify potential bidders of the minimum qualifications and requirements to establish the basis for a Request for Proposal (RFP) that will be solicited thereafter. Once submitted all proposals become the property of the City of Aberdeen, Maryland. The City of Aberdeen reserves the right to any and all ideas included in the responses without incurring any obligations to the responding individual or firm.

6. Evaluation Criteria

In addition to the required elements identified in Item #2 above, the following factors will be a priority for the City in reviewing EOI’s:

a) Whether the EOI is likely to achieve the highest and best use for the Aberdeen Family Swim Center (e.g., economic viability, recreational value, etc.)

b) Qualifications and experience of the individual or firm. Such experience may be demonstrated through references and through information as to other projects of similar scope and size which were successfully implemented.

c) Financial ability to acquire or lease the property in a timely manner. Such ability may be demonstrated by presenting recent financial statements or through a statement of financial sufficiency from a known and established bank that demonstrates the financial capacity of the individual or firm.

7. Content of Proposals

Offerors must submit a complete response to this EOI. Each proposer must submit one (1) original and three (3) copies of its technical proposal with the original clearly marked.

Each proposal submitted in response to this EOI must contain, at a minimum, the following information:

a) Concept: The Offeror should present a concept of the project that should demonstrate the Offeror’s understanding of the City’s goal to improve the utilization of this asset to the community.

b) Programming: Additional programs to be offered at the facility and hours of operation.

c) An estimate of price to purchase or lease the facility.

d) A pro forma financial analysis that demonstrates the feasibility of the proposed project.

e) Each proposal should include the name, address, phone number, and type of project completed with at least three references.

CHAPTER 475, SUBDIVISION REGULATIONS 10 11

ARTICLE I. GENERAL PROVISIONS 12 13 §475-1. Title. 14 15 This chapter shall be known and cited as the City of Aberdeen Subdivision Regulations. 16 17 §475-2. Legislative Authority. 18 19 This chapter is adopted pursuant to the Local Government and Land Use Articles of the 20 Annotated Code of Maryland and the Charter of the City of Aberdeen. 21 22 §475-3. Purpose. 23 24 The purpose of the Subdivision Regulations is to establish procedures and standards for the 25 development and subdivision of land within Aberdeen. It is further designed to provide for the 26 orderly growth and development of the City; for the coordination of streets and highways within 27 proposed subdivisions with existing or planned streets and highways and with other public 28 facilities; for the dedication or reservation of recreation and other public use areas serving 29 residents of the subdivision; rights-of-way or easements for street and utility purposes; for the 30 distribution of population and traffic in a manner that will avoid congestion and overcrowding 31 and will create conditions compatible with protection of the public health, safety, and general 32 welfare, water quality and areas of significant/special natural features; and to facilitate adequate 33 provision for water, sewerage, roads, parks, and other infrastructure. 34 35 §475-4. Area of Authority. 36 37 These regulations and requirements shall apply to all development of land, including the revision 38 of existing development, as well as to subdivisions of land creating two (2) or more lots within 39 the corporate limits of the City of Aberdeen. Any subdivision having a part of its platted land 40 outside the corporate limits cannot have the plat approved by the City unless that land is annexed 41 into the City. This chapter shall be in addition to any other applicable regulations promulgated by 42 other agencies, whether stated herein or not. In case of conflict or overlap with other requirements 43 found within the Code of the City of Aberdeen or any other statute, the more stringent 44 requirement shall apply. 45

NOTWITHSTANDING THE PROVISIONS OF SUBSECTION B., WHEN A TRACT 1 OF LAND TO BE SUBDIVIDED ABUTS AN EXISTING CITY ROAD, THE 2 SUBDIVIDER SHALL, AS A CONDITION OF SUBDIVISION APPROVAL, DEED 3 TO THE CITY, IN FEE SIMPLE, BY SPECIAL WARRANTY DEED, A ROAD 4 IMPROVEMENT APPROPRIATE TO THE ROAD AND ITS FUNCTIONAL 5 CLASSIFICATION. WHEN THE TRACT FRONTS ALONG ONE SIDE OF THE 6 EXISTING ROAD, THE SUBDIVIDER SHALL DEED ALL OF THE REQUIRED 7 RIGHT-OF-WAY, CALCULATED FROM THE CENTERLINE OF THE EXISTING 8 ROAD, THAT IS REASONABLY NECESSARY FOR ROAD WIDENING. TITLE TO 9 ROAD IMPROVEMENTS SHALL BE GOOD AND MARKETABLE AND FREE OF 10 LIENS AND ENCUMBRANCES. 11

NO SUBDIVISION OR DEVELOPMENT SHALL BE APPROVED UNLESS IT 30 DIRECTLY ACCESSES TO AN EXISTING PAVED PUBLIC ROAD NETWORK. 31 ALL ROADS PROVIDING ACCESS FROM A SUBDIVISION OR DEVELOPMENT 32 TO AN EXISTING PAVED CITY, COUNTY, OR STATE ROAD SHALL BE 33 CONSTRUCTED TO THE APPROPRIATE ROAD SPECIFICATIONS BY THE 34 DEVELOPER. 35

(1) THE DEPARTMENT OF PLANNING AND COMMUNITY DEVELOPMENT, 7 THE DEPARTMENT OF PUBLIC WORKS, AND THE CITY ENGINEER, 8 SHALL HOLD A MEETING WITH THE APPLICANT OR ITS AGENT(S) TO 9 REVIEW A PRELIMINARY PLAT AND SITE PLAN PRIOR TO ANY 10 SUBMITTALS. 11 12

PRELIMINARY PLAT OR SITE PLAN AND MAKE RECOMMENDATIONS 9 TO THE MAYOR AND CITY COUNCIL. 10

11 (4) THE MAYOR AND CITY COUNCIL SHALL REVIEW THE PRELIMINARY 12

PLAT OR SITE PLAN AND TAKE INTO CONSIDERATION THE 13 RECOMMENDATIONS PROVIDED IN ACCORDANCE WITH 14 SUBSECTIONS B.(2) AND B.(3) BEFORE TAKING ACTION. 15

16 (5) THE APPLICANT SHALL COMPLY WITH CHAPTER 302 OF THIS CODE. 17

18 (6) UPON EXPIRATION OF ANY PRELIMINARY PLAT APPROVAL, ANY 19

REMAINING UNRECORDED LOTS ON ANY PORTION OF THE AREA 20 COVERED BY THE PRELIMINARY PLAT SHALL BE DEEMED NULL 21 AND VOID AND FUTURE SUBDIVISION OF THIS LAND SHALL MEET 22 THE REQUIREMENTS ESTABLISHED IN CHAPTER 235 OF THIS CODE. 23

24 (7) FOR ANY DEVELOPMENT EXCEEDING ONE HUNDRED (100) LOTS OR 25

A. 35 B. IN THOSE SITUATIONS WHERE THE PRELIMINARY PLAT IS APPROVED FOR 36

THE USE OF PRIVATE ROADS, THE FINAL PLATS SHALL CLEARLY INDICATE 37 THAT THE ROADS ARE PRIVATE AND SHALL BEAR THE NOTE, “THE CITY OF 38 ABERDEEN SHALL NOT IMPROVE OR MAINTAIN PRIVATE ROADS, AND 39 SUCH ROADS ARE NOT ELIGIBLE FOR CONVEYANCE TO THE CITY OF 40 ABERDEEN UNLESS THE ROADS MEET THEN-CURRENT ROAD DESIGN AND 41 MAINTENANCE STANDARDS. 22 B. IF A RECORD PLAT IS NOT RECORDED WITHIN ONE (1) YEAR FROM THE 23

DATE IT IS SIGNED BY THE MAYOR, THE PLAT IS VOID. 24 25 C. THE APPLICANT’S ENGINEER OR REPRESENTATIVE SHALL PROVIDE A COPY 26

MAIN STREET MARYLAND Main Street Maryland (MSM) is a comprehensive downtown revitalization program created in 1998 by the Maryland Department of Housing and Community Development (DHCD). The mission of the program is to accelerate the economic progress and revitalization of Maryland’s traditional main streets and neighborhoods. Using a competitive process, Main Street Maryland selects communities which have made a commitment to succeed and helps them improve the economy, appearance and image of their traditional downtown business districts. The primary objective of the Main Street approach is to foster economic development in the State’s core communities, preserving local historic and cultural resources while promoting new investment and business development. To accomplish MSM goals and objectives, DHCD has partnered with the National Trust for Historic Preservation and the National Main Street Center, which developed the Main Street Four Point Approach™ for commercial revitalization. Beginning in 2008, Main Street Maryland programs incorporated a Fifth Point: Clean, Safe, and Green. This 5-point approach emphasizes the importance of working simultaneously in the following areas: Organization: Building consensus and cooperation among the many groups and

individuals who have a role in the revitalization process. The Main Street approach to revitalization is a community-wide effort. A Main Street program must facilitate coordination between the public and private sector actors, while building capacity with people, funds, and local support.

Promotion: Marketing the traditional commercial district's assets to customers,

potential investors, new businesses, local citizens and visitors. Promoting and marketing a Main Street area will increase the neighborhood’s visibility. Main Street programs should market the area through events to increase retail sales, improve the area’s image, and to develop tourism opportunities.

Design: Enhancing the physical appearance of the commercial district by

rehabilitating historic buildings, encouraging supportive new construction, developing sensitive design management systems, and long-term planning. The Main Street approach to design incorporates historic preservation and involves improving buildings, signage, window displays, and streetscapes.

Economic Restructuring: Strengthening the district's existing economic base

while finding ways to expand it to meet new opportunities and challenges from outlying development. Main Street programs should assess challenges and opportunities for the downtown area, recruit businesses to fill vacant spaces, and encourage the mixed-use of commercial buildings; i.e. store-front commercial use and residential upper-story use.

Main Street communities should work to present a clean and safe commercial district through strategies such as expanding parks and playgrounds, implementing commercial recycling programs, and promoting energy and water efficient building improvements.

BENEFITS OF MAIN STREET MARYLAND DESIGNATION The Main Street Maryland Program offers technical assistance, training, and other commercial revitalization services to the State designated Main Street communities.

Develop an annual work plan based on the applicant’s vision and mission.

Provide and maintain an annual program budget that is comprehensive and achievable.

Engage and maintain broad-based community support and participation, including public and private sector support for the local MSM program. For nonprofit applicants, develop and maintain an active board of directors with fiduciary responsibility.

Maintain a historic preservation ethic in accordance with guidelines from the National Trust for Historic Preservation.

Provide requested data and submit reports to Main Street Maryland to track the applicant’s progress

Actively attend and participate in meetings, evaluations, and site visits coordinated by MSM/DHCD.

Participate and support Main Street Maryland promotion and marketing initiatives.

APPLICATION SUBMISSION REQUIREMENTS

DHCD/Main Street Maryland (MSM) accepts applications for designation on a “rolling” basis. Applications may be submitted throughout the year through the following process:

1. The local government must submit a Letter of Interest to the Main Street Maryland State Coordinator indicating their interest to apply. The letter should identify who the point of contact should be for the application process – either a representative of the local government or a representative from the nonprofit the city/town has identified as the organization to administer the local Main Street program should they get designated. Brief information on the proposed Main Street district boundaries should be included as well. Letters of Interest should be sent to:

2. Once the MSM program has received the Letter of Interest a site visit will be scheduled

to tour the proposed district and discuss with the local government and its nonprofit partner(s) how the local Main Street program would be administered.

3. Following the site visit, the MSM program will provide feedback to the point of contact

for the proposed Main Street and an application for designation may be submitted. Each applicant should submit two hard copies (one original and one copy) of the completed application with all required attachments. Hard copies should be submitted in three ring binders with sections separated by tabs – use the Required Attachments checklist as a guide for how the tabs should be created. In addition to the hard copies of your application, please submit on CD-ROM/Flash Drive a copy of the completed application (Word document and/or PDF) and required attachments as well as any pictures and/or maps. Pictures should be in a JPEG or EPS file format.

Approval

After applications are reviewed and the program staff makes award recommendations, approval of Main Street Maryland designations will be made by the Secretary of the Maryland Department of Housing and Community Development. MAIN STREET SELECTION CRITERIA Applications will be assessed based on programmatic criteria, including, but not limited to, the following factors:

Proposed MSM community is a definable traditional business district which contains historic architectural resources.

Applicants shall have demonstrated ability to implement or develop a commercial revitalization strategy.

Boundaries of the proposed Main Street area must be within a Sustainable Community as determined by the Maryland Department of Housing & Community Development.

Boundaries of the proposed Main Street area must be within a Priority Funding Area as determined by the Maryland Department of Planning.

Applicants shall be a local jurisdiction or local jurisdiction approved non-profit organization with evidence of a local historic preservation ethic, and commitment to historic preservation.

Applicants shall commit to developing an adequate local budget for implementing and administering the local MSM program with commitments from public and private organizations.

Applicants shall have a strong commitment from local government to provide sustained support for the local MSM program and the local MSM Manager. Applicants shall have strong support from private sector organizations and the local community.

Applicants shall have adequate organizational and financial capacity to implement and operate a local MSM program. For non-profit organizations and community development organizations, this includes the ability to create and maintain a volunteer board of directors and committees.

Presence of other revitalization designations, including but not limited to, local and national Historic Districts, Business Improvement District, Enterprise Zone, Heritage Area, Scenic
