BY-LAWSARTICLE I

NameThe name of this organization shall be "The

City Club of Baltimore, Incorporated."

ARTICLE II

ObjectThe object for which the City Club of Balti-

more is formed is the investigation and im-provement of municipal conditions and publicaffairs in Baltimore City; the establishmentand maintenance of a library of the literatureand statistics relating to public questions andmunicipal affairs; and the maintenance of thevarious and usual facilities of a social Clubfor the use of persons who desire to co-operatein the accomplishment of its purpose.

ARTICLE III

MembersSection 1. Election to membership in the

club shall be by vote of the Committee on Ad-missions. The said committee, however, shallnot act upon any name until the same shallhave been posted for at least two weeks in therooms of the club.

Sec. 2 The fiscal year of the club shall endon the 30th of September in each year.

Sec. 3. The amount of the annual dues shallbe fixed from time to time by the Board of Di-rectors of the club, but shall at no time exceedTen Dollars ($10.00) per annum.

Sec. 4. New members shall pay the annualdues upon election to membership and themember's year shall date from the first of thenext succeeding month after election to mem-bership.

Sec. 5. Persons residing more than twentymiles outside the city limits of Baltimore andhaving no office or place of business in Balti-more city may be elected non-resident mem-bers in like way and manner that regularmembers are elected. The dues of non-resi-dent members shall be $5.00 a year, payable inadvance.

Sec. 6. Membership in the City Club shallcontinue from year to year unless terminatedby resignation or action by the Board of Di-rectors as hereinafter provided.

Sec. 7. (a). Any member who shall fail topay his dues for a period of one month afternotice will be reported to the Board of Direc-tors and notified by the Secretary of his de-linquency.

(b). Any member who shall fail to pay hisdues for a period of one month after the abovenotice, will again be reported to the Board ofDirectors, and he may be notified by the Boardthat unless his dues in arrears be paid withinfifteen days his name will be posted on thebulletin board of the Club and the privilegesof the Club withdrawn.

(c). Any member whose name shall havebeen posted for non-payment of dues for aperiod of fifteen days may, in the discretionof the Board, be dropped from the rolls of theClub.

(d). Any member who has been droppedfrom the rolls for non-payment of dues may,in the discretion of the Board, be re-instatedon payment of all dues owing the Club at thetime of his dismissal with penalties equivalentto the dues that would have accrued duringthe period following his dismissal.

Any member who has been dismissed fornon-payment of dues may have the privilegeof making a new application for membershipunder the rules at any time, provided the duesowing the Club at the time of his dismissalhave been paid, this provision to becomeoperative after an initiation fee has been es-tablished by the Club.

(e). The resignation of a member will beconsidered by the Board of Directors onlyafter dues for the current year have been paidin full.

ARTICLE IV

OfficersSection 1. The officers shall be a President,

two Vice-Presidents, a Secretary and a Treas-urer, who shall be chosen by the Board of Di-rectors at its first meeting after election. The

President and Vice-Presidents shall be chosenfrom among the members of the Board of Di-rectors, and shall perform the duties usuallypertaining to their respective positions, andshall serve for a term of one year and untiltheir successors are elected and qualified. TheSecretary shall likewise be elected by the mem-bers of the Board of Directors, but he need notbe a Director. The Treasurer shall be a trustcompany of sound financial credit, to be chosenby the Board of Directors. The Secretary andTreasurer shall perform the duties usually per-taining to their respective positions.

Sec. 2. No person shall be eligible for re-election as President after a service of twoyears in such office until at least one year haselapsed since such time of service. The samerule shall apply to the re-election of a Vice-President to that office.

Sec. 3. The Board of Directors shall alsohave power in the absence of any of the regularofficers to choose officers pro tem.

Sec. 4. The Board of Directors of the firstyear, and thereafter, the club at its annualmeeting, shall elect a Nominating Committee ofseven persons, who shall nominate candidatesfor the Board of Directors and for a new Nomi-nating Committee at least thirty days prior tothe next annual meeting. Any twenty mem-bers may propose additional candidates in writ-ing to the Secretary at least twenty days priorto the annual meeting. The Secretary shallsend forthwith to the members of the club thereport of the Nominating Committee and thenames of any additional candidates and theirrespective proposers. No other candidatesshall be nominated at the annual meeting.

ARTICLE V

Board of Directors

Section 1. The Board of Directors electedfor the first year shall have power to fill exist-ing vacancies, if any, and all others that mayoccur during the year. This Board shall divideits members into three groups of eight, eightand nine members, respectively, which shallserve one, two and three years, respectively.

Thereafter at each annual meeting Directorsshall be elected to serve for three years. Noperson shall be eligible for re-election to theBoard of Directors after a service of a full termof three years until at least one year haselapsed since such time of service.

Sec. 2. The Board of Directors shall havefull power and authority to manage the cluband its affairs, but subject to the instructions ofthe club as given at any annual or special meet-ing. It may provide for methods of calling itsown meetings, may make rules and regulationsregarding the use of the club and its property,and may fix the amount of the annual dues andthe methods of collecting the same; but theamount of the annual dues shall at no time ex-ceed the sum of Ten Dollars ($10.00) for eachmember, which shall be paid in advance. Itshall elect from its own number or from theclub at large such committees as it deemsproper, and shall prescribe the duties of suchcommittees. It shall provide for what offensesand in what manner members shall be liable tosuspension or expulsion from the club. In thecase of a vacancy or vacancies arising amongthe officers or among the members of the Boardof Directors, the remaining members of saidBoard shall have the power to fill such vacancyor vacancies until the next annual meeting.

ARTICLE VI

Executive CommitteeThe Board of Directors at the first meeting

after election shall create an Executive Com-mittee of seven persons, which shall consist ofthe President, Vice-Presidents and Secretary ofthe club and of three other members of theBoard of Directors. Said Executive Committeeshall be vested with all the powers of the Boardof Directors during the intervals between Boardmeetings, and may provide for methods of call-ing its own meetings and for a quorum thereat.

ARTICLE VII

MeetingsThe annual meeting of the club shall take

place on the second Monday in October in each

year at 8 P. M., at which meeting the regularofficers shall be elected to serve for the termsherein prescribed and until their successors areelected and qualified. A special meeting maybe called at any time by vote of the Board ofDirectors or of the Executive Committee, andshall be called by the President or Secretary atthe written request of twenty-five members;and the purposes of the meeting shall be statedin the call. At least three days' notice of anymeeting shall be given to the members. Thefiscal year shall begin on October 1st and endon September 30th of each year.

ARTICLE VIII

AmendmentsThese By-Laws may be amended by a ma-

jority vote of the members present at anymeeting of the club, providing that the callfor said meeting shall have indicated whichBy-Law or By-Laws are proposed to beamended and the substance of the proposedamendment. It shall, however, be lawful forthe form of the amendment as well as itspurport to be fixed at the meeting.

Rules Governing Committee on Admissions

Until further order of the Board of Direc-tors, the Committee on Admissions shall actunder the following rules, namely:

1. The Committee shall choose its own offi-cers, determine its times of meeting and fix itsrules of action, save as herein provided. Itsmeetings shall be regarded as executive ses-sions.

2. A majority of the Committee shall con-stitute a quorum.

3. No name shall be voted upon until it shallhave been posted in the rooms of the club forat least two weeks.

4. One negative vote shall prevent favor-able action on any person considered for mem-bership.

5. The following shall be the general courseof procedure for the election of new members,namely:

Any proposed new member shall be recom-mended to the Committee by some member ofthe club with facts and references indicatinghis fitness for membership and facilitating cor-roborative inquiry among other members.

The Committee shall thereupon satisfy itselfconcerning the person suggested, and, if he isfound desirable, shall so notify the proponent.It shall then be the proponent's duty to ascer-tain and advise the Committee whether or notthe person in question desires to become amember of the City Club. On receipt of suchaffirmative advice the Secretary shall notifysuch person that the Club tenders him aninvitation to become a member, and on his ac-ceptance he shall be duly enrolled and notified.

The Committee shall not be required to makeany report to the proponent or anyone else incase of a person not approved by the Com-mittee.

6. It shall still be competent for the Com-mittee in its discretion to extend invitations tomembership--in accordance with the prevailingprocedure heretofore--without preliminary ad-vice to the proponent that the person proposedhas been approved by the Committee, and with-out advice from the proponent that such personwould be pleased to become a member.

HOUSE RULES.

1. A House Committee of not more than fivepersons shall have full charge of the clubhouseand the property of the club, subject, however,to the Executive Committee.

2. No subscription or other notice (exceptofficial notices of the club) shall be posted orcirculated in the club without the permission ofthe House Committee.

3. No member shall write upon club station-ery or address from the club any communica-tion intended to appear in any newspaper,periodical or other publication, without the au-thority of the Board of Directors.

4. No member shall give any gratuity to anyemploye of the club or send any employe out-side the clubhouse. Any employe receiving a

fee or gratuity in violation of this rule will beat once dismissed.

5. The House Committee "shall provide aregister or visitors' book for the names of visit-ors to the club and of members introducingthem, as hereinafter provided.

6. All persons not members of the club whoreside twenty miles or more beyond the limitsof the city of Baltimore and have no customaryplace of abode, business or study in Baltimoreor within such twenty miles shall be consideredstrangers. The House Committee may by voteextend the privileges of the club to a strangerduring his visit to the city; and may, at thewritten request of any member of the club,issue a written invitation to any stranger, con-ferring such privilege for not more than twoweeks, but no further length of time in anyone fiscal year without the vote of the Execu-tive Committee.

7. Any member may introduce a visitor (nota stranger) to the club for one day only, butshall not introduce the same visitor oftenerthan once in two weeks, and shall register im-mnediately upon entering the name and resi-dence of such person, the date and his ownname in the visitors' book or register kept forthat purpose.

8. The clubrooms may be used as a place ofmeeting by outside persons and organizationswhen the object of such meeting shall not be in-consistent with the purposes of the club, andwhen such meetings shall not interfere with theuse and enjoyment of the rooms by club mem-bers. The consent of the House Committeeshall be required for holding any such meet-ings. All persons, whether residents or non-residents, whether men or women, who aremembers of committees or organizations sousing the clubrooms for meeting purposes shallbe welcome during such meetings, and it shallnot be necessary for them to be registered asvisitors.
