The Regular Meeting of the Holtville City Council was held on, Tuesday, May 29, 2018 at5:30 p.m. in the Civic Center. Council Members present were Richard Layton, Mike Goodsell and JimPredmore. Ginger Ward and David Bradshaw were absent. Staff members present were Nick Wells,Raquel Zinn, Kariza Preciado, and Alex Silva. City Attorney Steve Walker and City Treasurer George

CITY COUNCIL CONSENT AGENDA: 1. Approval of the Minutes from the City Council Meeting of Monday, May 14, 2018. 2. Current Demands #38851 thru #38911

A motion was made by Mr. Goodsell and seconded by Mr. Predmore to approve Consent Agenda. The motion was carried in the form of a roll call vote. AYES: Layton, Goodsell, Predmore NOES: None ABSENT: Ward, Bradshaw ABSTAIN: None

REPORTS OF OFFICERS, COMMISSIONS, COMMITTEES, AND COMUNIQUES:

Ms. Zinn announced that the Ice Cream Social is going well and invited council members to attend. Ms. Preciado celebrated her grandfather’s 83rd birthday. She will be attending the annual PERMA meeting next Thursday. Mr. Silva announced that he will be in training over the next couple of weeks. Mr. Goodsell attended the Airport Land-Use Commission. He pointed out the antennas near the movies in Imperial and netting nearby. He also attended the Memorial Day Ceremony. Mr. Layton attended the Memorial Day Ceremony. He informed the council of the 33 crosses laid out for being a small town. Mr. Predmore attended the ICTC meeting and went over the 2018-19 budgets. He will be leaving town to NYC on business. Mr. Walker attended the El Centro Memorial Services on Monday, May 28th. Mr. Wells had nothing to report.

UNFINISHED BUSINESS: None NEW BUSINESS: 3. Discussion/Related Action to Adopt RESOLUTION #18-16 Authorizing the Establishment

of an Account with the California Department of Justice to Conduct Fingerprint Background Checks for New-Hire Employees.

Mr. Wells informed the council that the previous personnel technician had clearance to receive background checks. The account was deleted which delays the hiring process. Establishing a new account could take months. A motion was made by Mr. Predmore and seconded by Mr. Goodsell to approve RESOLUTION #18-16 authorizing the Establishment of an Account with the California Department of Justice to Conduct Fingerprint Background Checks for New-Hire Employees. The motion was carried in the form of a roll call vote. AYES: Layton, Goodsell, Predmore NOES: None ABSENT: Ward, Bradshaw ABSTAIN: None

4. Discussion/Related Action to Adopt RESOLUTION #18-17 Adopting a Revised Job

Description for the Position of City Clerk. Nick Wells, City Manager

A motion was made by Mr. Goodsell and seconded by Mr. Predmore to approve RESOLUTION

#18-17 to Adopt a Revised Job Description for the Position of City Clerk. The motion was carried in the form of a roll call vote.

INTRODUCTION OF NEW PERSONNEL: Mr. Silva introduced three new fire personnel; Mr. Wells introduced City Hall’s new personnel technician, Haley Dowsey. 5. Discussion/Related Action Regarding the Appointment of an Interim City Clerk.

INTRODUCTION & HISTORY

During February 2018, the Planning Commission had an opportunity to review and interpret the use of Cargo Containers as responsibility delegated under the Holtville Zoning Ordinance. The Planning Commission determined in February that Cargo Containers are prohibited in residential zones and only allowed in Industrial Zones by right and allowed only under a Conditional Use Permit in the General Commercial Zone. The City Council affirmed these findings and initiated a zoning text amendment to expressly reflect restricted use of cargo containers. The Planning Commission held the first public hearing regarding the proposed text amendment on April 16, 2018 and adopted Resolution 18-05 recommending adoption of the proposed text amendments to City Council. City Council introduced and waived the first reading of Ordinance No. 491 on May 14, 2018 (Exhibit A). The purpose of this staff report is to consider formal adoption.

ISSUES FOR DISCUSSION

Purpose & Background

Metal cargo shipping containers which are primarily used to transport freight by ship, truck, or rail are becoming increasingly popular for general storage purposes. The metal cargo containers are intended for industrial use and the installation and use of cargo containers in certain zones has been perceived by the Holtville Planning Commission and the Holtville City Council as a visual blight upon the community. City Staff has initiated abatement of cargo containers in residential zones and in some downtown district properties, actions which have been contested by some property owners.

The Planning Commission considered whether to classify the unlisted use (cargo container) and permit them with or without conditions. The Planning Commission, as affirmed by the City Council, found that the use of Cargo Containers in residential zones would not be able to meet any of the required findings as a similar use and instead the following was noted:

1. The use of cargo containers would not further the objectives of the residential zones, and

2. Field investigations disclosed that the subject use and its operations are not compatible with the uses permitted in the residential zone, and

3. The subject use was not similar to one or more uses permitted in the residential zones where the use was proposed to be located, and

4. The subject use may cause reduction in the value of the property in a residential zone within which it was proposed to be located or in any abutting zone.

The Planning Commission further noted that Cargo Containers are allowed by right only in the industrial zone and with a conditional use permit in the General Commercial Zone. Installation would continue to require a building permit. In order to clarify any ambiguity, zoning text amendments to clarify restrictions have been initiated by the City Council via a proposed text amendment. The Planning Commission held the first Public Hearing on April 16, 2018. There were public comments received at the hearing and the Commission is recommending adoption of the Zoning Text Amendments via PC Resolution 18-05.

Proposed textual amendments specifically affect Chapter 17.10 General Regulations and Requirements which is where the textual amendments are proposed. The potentially affected sections and references were noted at the previous Council Meeting and found acceptable by Council and reiterated in the table that follows:

“Cargo Container” means an industrial, standardized reusable metal vessel that was originally, specifically, or formerly designed for or used in the packing, shipping, movement or transportation of freight, articles, goods or commodities by commercial trucks, transit, rails and/or ships. A cargo container modified in a manner that would preclude future use by a commercial transportation entity is still considered a cargo container.

Outdoor Storage Areas A. Outdoor Storage- Outdoor storage areas in industrial and

commercial zones shall be entirely enclosed by solid masonry walls not less than six feet in height to adequately screen view of outdoor storage areas from the external boundaries of the property. In lieu of a solid masonry wall, a view obscuring fence, not less than six feet in height, with a minimum, landscaped, lot-line setback of three feet may be allowed at the discretion of the Planning Commission. (Ord. 441 § 1, 2000).

B. Enclosed Storage- The Use of Cargo Containers is prohibited in all zones except the 1-1 Industrial Zone (with a building permit) and the C-2 General Commercial Zone (with a building permit and under a Conditional Use Permit). Except that the use of Rail/Cargo Containers may be temporarily allowed in all zones with a temporary use permit for the purpose of supporting construction activities or moving/relocation activities. An active building permit must be provided to substantiate construction activities and proof of second address must be provided to substantiate relocation activities in order to secure any temporary use permit.

C. Municipal Storage-For the purpose of public benefit including and not limited to the health, safety and general welfare of City residents, the use of Rail/Cargo Containers by the City of Holtville and within City owned property shall be further exempt, except that a building permit shall continue to be required

To allow application of all storage area standards and not just outdoor.

To clarify existing ambiguity regarding the use of rail/cargo containers within all zones.

To exempt the City properties, including public works yard and open space areas where cargo containers exist.

General Plan Consistency

Zoning Ordinances, and any changes thereto, must be consistent with the General Plan (Government Code §65860(a)). As such, any recommendation from the Planning Commission must ensure that the proposed changes are consistent with the City of Holtville adopted General Plan. A zoning ordinance is consistent with a City’s General Plan when the ordinance furthers the objectives and policies of the general plan and does not obstruct their attainment. Staff has identified no inconsistencies between the General Plan and the proposed text changes restricting cargo containers. It is Staff’s conclusion that the proposed Zone Text Amendment is consistent with the General Plan and will not adversely impact any of the adopted goals or objectives as per findings presented in May staff report.

ENVIRONMENTAL

The textual amendments to the zoning ordinance are exempt from California Environmental Quality Act (CEQA). Pursuant to CEQA requirements a Notice of Exemption was filed with OPR on October 11, 2016, citing exemption per Section 15061 (b) (3) General Rule. Under this General Rule, if it can be seen with certainty that the project does not have potential for causing a significant effect on the environment it is not subject to CEQA.

PUBLIC NOTICING

Pursuant to Section 17.64.020 2. of the Holtville Zoning Ordinance, a change in the text of the regulations may be initiated by the Planning Commission or City Council subject to Public Hearing. The amendments proposed were initiated by City Council at the March 12th meeting. A Public Hearing notice was posted on March 26, 2018 at least ten days prior to the Planning Commission Hearing date of April 16, 2018. A second Public Hearing Notice before the City Council was also published in the Holtville Tribune on April 27, 2018. There were no public comments made at the May 14, 2018 Public Hearing, nor were any written comments received.

RECOMMENDATION AND PENDING ACTION

Pursuant to Section 17.64.150 of the Zoning Ordinance, the City Council may adopt by Ordinance the proposed amendment. The City Council may modify the amendment provided the proposed modification is referred back to the Planning Commission for a recommendation on proposed modifications. The City Council should consider the following actions via Resolution 18-18 (Exhibit B):

1. Adopt Resolution 18-18 formally adopting Ordinance 491, as presented, amending the Holtville Zoning Ordinance with respect to Cargo Container restrictions.

2. Not adopt Resolution 18-18 or Ordinance 491 and provide alternative directive to staff.

AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF HOLTVILLE AMENDING TITLE 17 (ZONING) OF THE HOLTVILLE MUNICIPAL CODE

RELATED TO CARGO CONTAINERS USE

WHEREAS, the City Council previously affirmed the Planning Commission’s interpretation of the zoning code determining that cargo containers are not listed in the permitted uses and therefore prohibited in all residential zones as cargo containers are inconsistent with the intent and character of the residential zone; and

WHEREAS, it was further determined by the Planning Commission and affirmed by City Council that cargo containers are allowed only under certain conditions in the C-2 General Commercial Zone and by right in the Industrial Zone;

WHEREAS, a cargo container is defined as an industrial, standardized reusable metal vessel that was originally, specifically, or formerly designed for or used in the packing, shipping, movement or transportation of freight, articles, goods or commodities by commercial trucks, trans, and/or ships. A cargo container modified in a manner that would preclude future use by a commercial transportation entity is still considered a cargo container; and

WHEREAS, zoning text amendments were drafted to clarify any ambiguity, incorporated as Exhibit A; and

WHEREAS, a duly noticed public hearing was held by the Planning Commission at its regular meeting on April 16, 2018 where the Commission recommends via Planning Commission Resolution 18-05 that Council Adopt the Zoning Text Amendments; and

WHEREAS, a duly noticed public hearing was held by the City Council at its regular meeting on May 14, 2018; and

WHEREAS, the City Council reviewed all pertinent facts in evidence and found that:

(a) The above stated recitals are incorporated as findings, and

(b) The proposed amendments are consistent with the objectives of the Holtville General Plan and development policies adopted by the Holtville City Council, and

(c) The adoption of this ordinance is exempt from CEQA review per section 15061 (b)(3), and a Notice of Exemption has been filed; and

(d) The use of cargo containers would not further the objectives of the residential zones; and

(e) Field investigations disclosed that the subject use and its operations are not compatible with the uses permitted in the residential zone; and

INTRODUCTION AND BACKGROUND

The City of Holtville received $20,000 from the County Community Benefit Program for the purchase of identification/welcome signs for the Holtville Wetlands Project which must be expended by the end of June 2018. The Holtville Alamo River Wetlands Project has been a long-time collaboration among the City of Holtville, the Imperial Irrigation District (IID), the County of Imperial, the Salton Sea Authority (SSA), the local wildlife conservation group Desert Wildlife Unlimited (501.3c), and the Bureau of Reclamation. It is anticipated that the project will be under construction in the Fall of 2018, thus coordination of signage for the planned improvements is timely. The City Manager asked staff in late April 2018 to procure three quotes. The purpose of this staff report is for City Council to review the quotes received from solicited companies and authorize the purchase of signage.

ISSUES FOR DISCUSSION

Sign Design -Design of the sign is similar to the existing sign for the Pete Mellinger trail which is composed of a ½” thick steel sheet with reverse-cut graphic representation of the Alamo River and the words “HOLTVILLE ALAMO RIVER WETLANDS” (see Exhibit A – Holtville Wetlands Detail). The City’s logo is included on the sign (ceramic), along with informative text describing the wetlands process and purpose. The Holt Group prepared a brief Request for Quotes to accompany the aforementioned detail. The sign is

6’-5” x 5’-6” mounted on 8’ tall posts. The sign is not proposed to be fully assembled but rather only delivered to the Public Works Department, at the request of management. Please refer to Exhibit B-Request For Quote.

Quote/Bid Results- A copy of the request was first issued to six sign companies on May 7, 2018 with no proposals received. The request was solicited a second time on May 25, 2018 to four sign companies and four contractors. There were three proposals submitted within the requested deadline. Please refer to the following table for the three quotes received.

The lowest quote received is from First Signs at a cost of $2,890.00. Quotes requested and received are for a single sign only. Please refer to Exhibit C – First Sign Proposal. The cost of installation was specifically excluded from the Request for Quote, however, A&N’s quote does include installation at prevailing wages. Due to the low cost of the sign and availability of grant funds, multiple signs may be purchased. Planning Staff is recommending the following locations from north to south, and as further noted in Exhibit D-Wetlands Sign Locations Map.

1. Alamo Road Bluff and Future Wetlands Look-Out-Welcome/Informational Sign 2. At Holtville Wetlands next to IID Drop-Informational Sign 3. Zenos Road Access to Wetlands for Vehicle Use (Monitoring & Maintenance) 4. North of Trestle Bridge at existing Trail Split and planned future link (pedestrian access) 5. At Earl Walker Park to Replace Existing Sign to Welcome Visitors to Staging Area where Parking

for pedestrian access is provided.

FISCAL IMPACT The cost of five signs is estimated to be $14,450. The cost, in addition to nominal procurement services provided by The Holt Group, Inc. would be submitted for reimbursement. It is anticipated that all costs will be within the $20,000 budget. PENDING ACTION & RECOMMENDATION

It is recommended that the City Council consider authorizing staff to move forward with sign purchase and requests for reimbursement via Resolution 18-19 (Exhibit E) the following actions:

1. Adopt Resolution 18-19 authorizing the purchase of five signs from First Signs at a cost of $2,890.00 each and authorize the City Manager to execute any related documents.

Wetlands are nature's own water purifiers. As polluted water from the Alamo River flows through the wetland, many of the suspended solids become trapped by vegetation and settle out. The wetlands foster the necessary conditions for microorganisms to transform and remove pollutants from the water. As result of these and other processes, the water that eventually flows out of the Holtville wetland is cleaner.

The Alamo River flows northward through the Imperial valley before feeding into the Sonny Bono Salton Sea National Wildlife Refuge Complex.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF HOLTVILLE AUTHORIZING THE PURCHASE OF HOLTVILLE WETLANDS SIGNS FROM FIRST SIGNS

TO BE REIMBURSED UNDER THE IMPERIAL COUNTY COMMUNITY BENEFIT PROGRAM

WHEREAS, the City of Holtville has worked collaboratively with the Imperial Irrigation District (IID), the County of Imperial, the Salton Sea Authority (SSA), the local wildlife conservation group Desert Wildlife Unlimited, and the Bureau of Reclamation for the development of a wetlands project along the Alamo River; and

WHEREAS, the City of Holtville has entered into a Financial Agreement with the United States Department of the Interior Bureau of Reclamation to develop the Holtville Alamo River Wetlands Project under Grant Agreement R16AP00046 scheduled to begin construction in the Fall of 2018; and

WHEREAS, the City of Holtville was also awarded $20,000.00 from the Imperial County Community Benefit Program for the purchase of signage for the Holtville Alamo River Wetlands Project; and

WHEREAS, the Request for Quotes were distributed to General Contractors and Sign Contractors on May 25, 2018 which resulted in three responsive proposals; and

WHEREAS, the City of Holtville received and reviewed three quotes and would like to select the lowest responsible bidder First Signs in an amount of $2,890.00 per sign.

NOW, THEREFORE BE IT RESOVLED BY THE CITY COUNCIL OF THE CITY OF HOLTVILLE, that the City Manager is authorized to purchase up to five signs from First Signs at a cost of $2,890.00 each, and authorizes the City Manager to approve change orders not to exceed ten percent or the grant budget available.

DISCUSSION: The Citywide Street Rehabilitation Project is currently projected to cost approximately $3.1 million,most of which the City plans to finance with Transportation fund bonds, payment of which will comefrom future LTA revenues. Although the documents have been drawn up by the bond underwriters reflecting the full bonding capacity of the City (approximately $5 million), staff has communicated to them that the City will most likely cap the debt to be incurred at the total of the indicated project.

The City currently has nearly $1 million in cash on hand in the various City Transportation funds, however this commitment of a large portion of the future LTA revenue stream to annual debt service payments would restrict flexibility with upcoming projects, from a matching funds perspective, for project cost overruns and projects not funded by grants. In fact, the Citywide Rehab project itself still has to be bid out and may or may not come back at a higher sum, which could most likely be absorbed with the aforementioned cash on hand.

At this point there are still several steps to b completed prior to issuing the Bonds, including the final upcoming action by ICTC. Tonight's action will, however, pledge Holtville's commitment to participating in the County-wide financing endeavor.

FISCAL IMPACT Will provide the City with approximately $3 million to complete the Citywide Pavement Rehabilitationproject, committing a portion of LTA revenue to debt service for the subsequent 15 years.

CITY MANAGER RECOMMENDATION It is recommended that the City Council approve the resolution.

HOLTVILLE CITY COUNCIL RESOLUTION NO. 18-20

A RESOLUTION OF THE HOLTVILLE CITY COUNCIL APPROVING A

PLEDGE AGREEMENT AND AUTHORIZING AND DIRECTING CERTAIN ACTIONS WITH RESPECT THERETO

WHEREAS, in 1989, the Imperial County Local Transportation Authority (the “Authority”), adopted LTA Ordinance No. 1-89, the Imperial County Retail Transactions and Use Tax Ordinance (the “1989 Ordinance”), which, following voter approval of a ballot measure on November 7, 1989, authorized the implementation of a half-cent transactions and use tax within the County of Imperial (the “Measure D Sales Tax”); and

WHEREAS, in 1990, the Authority adopted Ordinance No. 1-90 (the “1990 Ordinance”), which detailed those transactions and uses that would be subject to the Measure D Sales Tax; and

WHEREAS, on July 28, 2008, the Authority adopted Ordinance No. 1-2008 (the “2008 Ordinance”), which extended the Measure D Sales Tax for a period not to exceed forty (40) years from April 1, 2010; and

WHEREAS, under the 2008 Ordinance, the City of Holtville (the “City”) is entitled to receive a portion of Measure D Sales Tax revenues allocable to the City (the “Holtville Sales Tax Revenues”) as specified in an allocation formula set forth in the 2008 Ordinance; and

WHEREAS, the Authority intends to finance certain transportation projects for the City described in the County of Imperial Retail Transactions and Use Tax Expenditure Plan (the “Project”) by issuing its Imperial County Local Transportation Authority Sales Tax Revenue Bonds (Limited Tax Bonds), in one or more series, which shall be payable only from the Holtville Sales Tax Revenues and shall have a Series designation distinct from other bonds issued by the Authority, subject to the Authority’s approval of an authorizing resolution (the “Authority Resolution”). The series of bonds issued by the Authority to finance the Project is referred to herein as the “Series 2018C (Holtville) Bonds;” and

WHEREAS, there has been presented to this meeting of the City Council of the City (the “City Council”) a proposed form of Pledge Agreement (the “Pledge Agreement”), by and between the City and the Authority which commits the Holtville Sales Tax Revenues to repayment of the Series 2018C (Holtville) Bonds; and

WHEREAS, the City has determined that it is in the best interest of the City to approve the Pledge Agreement and authorize and approve the transactions contemplated thereby; and

WHEREAS, Senate Bill 450 (Chapter 625 of the 2017-2018 Session of the California Legislature) (“SB 450”) requires that the governing body of a public body obtain from an underwriter, financial advisor or private lender and disclose, prior to authorizing the issuance of bonds with a term of greater than 13 months, good faith estimates of the following information

in a meeting open to the public: (a) the true interest cost of the bonds, (b) the sum of all fees and charges paid to third parties with respect to the bonds, (c) the amount of proceeds of the bonds expected to be received net of the fees and charges paid to third parties and any reserves or capitalized interest paid or funded with proceeds of the bonds, and (d) the sum total of all debt service payments on the bonds calculated to the final maturity of the bonds plus the fees and charges paid to third parties not paid with the proceeds of the bonds;

NOW, THEREFORE, IT IS HEREBY RESOLVED BY THE CITY COUNCIL OF THE CITY OF HOLTVILLE AS FOLLOWS:

Section 1. The City hereby approves the issuance of the Series 2018C (Holtville) Bonds by the Authority and requests the assistance of the Authority in connection with such issuance, subject to the adoption of the Authority Resolution and all actions taken and to be taken in furtherance of such issuance.

Section 2. Pursuant to California Government Code Section 5451, the City hereby acknowledges and affirms its assignment of all Holtville Sales Tax Revenues and the pledge of such Holtville Sales Tax Revenues established pursuant to the Pledge Agreement, unconditionally and irrevocably on a first priority basis, to the trustee for the Series 2018C (Holtville) Bonds for the payment of debt service on the Series 2018C (Holtville) Bonds, which shall take effect upon the execution of the Pledge Agreement.

Section 3. The form, terms and provisions of the Pledge Agreement are hereby approved and each of the Mayor of the City, the City Manager of the City, their respective designee, or any member of the City Council (each, an “Authorized Officer”) is hereby authorized and directed on behalf of the City and in its name to execute and deliver the Pledge Agreement in substantially the form presented to and considered at this meeting of the City Council, with such changes therein, however, as may be approved by the Authorized Officer executing the same, such approval to be conclusively evidenced by his or her execution thereof.

Section 4. Each Authorized Officer is hereby authorized and directed, jointly and severally, for and in the name on behalf of the City, to execute and deliver any and all agreements, assignments, documents, certificates and other instruments, and to do any and all things and take any and all actions which may be necessary or advisable in their discretion, to carry out and give effect to the actions which the City has approved in this Resolution.

Section 5. In accordance with SB 450, good faith estimates of the following are set forth on Exhibit A attached hereto: (a) the true interest cost of the Series 2018C (Holtville) Bonds, (b) the sum of all fees and charges paid to third parties with respect to the Series 2018C (Holtville) Bonds, (c) the amount of proceeds of the Series 2018C (Holtville) Bonds expected to be received net of the fees and charges paid to third parties and any reserves or capitalized interest paid or funded with proceeds of the Series 2018C (Holtville) Bonds, and (d) the sum total of all debt service payments on the Series 2018C (Holtville) Bonds calculated to the final maturity of the Series 2018C (Holtville) Bonds plus the fees and charges paid to third parties not paid with the proceeds of the Series 2018C (Holtville) Bonds.

Section 6. All actions heretofore taken by the officers and agents of the City with respect to the issuance of the Series 2018C (Holtville) Bonds and the pledge and assignment of the Holtville Sales Tax Revenues are hereby ratified, confirmed and approved.

Section 7. The Clerk shall certify to the adoption of this Resolution, and thereafter the same shall be in full force and effect. Notwithstanding the foregoing, such certification and any of the other duties and responsibilities assigned to the Clerk pursuant to this Resolution may be performed by an Assistant Clerk with the same force and effect as if performed by the Clerk hereunder.

The following information was obtained from Samuel A. Ramirez & Co., Inc., as underwriter for Series 2018C (Holtville) Bonds, with respect to the Series 2018C (Holtville) Bonds, and is provided in compliance with Senate Bill 450 (Chapter 625 of the 2017-2018 Session of the California Legislature) with respect to the Series 2018C (Holtville) Bonds:

1. True Interest Cost of the Bonds. Assuming the maximum aggregate principal amount of the Series 2018C (Holtville) Bonds authorized ($5,000,000) are sold and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the true interest cost of the Series 2018C (Holtville) Bonds, which means the rate necessary to discount the amounts payable on the respective principal and interest payment dates to the purchase price received for the Series 2018C (Holtville) Bonds, is 3.49%.

2. Finance Charge of the Series 2018C (Holtville) Bonds. Assuming the maximum aggregate principal amount of the Series 2018C (Holtville) Bonds authorized ($5,000,000) are sold and based on market interest rates prevailing at the time of preparation of this information, a good faith estimate of the finance charge of the Series 2018C (Holtville) Bonds, which means the sum of all fees and charges paid to third parties (or costs associated with the Series 2018C (Holtville) Bonds), is $175,000, as follows:

The date of sale and the amount of Bonds sold will be determined by the Authority based on need for project funds and other factors. The actual interest rates at which the Series 2018C (Holtville) Bonds will be sold will depend on the bond market at the time of each sale. This PLEDGE AGREEMENT, dated as of August 1, 2018 (this “Agreement”), by and between the IMPERIAL COUNTY LOCAL TRANSPORTATION AUTHORITY, a local transportation authority duly established and existing under the law of the State of California (the “Authority”), and the CITY OF HOLTVILLE, a general law city duly organized and existing under the Constitution and the laws of the State of California (the “City”), as set forth herein,

W I T N E S S E T H:

WHEREAS, in 1989 the Imperial County Local Transportation Authority (the “Authority”) adopted LTA Ordinance No. 1-89, the Imperial County Retail Transactions and Use Tax Ordinance (the “1989 Ordinance”), which, following voter approval of a ballot measure on November 7, 1989, authorized the implementation of a half-cent transactions and use tax within the County of Imperial (the “Measure D Sales Tax”); and

WHEREAS, in 1990, the Authority adopted Ordinance No. 1-90 (the “1990 Ordinance”), which detailed those transactions and uses that would be subject to the Measure D Sales Tax; and

WHEREAS, on July 28, 2008, the Authority adopted Ordinance No. 1-2008 (the “2008 Ordinance”), which extended the Measure D Sales Tax for a period not to exceed forty (40) years from April 1, 2010; and

WHEREAS, under the 2008 Ordinance, the City is entitled to receive from the Authority a portion of Measure D Sales Tax revenues allocable to the City (the “Holtville Sales Tax Revenues”) as specified in an allocation formula set forth in the 2008 Ordinance; and

WHEREAS, the Authority now intends to finance certain transportation projects for the City described in the County of Imperial Retail Transactions and Use Tax Expenditure Plan (the “Project”) by issuing its Imperial County Local Transportation Authority Sales Tax Revenue Bonds (Limited Tax Bonds), Series 2018 in one or more series, which shall be payable only from the Holtville Sales Tax Revenues and shall have a series designation distinct from other bonds issued by the Authority (the “Series 2018C Bonds”); and

NOW, THEREFORE, in consideration of the mutual covenants herein contained, and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties hereto, intending to be legally bound, agree as follows:

ARTICLE I

DEFINITIONS; RULES OF CONSTRUCTION

Section 1.01. Definitions. Unless otherwise defined herein, capitalized terms used herein shall have the meanings assigned to them in the Indenture, dated as of May 1, 2012, as supplemented and amended to the date hereof, including as supplemented and amended by the Ninth Supplemental Indenture, dated as of August 1, 2018 (as so supplemented and amended, the “Indenture”), each by and between the Authority and a trustee named therein (the “Trustee”).

Section 1.02. Rules of Construction. Unless the context clearly indicates to the contrary, the following rules shall apply to the construction of this Agreement:

(a) Words importing the singular number shall include the plural number and vice versa.

(b) Words importing the feminine, masculine and neuter genders shall each include correlative words of the other genders.

(c) All approvals, consents and acceptances required to be given or made by any person or party hereunder shall be at the sole discretion of the person or party whose approval, consent or acceptance is required.

(d) All references herein to particular articles or Sections are references to articles or Sections of this Agreement.

(e) The captions and headings and table of contents herein are solely for convenience of reference and shall not constitute a part of this Agreement nor shall they affect its meaning, construction or effect.

(f) References to any document, agreement, certificate or other instrument shall refer to the provisions of such instrument, as the same may be amended and supplemented from time to time.

(g) Words permitting discretion shall mean that the Person having such discretion may take such action but is not obligated to do so.

ARTICLE II

PLEDGE OF REVENUES

Section 2.01. Pledge of Revenues. The City hereby pledges and assigns all Holtville Sales Tax Revenues unconditionally and irrevocably on a first priority basis to the Trustee for the payment of debt service on the Series 2018C Bonds.

Section 2.02. Application of Holtville Sales Tax Revenues and Remittance to the City. The Authority agrees that after application of the Holtville Sales Tax Revenues to pay the debt service on the Series 2018C Bonds to make all other deposits required under the Indenture and to reimburse the Authority for payments previously made with respect to the Series 2018C Bonds (and all past due amounts relating thereto), the Authority shall cause the remainder of the Holtville Sales Tax Revenues received to be remitted to the City for uses consistent with the 2008 Ordinance.

Section 2.03. City to Pay Authority Costs. The City hereby agrees to pay the reasonable out-of-pocket costs and expenses of the Authority directly related to the City’s allocable share of costs of issuance for the Series 2018C Bonds. The payment of such costs and expenses

shall not be a general fund obligation of the City and shall be payable solely from the Holtville Sales Tax Revenues and/or the proceeds of the Series 2018C Bonds.

ARTICLE III

REMEDIES

Section 3.01. Remedies. Each of the parties hereto may take whatever action at law or in equity may appear necessary or desirable to exercise its rights or enforce the obligations of the other parties hereunder.

ARTICLE IV

TERM

Section 4.01. Term. The pledge granted by the City in accordance with Section 2.01 hereof shall continue irrevocably, in full force and effect, until the payment or defeasance in full of all outstanding Series 2018C Bonds.

ARTICLE V

REPRESENTATIONS AND COVENANTS

Section 5.01. Maintenance of Effort. The City hereby represents that it has maintained, as a minimum, the same level of local discretionary funds expended for street and road purposes as was reported in the State Controller’s Annual Report of Financial Transactions for Streets and Roads – Fiscal Year 2005-2006, as adjusted annually for inflation, as is required pursuant to Section 6 of the Expenditures Plan. The City hereby covenants to include in each annual budget amounts sufficient to satisfy the annual Maintenance of Effort requirement and shall certify, in a form substantially similar to the certificate appended as Appendix A hereto, to the Authority prior to each Fiscal Year that such amounts have been included in its annual budget. The City further covenants to spend at least the amount included in the certification to the Authority during the then-current Fiscal Year and shall certify, in a form substantially similar to the certificate appended as Appendix B hereto, to the Authority that the City satisfied its annual Maintenance of Effort requirement for such Fiscal Year.

Section 5.02. Expenditure on Approved Projects. The City hereby covenants to use proceeds of the Series 2018C Bonds and any Holtville Sales Tax Revenues received by the City only on projects appearing on the most recently approved five-year list of projects and shall certify, in a form substantially similar to the certificate appended as Appendix B hereto, that such proceeds of the Series 2018C Bonds and any Holtville Sales Tax Revenues were spent on projects appearing on the approved five-year list of projects for the then-current Fiscal Year. If proceeds of the Series 2018C Bonds or any Holtville Sales Tax Revenues are expended on projects not appearing on the most recently approved five-year list of projects, the City further covenants to replenish the Holtville Sales Tax Revenue Account established pursuant to the Indenture in an

amount equal to the Series 2018C Bonds proceeds or Holtville Sales Tax Revenues expended on projects not appearing on the most recently approved five-year list of projects.

Section 5.03. Compliance with Tax Covenants. In addition to the covenants set forth herein, the City covenants to assist the Authority in complying with all covenants of the Authority set forth in Section 6.08 of the Indenture and the Tax Certificate, which are hereby incorporated by reference as though fully set forth herein and to comply with all covenants in the Tax Certificate applicable to the City. On the delivery date of the Series 2018C Bonds, the City will provide a Certificate of the Director of Public Works substantially in the form attached as Appendix C hereto.

Section 5.04. Annual Expenditure Report. The City hereby covenants to prepare an annual report detailing the expenditure, by project, of any and all Holtville Sales Tax Revenues for the prior Fiscal Year. Other funds expended on those projects shall also be listed in order to demonstrate the additional benefit gained utilizing the other funds to maximize the use of sales tax receipts. The annual report shall include a detailed description and the amount spent of the sales tax receipts for each project. Contractors performing work shall be listed and the amount of sales tax receipts paid to the individual contractors shall be provided in the report.

ARTICLE VI

MISCELLANEOUS

Section 6.01. Severability. In case any one or more of the provisions of this Agreement shall, for any reason, be held to be illegal or invalid, such illegality or invalidity shall not affect any other provision of this Agreement shall be construed and enforced as if such illegal or invalid provision had not been contained therein.

Section 6.02. No Individual Liability. No covenant or agreement contained in this Agreement shall be deemed to be the covenant or agreement of any member, agent, or employee of the Authority or the City nor any official executing this Agreement shall be liable personally hereon or be subject to any personal liability or accountability by reason of the issuance thereof.

Section 6.03. Notices. All notices, certificates, requests or other communications hereunder shall be sufficiently given, and shall be deemed given, when received by hand or by first class mail, postage prepaid, addressed as follows:

Any of the foregoing parties may designate any further or different addresses to which subsequent notices, certificates or other communications shall be sent, by notice in writing given to the others.

Section 6.04. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of California.

Section 6.05. Owners as Third-Party Beneficiaries. Owners of the Series 2018C Bonds are hereby recognized as third-party beneficiaries and Owners of a majority in aggregate amount of Bond Obligation of the Series 2018C Bonds then Outstanding may enforce any right, remedy or claim conferred, given or granted to the Authority hereunder.

Section 6.06. Effective Date. This Agreement shall become effective upon its execution by each of the parties hereto.

Section 6.07. Counterparts. This Agreement may be executed in several counterparts, all of which shall constitute but one and the same instrument.

INFORMATION ONLY – NO ACTION REQUIRED AT THIS TIME WATER ENTERPRISE

Tank Rehab – Corrosion has developed inside the 2.4 million gallon water storage tank that was completed in 2010. Staff obtained multiple bids for repairs and ongoing maintenance. The Holt Group was engaged in 2016 to produce specifications so that the project could be considered “designed” for grant purposes and the City has applied for funding of the repairs with SRF, and the funding has been approved. The Regional Water Quality Board contacted the City last year with additional requirements to be added to the project. Staff met to discuss feasibility and challenges associated with incorporating the additions, including whether they could be added to the funding package. It was felt that they larger scope could indeed be funded, given the request from the Regional Board. A change to the Holt Group’s scope of work to amend plans in May was approved. The redesigned plans and specs were submitted to SRF for comment multiple times and have now been conditionally approved. An archaeological study was required by the water board, which has been completed. We now await review and clearance of that report. System Controls – An estimate was obtained from TESCO in 2014 of about $450k to replace the aged system. Frank Cornejo had hoped that this project might be put off and the controls might “limp along” for another 18 months while we attacked other water issues, but that has stretched to 4 years. Fortunately, this issue is also addressed on the SRF application and design was addressed by Delta Systems as a sub-consultant to THG on the submission. Rate Study – The profitability of the Water Enterprise has been problematic in recent years. Coupled with the issues listed above and the debt covenant to budget a net revenue of 120% of the annual debt service, a rate adjustment has been explored. California Rural Water worked with the City last year to produce some preliminary analysis in a no-cost Water Rate Study. The Regional Board allowed for the submission of the City-revised version of that information as a component to the grant package in February, 2017. We await final determination of the project schedule to implement the Prop 218 process. There has been some discussion that changes that are being worked upon for the Tank Rehab project will trigger additional operations and maintenance costs, which will impact this issue as we go forward.

TRANSPORTATION PROJECTS

Citywide Street Resurfacing Project – The plans to resurface the bulk of the City’s streets has been in the works for some time. The Holt Group was selected last year to complete design engineering for the project. 90% plans were submitted to the City, which we have reviewed to make decisions on scope of the project.

After investigating other financing options, it was tentatively decided to utilize the joint Imperial County LTA bond funding opportunity facilitated by ICTC. Representatives from the bond underwriting team gave a presentation at the 4/24 Council meeting. Formal action to approve participation in the funding issue is on tonight’s agenda.

PUBLIC WORKS

PARKS

Mac Park - City staff has been working with Holtville Little League to construct a second baseball diamond to the east of the current field. Funding is being sought both through grants and donations. Architerra Design Group, the firm that worked on the last plans for Mac Park, recently made alterations to their existing plans to add a second field. Those revisions are being incorporated into submission packets to move forward with grant applications and the project in general. Holtville Wetlands Project – A grant agreement document for approximately $3 million to fund this project was received by the City from BoR late in 2016. Additionally, the City received notification that a $20,000 grant was awarded by the County for signage and amenities. The Holt Group was selected to perform Grant Administration tasks and George Cairo Engineering for design services. A hiccup developed in that we had hoped to utilize the CEQA document prepared for the project in 2005-06. Although it is evident that the document was prepared, reviewed and accepted, none of the participating parties has proof of payment for the fees to the Department of Fish & Wildlife, so DF&W required that the process be completed and fees paid once again. The design team seems to be working diligently. An introductory site tour was recently conducted for the new BoR Salton Sea Program Manager. She was excited to see the site and the project’s potential. The design team is significantly behind schedule. Staff worked with the Holt Group to reschedule deliverable timelines and get the project back on track. GCE finally produced a draft of the SWPPP earlier this month. THG has reviewed portions of the submittals. Much of the required work has been done, however, we still await GCE the survey work that was contracted. A letter to that affect was sent to them in early April and we await their response. They have, however, been working the past week on beginning the permitting process with the County in anticipation of finalizing issues.

ADMINISTRATION BUILDING PERMITS - The City has issued 38 building permit thus far in 2018. A list of permits pulled by month is available on the City’s website at http://holtville.ca.gov/section.php?id=73. 2016-17 Financial Audits – An error in the TDA Audit for minor transportation funds was recently found. Staff has been working internally and with MLH to correct. Clear Talk Cell Tower – Clear Talk Wireless was formally approved by the Planning Commission in September, 2016, to place cellular communications equipment in Samaha Park. An appeal of the California Environmental Quality Act (CEQA) process was lodged by a faction of area residents that had voiced some opposition to the construction, but denied by the Council after a hearing in November. At that time, however, the original lease was rejected. The applicant then approached the City with a revised project location. An updated lease agreement was then approved. The Planning Commission chose to take no action on the site plan revision, allowing it to move forward and be handled administratively. Finalization of documents for a building permit had been taking place, but the project has had no movement recently.

Holtville Luxury Apartments – A project has been in the works for some time at the corner of Ninth and Melon, just outside the City limits. After many months of confusion regarding the process, the project’s ownership group engaged Development Design & Engineering last year to assist in shepherding the project along. Mr. John Hawk with the development group reports that things are moving along very well now that DD&E is onboard. To that end, plans to the City and the County regarding annexation issues were submitted in October. Last month, D&E forwarded most of the necessary studies for review, so the project will most likely be moving forward soon. Staff discussions have continued regarding the handling of stormwater as this property is developed. A recent site visit was held with DD&E to give a better picture of the stormwater issue in the area and implications the project will have on the existing conditions. John Hawk approached me in December and let me know that they are submitting everything imminently. Multiple meetings and conference calls have been held recently with the project proponent and DD&E to update status and discuss timelines. Most of the required documents were submitted recently and the Environmental Review Committee met to review and comment on the project the morning of 5/29. We are currently working with the other parties to engage a consultant to complete environmental documents for the project. AMG Mixed Use Development/Apartments – A project for a combination of apartments and retail on the block bound by Holt Avenue, Fern Avenue and Fourth Street has been proposed by a Pacific West Development with input from the land owner, Jay Goyal. Preliminary conceptual maps and elevation renderings were presented to Planning Commission on April 16, 2018, with general acceptance from the Commission. They will be moving forward with more detailed information, which will make it to this body in the future.

The following is a summary of statistics for the Holtville Sheriff’s Deputies for the month of May

2018.

Calls For Service:

245 total incident reports, which were entered into Spillman Computer Database by the

Imperial County Sheriff’s Dispatch Center. These calls consisted of requests for Sheriff’s

services.

The highest volume of calls for service occurred on Thursday’s with 52 total calls for service.

The lowest volume of calls for service occurred on Monday’s. The highest volume of calls

occurred from 5:00 pm to 6:00 pm.

1805H-010 Fraud call. RP from Barbara Worth Country Club reporting a $385.00 dollar charge on

his credit from Cox Communication from Escondido CA. report taken.

. Driver arrested for an out of county warrant.

1805-0268 El Centro Regional advised 5150. Subject was taken for 5150 to CMH.

1805H-033 Traffic Accident at 4th

and Pine. Driver drove into a fire hydrant causing a major water

fountain and flooding. Driver was arrested for DUI.

1805H-037 Animal Problem. RP stating a German Sheppeard and a pit bull attacked her husband.

K9’s located and owners were cited.

1805H-042 Suspicious call at Mack Field. 19 year old male found deceased, hung himself on the

bleachers.

1805H-055 Traffic Stop on Fern and 6 St. Driver was cited for driving without a license.

1805H-056 Vehicle Check at Del Sol parking lot. Passerby called in a driver drinking beer with a

child in the back seat parked in the parking lot. Driver was contacted and it was C4. She had one

bud light with her, negative impairment. Child was 13 years old. Mother was counseled.

1805H-057 Vandalism call. RP stating someone intentionally ran over traffic cones placed close to

roadway, but the RP states it is his property line. Requesting patrol checks.

1805H-058 Vehicle Check at 9th

and Walnut. Vehicle stored for expired over 6 months.

1805H-065 Physical fight between step-father and step son. Step-father signed non prosecution for

assault.

1805H-067 Fraud call. RP paid $2,000 with Ebay gift cards to a subject he was attempting to

purchase a vehicle through craigslist.

1805H-071 Stolen vehicle at 609 Maple Ave. Apt A. RP’s son took the vehicle and later returned

with it and was placed under arrest. 3.1 grams of heroin were located from his rectum once stripped

searched in intake.

1805H-073 Deceased K9 was removed from the middle of the road on 8th

Street, west of Holt Ave.

1805H-079 Animal problem at 562 1/2 fern Ave. in the alley way. Two Pit-bulls almost bit RP. Pit-

bulls located at a residence south of RP.

1805H-082 Disturbance call behind the Donut Shop. Girlfriend broke her boyfriend’s car windows

$300 in damage. Non prosecution signed.

1805H- 085 Suspicious call. Vehicle check conducted and a subject was arrested for a local warrant

and possession of meth paraphernalia.

1805H-087 Violation of a Restraining Order at the substation. RP stated the restrained party and his

mom were driving by RP’s mother’s house. Negative violation.

1805-1100 5150 at Turning Point. (AOA South County) Subject advised staff he felt like killing

himself and cutting his wrists. Subject detained and taken to CMH.

1805H-092 Forgery call for an ex-employee using another employees name to purchase items.

1805H-099 Traffic Stop. Subject on a bike was arrested for possession f meth and drug

paraphernalia.

1805H-107 Alarm call.

1805-1520 Assisted south county with a report of a wrong way driver on I-8.

1805H-127 Traffic stop. Passenger was arrested for a no bail warrant (VOP) and second warrant for

drugs.

1805H-128 Alarm call.

1805-1748 (AOA South County) Swimmers in the canal at Highline / Verde School Rd.

1805H-145 Traffic Hazard. R/P advised of a vehicle driving erratically. R/P followed subject home.

Driver was not impaired and was counseled on his driving behavior.

1805H-150 Alarm call.

1805-1864 Alarm call.

1805H-160 Vehicle Check. Driver was cited for being under 21 in possession of marijuana.

1805H-162 Traffic stop. Driver was cited for being unlicensed, false registration tabs, and the

motorcycle was towed.

1805H-191 Traffic accident at Beale Ave / 9th

Ave. Negative injuries, property damage only. At

fault party cited.

1805H-194 Office info at Holtville Middle School. R/P advised “IRS” called her and requested

$1,000.00 for back taxes. Subject was worried because she provided scammers with her home

address.

1805H-195 Pedestrian check. Subject arrested for 3 local warrants.

1805H-202 Deputy Request at Browning Trailer park. R/P requesting office info report because she

noticed minor damage to the front bumper of her vehicle.

CR’s 1805H-201, 1508H-203 & 1508H-204 Vandalism calls regarding broken windows to vehicles.

After multiple follow-ups, four juveniles were identified and charged.

1805H-207 Vandalism call. Brick thrown through RP’s window.

1805H-212 Theft of black bicycle with dark blue flames.

1805H-214 Welfare check on subject talking to himself. Subject was fine just rapping.

1805H-215 Disturbance over bicycle due to confusion of ownership. Bicycle turned over to the

rightful owner.

1805H-220 Juvenile problem at Orchard View Apt’s. Juvenile left to his father's house on

Wooldridge Ave. Juvenile was located and returned to mother.

1805H-222 Alarm call.

1805H-231 Counter traffic at the substation. RP requesting information regarding a civil issue with

ex-boyfriend and was provided options.

1805H-232 Deputy Request in regards to neighbors trash being in the RP’s yard.

1805H- 233 Alarm call.

1805H-234 Civil standby.

1805H-235 Disturbance at Sol meat market. Dispute over money and a customer was refusing to

leave and return when a manager is present.

FOG INSPECTIONS: (submitted by Lui Garza – Pretreatment Program coordinator)

• Gayle Cheatwood Dental LLC ‐ I visited them on 03/01/18 and spoke with GayleCheatwood (Dentist/Owner) and they handed me their self‐certification form. No moreinspections are required until next year.

• Donut Avenue ‐ 4/28/18: Inspected grease trap today and it was in good conditions, theonly directive given to the staff was to clean out the solids from the bottom of the trap.We took the filled‐out BMP logs and talked to Ernesto Perez the employee in charge ofcleaning out the grease and informed him of our observations. We will return in May tofollow up. (Hector Orozco accompanied me on this visit)

• D’Lupitas ‐ 4/28/18: Talked to Ruben and he informed us that Trina from the HealthDepartment had visited and told him to remove the grease trap from the sink area.Trina said they needed to place the grease trap outside of building. I will be calling Trinato see what can be arranged in regards to this. BMP logs will be picked up next Thursdayand the grease trap will be inspected that day as well. Taco Shop ‐ 4/28/18‐ Inspected the trap and it was clean. Their BMP logs were not being filled out and did not have any descriptions on them. We talked to Angelica Zarasua and informed her that the BMP logs need to be filled out and they need to have a description of where the grease is coming from and where it is being disposed of. Pending for next visit is the grease trap cleaning BMP logs and “One More Time” receipts. (Hector Orozco accompanied me on this visit) 

  

Wong’s Kitchen – I visited on 4/14/18 and picked the BMP logs. The grease trap was in need of cleaning. I showed Mr. Wong that he needed to clean out the solids from the bottom of the trap as well. BMP log sheet was not full yet so I will pick it up during my next visit. 

  NADBank & EPA‐ 2018’s 1st quarter report has been submitted on 04/8/2018.  

  COMMUNITY OUTREACH: (04/1/2018)  

A new informational and illustrative “FOG” flyer was created in order to help residents get educated in regards to what they can do to help the city’s efforts against clogs and rags in our sewer system. The flyer went out in May’s water bill. 

  

WATER TREATMENT PLANT:  

Completed 2nd Quarter TTHM monitoring and send samples to E.S. Babcock Labs for analysis.  

Completed modifications and installation of new FWTP‐UV System bypass line.   

Staff took all routine samples, completed all regulatory reports, and maintained operational records as required. 

  

WASTEWATER TREATMENT PLANT:  

Completed annual updates to TRE Workplan and Sanitary Sewer Overflow (SSO) Response Plan.
