Chairman Gay thanked everyone for coming today. Chairman Gay stated that comment cards are available for anyone wishing to speak to an item or for general comments at the conclusion of the meeting.

APPROVAL OF THE MINUTES

Chairman Gay asked for a motion to approve the minutes from the July 18th meeting. Dr. Barbara Darby made the motion to amend the minutes with clerical changes. Dr. Wells seconded the motion. Chairman Gay opened the floor for discussion and public comments. With none being heard Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed.

CHAIRMAN’S REPORT

Chairman Gay asked for a moment of silence for seven year old Heidy Rivas Villanueva who was killed during a shootout at a strip mall. Chairman Gay made comments about the Essential Services Plan workshop that was facilitated by Dr. Jamison and Dr. Janson with UNF’s Center for Urban Education and Policy. Chairman Gay stated that there has been positive feedback from our partners, stakeholders and community leaders. The plan will be a great draft for Mr. Peppers to use during his meetings with the City Council Finance Committee members. Chairman Gay also thanked Governance Chair, Dr. Barbara Darby, and

Rebekah Davis for having their first Governance Committee meeting and thanked Tyra Tutor and Dr. Wells for the Finance Committee meetings. We have new signs on the building and the parking lot that display the Kids Hope Alliance name. After the meeting Chairman Gay would like board members to stay for pictures. Chairman Gay introduced new staff member Dr. Jennifer Blalock. Dr. Blalock is the Chief Strategy & Programs Officer. Chairman Gay thanked both Dr. Blalock and Ms. Tobin for the work they have done since joining the Kids Hope Alliance Team. Chairman Gay turned the floor over to Joe Peppers to give his CEO report.

CEO REPORT FINANCE COMMITTEE REPORT

Mr. Peppers mentioned that this month Dr. Darby, Rebekah Davis and Tyra Tutor have birthdays. Mr. Peppers also thanked the summer interns Rachel Applewhite, Donovan Jordan and Ashlie Malone for joining the team this summer and for the work they completed. Other items that Mr. Peppers talked about in his report were the asset map created by Rachel and how it showed the impact on children. Site visits have given Mr. Peppers a better understanding of programs. He wants to increase our partnerships with the State and with the Community. Mr. Peppers visited Hope Haven with Dr. Wells. Mr. Peppers talked about the teen pregnancy rate in Duval County and what can we do to provide additional services

Chairman Gay turned the floor over to Tyra Tutor to report on the Finance Committee meeting.

Ms. Tutor stated the Finance Committee meeting took place on August 6th and that Ms. Nixon went over the report through June 30th and the Budget for fiscal year 18-19. Everything is on target. Ms. Tutor stated that three of the action items have passed through the Finance Committee. Ms. Tutor stated that the Kids Hope Alliance will be before the City Council Finance Committee on August 24, 2018 to present the budget request for FY 18-19. The Board is welcome to attend.

GOVERNANCE COMMITTEE REPORT

Dr. Darby thanked Adam Miller, Rebekah Davis and staff. Dr. Darby discussed the chart of work to be completed by the Governance Committee and recommendations that will be brought forward for approval by the full Board. She explained that the Youth Travel Trust had been placed on hold until policies and procedures have been established. Other items discussed at the meeting were MOU for the Parents who Lead program, CEO evaluation, Board self-evaluation, Board bylaws, conflict of interest policy, policies and procedures for grants, review of legislation, policies, relationships with City Agencies and CEO authority. Dr. Darby presented a time line for completing each task and presenting the recommendations to the Board.

NEW BUSINESS ACTION ITEM

U.S. Department of Labor, YouthBuild Dae Lynn Helm introduced the item. The Board is asked to authorize the Kids Hope Alliance to apply for U.S. Department of Labor YouthBuild Grant and authorize introducing legislation to appropriate the grant funds upon award. Ms. Tutor stated that this has been approved by the Finance Committee and asked for a second. Dr. Glover seconded the motion. Chairman Gay opened the floor for discussion and public comments. With none being heard, Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed.

Substance Abuse and Mental Health Services Ruth Waters introduced the item. The Board is asked to authorize the Kids

Hope Alliance to accept the award; authorize the CEO to execute any contract or legal documents necessary; authorize subcontracting with Managed Access to Child Health; and approve the cash match of $146,000. This will be the fourth and final year of this award. Ms. Tutor stated that this has been approved by the Finance Committee and asked for a second. Dr. Wells seconded the motion and Chairman Gay opened the floor for discussion and public comments. There were questions on who provides the services now and the specifics on the funds for the cash match. With no other comments being heard, Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed.

Criminal Justice Mental Health and Substance Abuse Reinvestment Grant Ruth Waters introduced this item. The Board is asked to authorize the Kids Hope Alliance to subcontract with Managed Access to Child Health and Jewish Family and Community Services; to give the CEO the authorization to execute any contracts or legal documents necessary; and for the Kids Hope Alliance to provide the cash match of $60,000. Chairman Gay opened the floor for discussion and public comments. With none being heard, Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed. Criminal Justice & Safe Neighborhoods Small Grant Program Mary Tobin introduced the item. Ms. Tobin stated this would be a partnership with JSO. The Board is asked to approve the Kids Hope Alliance to process the Criminal Justice & Safe Neighborhoods Small Grant Program and authorize the CEO to work with the Sheriff’s office to finalize the process for awarding the grants. Sheriff Williams is asking the Kids Hope Alliance to manage the process to select the agencies for the funds from the Law Enforcement Trust Fund. Each grant will not exceed $10, 000 with a total funding of $50,000. This funding allows small/emerging nonprofits to compete for less stringent dollars from the City. KHA will offer training to the agencies with the application process and assistance as they complete their application. Ms. Tutor stated that this has been approved by the Finance Committee and asked for a second. Dr. Wells seconded the motion and Chairman Gay opened the floor for discussion and public comments. With none being heard, Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed. Memorandum of Understanding with UNF/FIE Mary Tobin introduced the item. The Board is asked to give the CEO the authorization to sign a MOU with UNF/FIE. University of North Florida/Florida Institute of Education will be requesting information on students who attended the four pilot sites and the frequency with which they attended the program. Elementary, Reynolds Lane Elementary, Arlington Elementary and Sally B. Mathis to determine student performance and the impact on the instruction of the children in the program. Chairman Gay asked for a motion to approve the MOU with UNF/FIE. Dr. Darby made the motion and Dr. Glover seconded it. Chairman Gay opened the floor for discussion and public comments. Julia Davis from the Office of General Counsel explained the language in the MOU. With no other comments being heard, Chairman Gay asked all in favor to signify by the sign of “aye’. All were in favor and the motion passed. Authorization To Not Renew Funding for Listed Programs Chairman Gay stated that this item will be removed from the agenda until a policy is in place. Dr. Wells asked about a timeline. Chairman Gay asked Dr. Darby to add this to the Governance Committee tasks. Julie Davis stated that it would be too late since these contracts are set to expire September 28, 2018. Dr. Darby made a recommendation to extend the contracts and review the process in the Governance Committee. There was additional Board discussion as to why these contracts were selected for non-renewal by the staff. Mary Tobin stated that it was based on the information provided in the action item. There was discussion on how much funding would be needed to extend these contracts, where would the funding come from and for how long should they be extended. Based on the conversation Dr. Darby withdrew her motion. Ms. Nixon stated that specific language could be added to the budget to include contract extensions of up to six months with the option to extend for another six months. The funding will have to be for the full year for each contract. More discussion followed on whether to extend these contracts if staff recommended them for no renewal. Mr. Peppers stated that he would like to extend these contracts so that services are not interrupted while a policy is being developed. Finally, after all discussion the Board recommended adding these programs to the action item, Contracts That Have Available Renewals. Dr. Darby made the motion and Chairman Gay seconded it. Chairman Gay opened the floor for any other comments. With none being heard, this item will be added to the other Contracts that Have Available Renewals. Contract Extensions For Contracts That Have Available Renewals Mary Tobin introduced the item. The Board is asked to approve contract extensions for the listed programs for six months with the option for an additional extension for up to six months and to include the listed programs that were recommended for non-renewals. Also, to authorize the CEO to execute the contracts and to take other actions necessary or

Contract Extension for Contracts That Have No Available Renewals Mary Tobin introduced the item. The Board is asked to approve the contract extensions for the listed programs for six months with an option for an additional six months. Also, to give the CEO the authorization to execute the contracts and to take other actions necessary or appropriate to authorize the agreements including obtaining City Council or procurement approval. Chairman Gay asked a motion to approve the request. Dr. Glover made the motion and Dr. Wells seconded it. Chairman Gay opened the floor for discussion and public comments. With none being heard, Chairman Gay asked all in favor to signify by the sign of “aye”. All were in favor and the motion passed. Jacksons’ Music Scholarship Fund Award Recommendation Adam Miller introduced the item. The Board is asked to approve creating a formal recommendation of award to the Mayor for the local colleges and universities listed below for the available interest accrued by the Jackson’s Music Scholarship Fund during FY 18:

• Florida State College at Jacksonville Foundation • University of North Florida Foundation • Jacksonville University Office of Advancement • Edward Waters College Foundation

Chairman Gay asked for a motion to approve the request. Dr. Darby made the motion and Dr. Glover seconded it. Chairman Gay opened the floor for discussion and public comments. Presentations

Katia Gerry, Miss Florida Teen, gave a presentation on her idea for a Youth Festival. Ms. Gerry would like to have booths available for teens to speak with advocates from the Sheriff’s Department, Mental Health, Substance Abuse, Teen Sex and Bullying to name a few. Miss Gerry would also like a youth forum with a question & and answer segment. She would also like to have live performances during the event. Chairman Gay thanked Miss Gerry for coming and sharing her ideas. `

Dr. Wells asked the Board Members to consider moving the September 19th meeting to the 12th. Chairman Gay asked the Board if they would check their schedule for this request. All members were in agreement to move the meeting. Ms. Tutor stated that the Finance Committee meeting would need to move up a week in order to vet any potential action items. That meeting was moved to September 5th. Dr. Darby stated that the next Governance meeting would take place on September 10th. Comments were made by Amy Buggle, Carrol Reaves and Marion Figueroa with DLC Nurse & learn. Chris Conner with Jacksonville Zoo and Gardens. Donald del Torre with Take Stock in Children.

REQUESTED ACTION: The Board is asked to authorize the Kids Hope Alliance to: 1) Apply for an AT&T grant for The Positivity Project for $15,000 to serve 110 youth; 2) Authorize introducing legislation to appropriate the grant funds upon notice of award, and 3) Authorize the CEO to execute a contract with The Positivity Project consistent with the requirements of the grant and to execute any other contracts and documents which may be necessary or appropriate to meet grant requirements. NARRATIVE: The Kids Hope Alliance proposes to apply for an AT&T grant for The Positivity Project.

Relationships are the cornerstone of health, happiness, and resilience and according to many experts many jobs of the future. The Positivity Project develops strategies to inspire positive relationships. The Project will empower leaders to build 24 positive psychology's 24 character strengths through the Mayor's Career Pathway Academy.

The Academy is an expansion of the Mayors Youth at Work Partnership where it is building a community-wide professional development system for youth at the regional libraries. In 2018, the Academy has connected youth to their identified career pathways and are expanding the impact by connecting the existing community resources into an on-line and in-person curriculum that will be available during the school year. Duval County Public Schools, Florida State College at Jacksonville and JaxChamber are engaged in the development of the Academy and the Kids Hope Alliance will be managing the program.

The Mayor's goal is to change the lifelong employment and career odds for at-risk youth by building and sustaining a coordinated pathway of education and opportunity leading to economic mobility that is based on ongoing collaboration of our civic, workforce and education sectors.

The Positivity Project will be incorporated into the Academy and both youth participants and the network of adult leaders they are engaged with will be benefit from the curriculum through multiple channels. The 24 character strengths will be reinforced through a curriculum focused on the following: Leadership vs. Management, Leadership is a Relationship, Every Interaction Matters and Strategies to Strengthen Relationships.

The curriculum will be offered in-person and eventually be on-line and will be developed into a digital badge that all program participants can earn and add to their resumes. Positivity Project is seven hour training provided to the Mayor's Youth Advisory Leaders to:

1) Understand positive psychology and why it’s so important to our professional and personal lives,

2) Identify and understand the 24 character strengths in all of us, 3) Embrace the idea that leadership is a relationship, and that every interaction matters, 4) Develop strategies to build relationships on your team and develop/maintain engaged

employees.

This project will be provided to 110 Youth Leaders to be able to provide this training in their schools and in the Career Academies. Agenda includes: • Positive psychology 101, • Character’s 24 strengths, • Leadership vs. Management, • Leadership is a relationship, • Every interaction matters and • Strategies to strengthen relationships. Cost: $15,000 inclusive of preparation, travel expenses, execution of the training and two hours of follow up conversations with specific leaders.

Additionally, this grant is expected to align with the essential service plan by meeting the requirements of the Juvenile Justice Prevention and Intervention, Pre-teen and Teen Essential Service Categories, as defined in Sec. 77.107. The application was submitted August 28, 2018.

FISCAL IMPACT:

• Up to $15,000 is available to apply in the grant. PROGRAMMATIC IMPACT: This proposal will have the program implemented through the Kids Hope Alliance for Mayor's Career Pathway Academy. Measures of Impact:

organizations to provide prevention and intervention programs to address youth violence and provide immediate assistance with pathways out of violence for youth in the community.

2) Approve the minimum qualifications, scope of services and evaluation criteria in the RFP. 3) Authorize the CEO to execute contracts with the highest scoring respondents in a form consistent

with the RFP and Chapter 77. NARRATIVE: Through the Mayor’s Office the Kids Hope Alliance will contract with neighborhood faith-based organizations to provide professional services to young people for prevention and intervention programs that will assist in combating youth violence in high violence areas of the city

Providers will have an emphasis on early intervention and prevention programs, and clear pathways out of violence. Providers will work together across the government and the community to end youth violence. 1. The grant renewal for the Florida Department of Health, Childcare Food Service Grant/USDA for the period of October 1, 2018 thru September 30, 2019, $3,300,000. The Program will operate Monday through Friday providing healthy snack and supper meals to an estimated sixty-one (61) school-based afterschool sites, including two (2) exceptional student center sites and thirty-one 31 community-based afterschool sites throughout Jacksonville.

2. Authorize the CEO to sign grant contract and all other legal and grant documents which may be necessary or appropriate to meet the grant requirements.

NARRATIVE: To qualify as a site through the Afterschool Meals Program, the site must be in an area where at least 50% of the enrolled children are eligible for free or reduced-price meals, provide after school care with regularly scheduled educational or enrichment activities that are structured and supervised, have a license or proof of licensure exemption, and meet state and local health and safety standards. The meals are available to children through age 18 and certain children over age 18. We anticipate serving over 350,000 snacks and 850,000 suppers for FY 2018-2019, approximately 8,000 children will benefit from the program. The grant requires 5 FT employees to operate the Program. See attached Fact Sheet. FISCAL IMPACT: The $3,300,000 funding of this program is from federal dollars through the State of Florida and listed on Budget Ordinance 2019-504, Schedule M. REQUESTED ACTION: The Board is asked to approve:

1. The CEO to execute a contract with Duval County School Board and Compass Group USA, Inc., doing business as “Chartwells”, in the amount of $1,862,300 for the school-based afterschool meal programs for the period of October 1, 2018 thru September 30, 2019.

2. Authorize the CEO to sign the necessary legal and procurement documents to meet the grant requirements.

NARRATIVE: The Program will operate Monday through Friday providing healthy snack and supper meals to an estimated sixty-one (61) school-based afterschool sites, including two (2) exceptional student center sites throughout Jacksonville. KHA provides these meals through the Duval County School Board’s food management contract with Chartwells. To qualify as a site through the Afterschool Meals Program, the site must be in an area where at least 50% of the enrolled children are eligible for free or reduced-price meals, provide after school care with regularly scheduled educational or enrichment activities that are structured and supervised, have a license or proof of licensure exemption, and meet state and local health and safety standards. The meals are available to children through age 18 and certain children over age 18. We anticipate serving over 180,000 snacks and 595,000 suppers for FY 2018-2019, approximately 8,000 children will benefit from the program. FISCAL IMPACT: The funding of this program is from federal dollars through the State of Florida, Department of Health/USDA approved in Budget Ordinance 2019-504, Schedule M. 1. The CEO, or his designee, to work with the City’s Procurement Division to initiate an Invitation to Bid process to procure a vendor for the Food Service Program for the community-based afterschool meal programs for the period of October 1, 2018 thru September 30, 2019 in the amount of $875,500.

2. Authorize the CEO to execute a contract with the successful bidder and to sign all other legal and procurement documents necessary or appropriate to meet the grant requirements.

NARRATIVE: The Florida Department of Health, Childcare Food Service Program/USDA is requiring KHA to submit an Invitation to Bid (ITB) for the community-based program sites. Previously, these sites were procured from the Duval County School Board and Chartwells together with school-based sites.
