Article 2 Objective T he objective of this non‐profit Organization is: A . T o promote, protect, and represent the aeronautical interest of the members. B . T o further the art, science, and industry of aeronautics and the pursuit of private flying. C . T o further the safety, popularity, and economy of private flying. D . T o further the education of persons interested in aviation through seminars, scholarships, and other programs. Article 3 Membership S ection 1. T ypes of membership R egular Member 1. Persons who have soloed an aircraft A . S ustaining Member 1. Must be a regular member in good standing. 2. Must be proposed by a current S ustaining or L ife Member. 3. Article 1NameThe name of the Organization shall be Pottstown A ircraft Owners and Pilots, Incorporated,headquartered at the Flyers’ Roost, Pottstown L imerick A irport, Pottstown, PA .

Article 4MeetingsSection 1. Regular meetings will be held the last Thursday of each month except as requestedby the Executive Committee and with notification to the general membership.Section 2. The Executive Committee will meet at the Flyers’ Roost the first Wednesday aftereach month’s regular membership meeting.Section 3. Other Standing Committees shall meet as required.Section 4. The Nominating Committee will meet in December to begin the process ofrecommending the slate of officers and shall meet as often as necessary to fulfill their dutiesprior to the annual meetingSection 5. Special meetings may be called on the written request of any five members withsaid request containing a detailed agenda and reason presented to the Executive Committee atleast one week prior to the proposed date of the special meeting.Section 6. Social affairs, not classified as meetings, may be voted upon and arrangementsmade at regular meetings, or arrangements may be delegated specifically to a committee at aregular meeting.Section 7. The annual meeting of the Organization shall be the last regular meeting of thefiscalyear. The agenda shall include, but not be limited to:A . The election of officers from slate presented by the Nominating Committee;B . Y ear‐end Financial Report;C . Executive Committee Report;D. Outgoing President’s Report of the Organization’s progress and activities during his termof office.

Article 5

OfficersSection 1. The officers’ term of offices shall be one year, coinciding with the fiscal year, asdetermined by the By‐L aws, but each officer shall serve until his successor is duly elected.An officer may be re‐elected to serve in the same office for a succeeding year.Section 2. The Executive Committee, selected from the members in good standing bymajority quorum vote (except for the President Ex‐Officio), shall be:A . PresidentB . V ice PresidentC . SecretaryD. T reasurerE . President Ex‐Officio (immediate Past President)F. S ix DirectorsSection 3. Resignation in writing of any officer must be accepted by the Organization.Temporary replacement of the officer may be made by the Executive Committee if it deemssuch action necessary, but a new officer shall be elected at the next regular meeting of theOrganization to fill the unexpired term.Section 4. Temporary absence of an officer will follow Roberts’ Rules of Succession with theorder as listed in the above Section 2.

Section 5. In the event no other members of the Executive Committee can be present, thePresident may appoint an officer pro‐tempore, and notify the permanent officer of theappointment as soon as possible.PAOPArticle 6

F inancialSection 1. The local financial obligations shall be defrayed as set forth in the Organization’sBy‐L aws. Any proposed increase in dues must be announced by the Executive Committee ina regular meeting at least two months before said increase is presented for membership vote.

Article 7Amendments

Section 1. The Constitution and By‐L aws may be amended at any regular meeting providinga copy of the proposed amendment(s) shall have been submitted in writing to the ExecutiveCommittee 30 days prior to the date of that meeting; and a copy mailed to each member ingood standing at least a week before the date of that meeting.Section 2. To adopt an amendment to the Constitution and/or By‐L aws, a two‐thirds vote ofthe membership in attendance shall be required.

Article IFive percent of the membership shall be present at the regular meeting to constitute aquorum.

Article I IF iscal YearThe fiscal year shall begin February 1st of each year and end the 31st of January each year.

Article I I IVotingSection 1. Only members in good standing may vote. Each member is entitled to one vote.Section 2. A majority vote of attending members in good standing shall be sufficient todecide matters before the meeting.

Article IVExecutive CommitteeSection 3. The Executive Committee shall consist of the elected Officers: President, V ice‐President, Secretary, T reasurer, six Directors, and the immediate Past President.Section 4. Duties and responsibilities of the Executive Committee shall include but not belimited to:

A . E stablish policy, recommendations, opinions, and declarations of the Organizationand assure coordination of these policies, recommendations, opinions, anddeclarations with any other aviation organization with which the Organization isinvolved.B . Approve the disbursement of the Organization’s funds.C . Plan the activities of the Organization and assign priorities of action.D. Prevent and discourage attempts outside the Organization to commercialize, forpecuniary profit, the activities of the Organization or its members.E . Designate (when necessary) a member to assume, temporarily, the duties of anofficer who has tendered his/her resignation.

Article VStanding CommitteesA . Executive Committee consists of the President, V ice President, Secretary, T reasurer,President Ex‐Officio, and six Directors (See A rticle IV ).B . Entertainment Committee chaired by the V ice President with as many volunteer membersas needed.

C . Publicity Committee chaired by the V ice President with as many volunteer members asneeded.D. Buildings Committee chaired by a Director (with as many volunteer members as needed)is responsible for the maintenance, repair, and condition of the Flyers’ Roost buildingsincluding interior, exterior, and related equipment pertaining only to those structuresimmediately associated with the Flyers’ Roost, i.e., main building, sheds, etc. It does notpertain to such items as the segmented circle, wind sock assemblage, research facility, orother facilities operated in close proximity to the Flyers’ roost.E . Grounds Committee chaired by a Director (with as many volunteer members as needed)is responsible for the maintenance, repair, and condition of the Flyers’ Roost groundsincluding grass, pavilions, outdoor tables, and related equipment.F. Food Service Committee chaired by a Director (with as many volunteer members asNeeded) is responsible for the food service including Flyers’ Roost clean‐up aftermonthly outdoor meetings, maintenance and acquisition of all required equipment, andacquisition of all consumables (food, beverage, and utensils).

Article V ISpecial C ommitteesA . Nominating Committee shall be appointed by the Executive Committee each Novemberto contact prospective candidates, obtain their consent to serve if elected, and to finalizethe slate to be presented to the general membership by mail prior to the Annual Meetingin January.B . Audit Committee shall be appointed by the Executive Committee and shall conduct a fullimpartial audit of all Organization finances at least once a year.C . Other committees shall be appointed by the President or Executive Committee as theneed for them arises.

Article V I IDuties of the OfficersSection 1. PresidentA . Preside at all Organization meetings and be the responsible formal agent of theOrganization in matters pertaining to liaison with Government, commercial, or privateagencies or enterprises.B . Be accessible to the membership to review and explain the reasons for courses of actiontaken or to be undertaken by the Executive Committee.C . Coordinate the activities of the Organization through the meetings of the ExecutiveCommittee.PAOPD. Delegate to the other officers and members such duties as may be necessary to facilitateand expedite the aims and objectives of the Organization.E . L iaison with Fixed Base Operator and landlord.F. Responsible for monthly program.

Section 2. V ice PresidentA . Shall preside at meetings and any function of the Organization and of the ExecutiveCommittee in the absence of the President.B . Shall be responsible for the Organization’s publicity program including:1. Media contact including newspaper, radio, and TVC . Shall chair the Entertainment Committee including the arrangements for:1. Monthly dinner arrangements2. Special guests

Section 3. SecretaryA . K eep official records of the Organization including minutes of regular and specialmeetings.B . Gather and compile pertinent information into:1. Monthly newsletter written by the President2. Special function notices

Section 4. T reasurerA . Be the responsible agent for maintaining the Organization’s funds.B . Submit monthly statements including a written report on the receipts, disbursements, andstatus of the Organization’s treasury to the Executive Committee and to the generalmembership at regular meetings.C . Submit annual fiscal reports.D. E stablish and maintain accurate lists of the Organization’s membership rolls, includingnames, addresses, and residence phones.

Section 5. Directors (S ix)A . Chair the Buildings CommitteeB . Chair the Grounds CommitteeC . Chair the Food Service Committee

Section 6. President Ex‐OfficioA . Give guidance and support to the President and Executive Committee for at least oneyear.

Article V I I IAirport RepresentativesIn addition to the aforementioned officers, the Executive Committee may appoint an airportrepresentative for each airport in the vicinity of the local Organization from among theOrganization’s members in good standing.

Article IXExpensesThis Organization will cover its day‐to‐day operational expenses through the payment ofinitiation fee and dues by each member in the amount currently specified. In the event furtherfunding is required to meet the Organization’s objectives, special fund‐raising activities andprograms may be initiated.

Article XRules of Order‘Robert’s Rules of Order’ shall govern all business when not in conflict with theOrganization’s Constitution or By‐L aws.

Article X IAmendmentsThe Constitution and By‐L aws may be amended in accordance with A rticle 7 of theConstitution.
