THE MINISTER OF ENERGY AND MINERAL RESOURCES OF THE REPUBLIC OF

INDONESIA,

Menimbang: Considering:

a. bahwa dalam rangka melaksanakan ketentuan Pasal 99 Peraturan Pemerintah Nomor 23 Tahun 2010 tentang Pelaksanaan Kegiatan Usaha Pertambangan Mineral dan Batubara sebagaimana telah diubah dengan Peraturan Pemerintah Nomor 24 Tahun 2012, perlu mengatur tata cara dan penetapan harga divestasi saham;

a. that to give effect to Article 99 of Regulation of the Government Number 23 of 2010 concerning Implementation of Mineral and Coal Mining Business Activities, as amended by Regulation of the Government Number 24 of 2012, it is necessary to regulate the procedures for divestment and share pricing;

b. bahwa dalam pelaksanaan kegiatan usaha pertambangan mineral dan batubara dapat terjadi perubahan penanaman modal bagi badan usaha, sehingga perlu diberikan pedoman untuk pelaksanaan perubahan penanaman modal dimaksud;

b. that entities in their implementation of mineral and coal mining business activities may need to make changes in investment, it is therefore necessary to provide them with guidelines to such changes in investment;

c. bahwa berdasarkan pertimbangan sebagaimana dimaksud dalam huruf a dan huruf b, perlu menetapkan Peraturan Menteri Energi dan Sumber Daya Mineral tentang Tata Cara dan Penetapan Harga Divestasi Saham, serta Perubahan Penanaman Modal di Bidang Usaha Pertambangan Mineral dan Batubara;

c. that in consideration of point (a) and point (b), it is necessary to issue Regulation of the Minister of Energy and Mineral Resources concerning Procedures for Divestment and Share Pricing and Changes in Investment in Mining and Coal Businesses;

REGULATION OF THE MINISTER OF ENERGY AND MINERAL RESOURCES CONCERNING PROCEDURES FOR DIVESTMENT AND SHARE PRICING AND CHANGES IN INVESTMENT IN MINING AND COAL BUSINESSES.

BAB I CHAPTER I

KETENTUAN UMUM GENERAL PROVISIONS

Pasal 1 Article 1

Dalam Peraturan Menteri ini yang dimaksud dengan:

In this Regulation of the Minister:

1. Divestasi Saham adalah jumlah saham asing yang harus ditawarkan untuk dijual kepada Peserta Indonesia.

1. Share Divestment means an amount of foreign shares that must be offered for sale to Indonesian Partners.

2. Izin Usaha Pertambangan Operasi Produksi, yang selanjutnya disebut IUP Operasi Produksi, adalah izin usaha yang diberikan setelah selesai pelaksanaan IUP Eksplorasi untuk melakukan tahapan kegiatan operasi produksi.

2. Production Operation Mining Permit, hereinafter called a “Production Operation IUP,” means a business permit that is granted upon completion of an Exploration IUP stage to undertake a production operation stage.

4. Domestic Investment, hereinafter called “PMDN” means an activity of a domestic investor to invest its domestic capital to do business in the territory of the state of the Republic of Indonesia.

dengan menggunakan modal dalam negeri.

5. Penanam Modal Dalam Negeri adalah perseorangan Warga Negara Indonesia, Badan Usaha Indonesia, Negara Republik Indonesia, atau daerah yang melakukan penanaman modal di wilayah Negara Republik Indonesia.

5. Domestic Investor means an Indonesian individual, an Indonesian Business Entity, the State of the Republic of Indonesia, or a region that invests in the territory of the State of the Republic of Indonesia.

6. Penanaman Modal Asing, yang selanjutnya disebut PMA, adalah kegiatan menanam modal untuk melakukan usaha di wilayah negara Republik Indonesia yang dilakukan oleh penanam modal asing, baik yang menggunakan modal asing sepenuhnya maupun yang berpatungan dengan penanam modal dalam negeri.

6. Foreign investment, hereinafter called “PMA,” means an activity of a foreign investor to invest, either its entire foreign capital or by establishing a joint venture with a domestic investor to do business in the territory of the state of the Republic of Indonesia.

7. Modal Asing adalah modal yang dimiliki oleh negara asing, perseorangan warga negara asing, badan usaha asing, badan hukum asing, dan/atau badan hukum Indonesia yang sebagian atau seluruh modalnya dimiliki oleh pihak asing.

7. Foreign Capital means capital that is owned by a foreign state, a foreign individual, a foreign entity, a foreign legal entity, and/or an Indonesian legal entity, whose capital is in part or whole foreign owned.

8. Pemerintah Pusat, yang selanjutnya disebut Pemerintah, adalah Presiden Republik Indonesia yang memegang kekuasaan Pemerintahan Negara Republik Indonesia sebagaimana dimaksud dalam Undang-Undang Dasar Negara Republik Indonesia Tahun 1945.

8. Central Government, hereinafter called the “Government,” means the President of the Republic of Indonesia with the power to govern the State of the Republic of Indonesia vested in him as intended by the 1945 Constitution of the Republic of Indonesia.

9. Pemerintah Provinsi adalah gubernur dan perangkat daerah provinsi sebagai unsur penyelenggara pemerintahan daerah provinsi.

9. Provincial Government means the governors and the provincial instrumentalities which form elements by which the provincial governments are administered.

10. Pemerintah Kabupaten/Kota adalah bupati/walikota dan perangkat daerah kabupaten/kota sebagai unsur penyelenggara pemerintahan daerah kabupaten/kota.

10. District/City Government means the regents/mayors and the regional instrumentalities which form elements by which the district/city governments are administered.

11. Badan Usaha Milik Negara, yang selanjutnya disingkat BUMN, adalah BUMN yang bergerak di bidang pertambangan sesuai dengan ketentuan peraturan perundang-undangan.

11. State-Owned Entity, hereinafter called “BUMN,” means any State-Owned Entity that is engaged in the field of mining under laws and regulations.

12. Badan Usaha Milik Daerah, yang selanjutnya disingkat BUMD, adalah BUMD yang bergerak di bidang pertambangan sesuai dengan ketentuan peraturan perundang-undangan.

12. Region-Owned Entity, hereinafter called “BUMD,” means any Region-Owned Entity that is engaged in the field of mining under laws and regulations.

13. Badan Usaha Swasta Nasional adalah badan 13. National Private Entity means any

14. Penilai Independen adalah perusahaan penilai yang tidak terkait dengan bank dan debitur untuk melakukan kegiatan penilaian berdasarkan Kode Etik Penilai Indonesia serta ketentuan-ketentuan lain yang ditetapkan oleh Dewan Penilai Indonesia dan memiliki izin usaha dari instansi berwenang.

14. Independent Appraiser means an appraiser company that is not affiliated with banks and debtors to appraise under the Indonesian Appraisal Code of Ethics and other provisions adopted by the Indonesian Appraisal Board, and holds a business permit issued by the competent agency.

15. Izin Usaha Pertambangan Eksplorasi, yang selanjutnya disebut IUP Eksplorasi, adalah izin usaha yang diberikan untuk melakukan tahapan kegiatan penyelidikan umum, eksplorasi, dan studi kelayakan.

15. Exploration Mining Permit, hereinafter called “Exploration IUP,” means a business permit that is granted to undertake the stages of general surveys, explorations and feasibility studies.

16. Izin Usaha Pertambangan Khusus Eksplorasi, yang selanjutnya disebut IUPK Eksplorasi, adalah izin usaha yang diberikan untuk melakukan tahapan kegiatan penyelidikan umum, eksplorasi, dan studi kelayakan di wilayah izin usaha pertambangan khusus.

16. Exploration Special Mining Permit, hereinafter called “Exploration IUPK,” means a business permit that is granted to undertake the stages of general surveys, explorations, and feasibility studies in a special mining permit area.

17. Izin Usaha Pertambangan Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, yang selanjutnya disebut IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, adalah izin usaha yang diberikan kepada perusahaan untuk membeli, mengangkut, mengolah, dan memurnikan termasuk menjual komoditas tambang mineral atau batubara hasil olahannya.

17. Production Operation Mining Permit specifically for processing and/or refining/smelting, hereinafter called a “Production Operation IUP specifically for processing and/or refining/smelting,” means a business permit that is granted to a company to purchase, haul, process, and refine/smelt, including sell mineral or coal commodities it has processed.

18. Izin Usaha Pertambangan Operasi Produksi khusus untuk pengangkutan dan penjualan, yang selanjutnya disebut IUP Operasi Produksi khusus untuk pengangkutan dan penjualan, adalah izin usaha yang diberikan kepada perusahaan untuk membeli, mengangkut, dan menjual komoditas tambang mineral atau batubara.

18. Production Operation Mining Permit specifically for hauling and sale, hereinafter called a “Production Operation IUP specifically for hauling and sale,” means a business permit that is granted to a company to purchase, haul, process, and sell mineral or coal commodities.

19. Penambangan adalah bagian kegiatan usaha pertambangan untuk memproduksi mineral dan/atau batubara dan mineral ikutannya.

19. Mine means a part of mining business activities to produce minerals and/or coal and their associated minerals.

20. Menteri adalah Menteri yang menyelenggarakan urusan pemerintahan di bidang pertambangan mineral dan batubara.

20. Minister means the Minister that administers the governmental affairs in the field of mineral and coal mining.

21. Direktur Jenderal adalah Direktur Jenderal yang melaksanakan tugas dan bertanggung jawab atas perumusan dan pelaksanaan

21. Director General means the Director General whose duties and responsibilities are to formalize and implement the technical policy

kebijakan dan standardisasi teknis di bidang mineral dan batubara.

22. Direktorat Jenderal adalah Direktorat Jenderal yang mempunyai tugas merumuskan serta melaksanakan kebijakan dan standardisasi teknis di bidang mineral dan batubara.

22. Directorate General means the Directorate General whose duties and responsibilities are to formalize and implement the technical policy and standardization in the field of minerals and coal.

BAB II CHAPTER II

DIVESTASI SAHAM SHARE DIVESTMENT

Bagian Kesatu Part One

Umum General

Pasal 2 Article 2

(1) Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi dalam rangka penanaman Modal Asing, setelah 5 (lima) tahun sejak berproduksi wajib melakukan Divestasi Saham secara bertahap, sehingga pada tahun kesepuluh sahamnya paling sedikit 51% (lima puluh satu persen) dimiliki oleh Peserta Indonesia.

(1) Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders in the scope of Foreign Investment must upon 5 (five) years of production divest their shares in stages, such that in the tenth year at least 51% (fifty-one percent) of their shares shall be owned by Indonesian partners.

(2) Sejak berproduksi sebagaimana dimaksud pada ayat (1) dihitung sejak penambangan pada tahap kegiatan operasi produksi.

(2) “Of production” as intended by section (1) shall commence from the mining operation during the stage of production operation.

(3) Divestasi Saham secara bertahap kepada Peserta Indonesia sebagaimana dimaksud pada ayat (1) tidak boleh kurang dari persentase sebagai berikut:

a. tahun keenam 20% (dua puluh persen); a. the sixth year: 20% (twenty percent);

(5) Badan Usaha Swasta Nasional sebagaimana dimaksud pada ayat (4) huruf f merupakan perseroan terbatas swasta.

(5) National Private Entities as intended by section (4) point (f) shall be private limited liability companies.

(6) Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi yang akan melaksanakan Divestasi Saham dan afiliasinya dilarang meminjamkan dana untuk pembelian Divestasi Saham kepada Peserta Indonesia.

(6) Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders to divest shares and their affiliates are prohibited from lending funds to Indonesian Partners for purchase of Divestment Shares.

(7) Dalam hal pemegang IUP Operasi Produksi dan IUPK Operasi Produksi pada tahun ke-5 (kelima) sejak berproduksi, sahamnya telah dimiliki paling sedikit 51% (lima puluh satu persen) oleh Penanam Modal Dalam Negeri tidak diwajibkan untuk melaksanakan Divestasi Saham.

(7) Where Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders in the 5th (fifth) year of production have had at least 51% (fifty-one percent) of shares owned by a Domestic Investor(s), they shall not be required to divest shares.

(8) Dalam hal terjadi peningkatan jumlah modal pada pemegang IUP Operasi Produksi dan IUPK Operasi Produksi setelah pelaksanaan Divestasi Saham, saham Peserta Indonesia sebagaimana dimaksud pada ayat (4) tidak boleh terdilusi menjadi lebih kecil dari jumlah saham sesuai kewajiban divestasi sebagaimana dimaksud pada ayat (3).

(8) Where there is an increase in the capital of the Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders after Share Divestment, the shares of the Indonesian Partners as intended by section (4) shall not be diluted to less than the amount of shares under a share divestment obligation as intended by section (3).

(9) Dalam hal pemegang saham Peserta Indonesia sebagaimana dimaksud pada ayat (4) tidak menggunakan haknya untuk membeli saham yang berasal dari peningkatan modal sebagaimana dimaksud pada ayat (8), pemegang IUP Operasi Produksi atau IUPK Operasi Produksi wajib menawarkan sahamnya kepada Peserta Indonesia lainnya dengan tetap memperhatikan komposisi kepemilikan saham Peserta Indonesia sesuai dengan kewajiban divestasi saham.

(9) Where the shareholders of the Indonesian Partners as intended by section (4) exercise no right to purchase shares derived from the increased shares as intended by section (8), the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders must offer their shares to other Indonesian Partners with due regard to the shareholdings of the Indonesian Partners under a share divestment obligation.

Pasal 3 Article 3

Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi dilarang menggadaikan saham yang wajib didivestasikan.

Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders are prohibited from pledging shares required divesting.

Pasal 4 Article 4

Special Mining Permit (IUPK) holders for sale to the Indonesian capital markets shall not be a part of the Share Divestment obligation.

Bagian Kedua Part Two

Tata Cara Divestasi Procedures for Divestment

Pasal 5 Article 5

Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi wajib melakukan penawaran Divestasi Saham kepada Peserta Indonesia dalam jangka waktu paling lambat 90 (sembilan puluh) hari kalender sejak 5 (lima) tahun berproduksi secara berjenjang kepada:

Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders must offer Divestment Shares to Indonesian Partners no later than 90 (ninety) calendar days of the 5th (fifth) year of production in stages to:

a. Pemerintah melalui Menteri, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota setempat;

a. the Government through the Minister, the Provincial Governments, and the relevant District/City Governments;

b. BUMN dan BUMD; dan b. State-Owned Entities (BUMN) and Region-Owned Entities (BUMD); and

c. Badan Usaha Swasta Nasional.

c. National Private Entities.

Pasal 6 Article 6

(1) Pemerintah melalui Menteri, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota setempat dalam jangka waktu paling lambat 60 (enam puluh) hari kalender setelah tanggal penawaran Divestasi Saham sebagaimana dimaksud dalam Pasal 5 wajib memberikan jawaban secara tertulis atas penawaran tersebut kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi.

(1) The Government through the Minister, the Provincial Governments, and the relevant District/City Governments must, within 60 (sixty) calendar days of the date of offer of Divestment Shares as intended by Article 5, give response in writing to that offer to Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders.

(2) Dalam hal Pemerintah, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota menyatakan berminat terhadap penawaran Divestasi Saham, Pemerintah, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota wajib menyampaikan surat pernyataan minat kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi dengan menyertakan mekanisme pembayaran Divestasi Saham dengan tembusan kepada:

(2) Where the Government, the Provincial Governments, and the District/City Governments express their interest in the offer of Divestment Shares, the Government, the Provincial Governments, and the District/City Governments must submit an expression of interest to the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders, along with providing the Share Divestment payment mechanism, carbon-copied to:

a. gubernur dan bupati/walikota apabila Pemerintah menyatakan minatnya;

a. the governor and the regent/mayor if the Government expresses its interest;

b. Pemerintah dan bupati/walikota apabila gubernur menyatakan minatnya;

b. the Government and the regent/mayor if the governor expresses its interest;

c. Pemerintah dan gubernur apabila bupati/walikota menyatakan minatnya.

c. the Government and the governor if the regent/mayor expresses its interest.

(3) Pernyataan minat Pemerintah sebagaimana dimaksud pada ayat (2) disampaikan setelah mendapatkan persetujuan dari Dewan Perwakilan Rakyat Republik Indonesia.

(3) Expression of interest of the Government as intended by section (2) shall be submitted upon approval from the House of Representatives of the Republic of Indonesia.

(4) Pernyataan minat Pemerintah Provinsi sebagaimana dimaksud pada ayat (2) disampaikan setelah mendapatkan persetujuan dari Dewan Perwakilan Rakyat Daerah Provinsi.

(4) Expression of interest of the Provincial Government as intended by section (2) shall be submitted upon approval from the Regional House of Representatives of the Province.

(5) Pernyataan minat Pemerintah Kabupaten/ Kota sebagaimana dimaksud pada ayat (2) disampaikan setelah mendapatkan persetujuan dari Dewan Perwakilan Rakyat Daerah Kabupaten/Kota.

(5) Expression of interest of the District/City as intended by section (2) shall be submitted upon approval from the Regional House of Representatives of the District/City.

(6) Dalam hal Pemerintah, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota menyatakan berminat terhadap penawaran Divestasi Saham dalam batas waktu penawaran 60 (enam puluh) hari kalender sebagaimana dimaksud pada ayat (1), maka Pemerintah diberikan prioritas untuk membeli Divestasi Saham.

(6) Where the Government, the Provincial Governments, and the District/City Governments express their interest in the offer of Divestment Shares within the 60 (sixty) calendar-day deadline as intended by section (1), the Government shall be given priority to purchase the Divestment Shares.

(7) Dalam hal Pemerintah menyatakan tidak berminat terhadap penawaran Divestasi Saham atau dalam jangka waktu sebagaimana dimaksud pada ayat (1) tidak ada jawaban dari Pemerintah, dan apabila Pemerintah Provinsi dan Pemerintah Kabupaten/Kota menyatakan minatnya, maka Pemerintah Provinsi dan Pemerintah Kabupaten/Kota berkoordinasi dengan Menteri untuk menetapkan komposisi jumlah presentase Divestasi Saham yang akan dibeli.

(7) Where the Government lacks interest in the offer of Divestment Shares or gives no response within the period as intended by section (1), while the Provincial Governments and the District/City Governments express their interest, the Provincial Governments and the District/City Governments shall coordinate with the Minister to determine the percentage of the Divestment Shares to be purchased.

Pasal 7 Article 7

(1) Dalam hal Pemerintah, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota menyatakan tidak berminat atau dalam jangka waktu sebagaimana dimaksud dalam Pasal 6 ayat (1) tidak ada jawaban dari Pemerintah, Pemerintah Provinsi, dan Pemerintah Kabupaten/Kota, pemegang IUP Operasi Produksi atau IUPK Operasi Produksi wajib langsung melakukan penawaran Divestasi Saham sebagaimana dimaksud dalam Pasal 5

secara terbuka kepada BUMN dan BUMD sebagai tahap awal pelaksanaan lelang Divestasi Saham kepada BUMN dan BUMD.

Divestment Shares as intended by Article 5 for open bidding to State-Owned Entities (BUMN) and Region-Owned Entities (BUMD) as the initial stage of bidding for Divestment Shares by the State-Owned Entities (BUMN) and Region-Owned Entities (BUMD).

(2) BUMN dan BUMD dalam jangka waktu paling lambat 60 (enam puluh) hari kalender setelah tanggal penawaran Divestasi Saham sebagaimana dimaksud pada ayat (1) wajib memberikan jawaban secara tertulis atas penawaran tersebut kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi.

(2) The State-Owned Entities (BUMN) and Region-Owned Entities (BUMD) must, within 60 (sixty) calendar days of the date of offer of Divestment Shares as intended by section (1) must give the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders response in writing to that offer.

(3) Dalam hal BUMN atau BUMD menyatakan berminat terhadap penawaran Divestasi Saham, BUMN atau BUMD wajib menyampaikan surat pernyataan minat kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi dengan dilengkapi:

(3) Where the State-Owned Entities (BUMN) or Region-Owned Entities (BUMD) express their interest in the offer of Divestment Shares, the State-Owned Entities (BUMN) or Region-Owned Entities (BUMD) must submit their expression of interest to the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders, accompanied by:

a. penawaran harga atas Divestasi Saham dalam amplop tertutup yang tersegel;

a. a bid for Divestment Shares in a sealed envelope;

b. akte pendirian BUMN atau BUMD yang telah disahkan oleh pejabat yang berwenang;

b. the Memorandum of Association of the State-Owned Entities (BUMN) or Region-Owned Entities (BUMD) validated by the competent official;

c. profil BUMN atau BUMD; c. the company profile of the State-Owned Entities (BUMN) or Region-Owned Entities (BUMD);

d. pernyataan kesungguhan untuk ikut bertanggung jawab dalam pengembangan kegiatan usaha pertambangan mineral atau batubara yang dilaksanakan pemegang IUP Operasi Produksi atau IUPK Operasi Produksi; dan

d. a statement of commitment to take responsibility for the development of mineral or coal mining business performed by the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders; and

e. Nomor Pokok Wajib Pajak. e. the Taxpayer ID Number.

(4) Pembukaan amplop penawaran harga atas Divestasi Saham dilakukan pada hari ke-60 (keenam puluh) setelah tanggal penawaran sebagaimana dimaksud pada ayat (1) dan wajib dihadiri oleh seluruh peserta lelang.

(4) The sealed envelope of Divestment Share bid shall be opened on the 60th (sixtieth) day of the date of offer as intended by section (1) in the obligatory presence of all the bidders.

(5) Pemegang IUP Operasi Produksi atau IUPK Operasi Produksi menetapkan pemenang lelang berdasarkan pada penawaran tertinggi dan memperhatikan persyaratan sebagaimana dimaksud pada ayat (3) huruf b sampai dengan huruf e.

(5) Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders shall award preferred bidder status on a highest bid basis and fulfill the requirements as intended by section (3) point (b) to point (e).

(6) Dalam hal BUMN atau BUMD yang menyampaikan pernyataan minat sebagaimana dimaksud pada ayat (2) hanya 1 (satu), lelang tetap dilaksanakan.

(6) Where there is only one State-Owned Entity (BUMN) or Region-Owned Entity (BUMD) submitting expression of interest as intended by section (2), the bidding process shall remain to continue.

Pasal 8 Article 8

(1) Dalam hal BUMN atau BUMD menyatakan tidak berminat atau dalam jangka waktu sebagaimana dimaksud dalam Pasal 7 ayat (2) tidak ada jawaban dari BUMN atau BUMD, pemegang IUP Operasi Produksi atau IUPK Operasi Produksi wajib melakukan penawaran Divestasi Saham sebagaimana dimaksud dalam Pasal 5 secara terbuka kepada Badan Usaha Swasta Nasional sebagai tahap awal pelaksanaan lelang Divestasi Saham kepada Badan Usaha Swasta Nasional.

(1) Where State-Owned Entities (BUMN) or Region-Owned Entities (BUMD) express their interest or give no response within the period as intended by Article 7 section (2), the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders must immediately offer the Divestment Shares as intended by Article 5 for open bidding to National Private Entities as the initial stage of bidding for Divestment Shares by the National Private Entities.

(2) Badan Usaha Swasta Nasional dalam jangka waktu paling lambat 30 (tiga puluh) hari kalender setelah tanggal penawaran sebagaimana dimaksud pada ayat (1) wajib memberikan jawaban secara tertulis atas penawaran tersebut kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi.

(2) National Private Entities must, within 30 (thirty) calendar days of the date of offer as intended by section (1), give the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders response in writing to that offer.

(3) Dalam hal Badan Usaha Swasta Nasional menyatakan berminat terhadap penawaran Divestasi Saham, Badan Usaha Swasta Nasional wajib menyampaikan surat pernyataan minat kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi dengan dilengkapi:

(3) Where National Private Entities express their interest in the offer of Divestment Shares, the National Private Entities must submit their expression of interest to the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders, accompanied by:

a. penawaran harga atas Divestasi Saham dalam amplop tertutup yang tersegel;

a. a bid for Divestment Shares in a sealed envelope;

b. akte pendirian Badan Usaha Swasta Nasional yang membuktikan seluruh modalnya dalam negeri yang telah disahkan oleh pejabat yang berwenang;

b. the memorandum of association of the National Private Entities documenting that their domestic capital has been validated by the competent official;

c. profil Badan Usaha Swasta Nasional; c. the company profile of the National Private Entities;

d. a statement of commitment to take responsibility for the development of mineral or coal mining business performed by the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders; and

e. Nomor Pokok Wajib Pajak. e. the Taxpayer ID Number.

(4) Pembukaan amplop penawaran harga atas Divestasi Saham dilakukan pada hari ke-30 (ketiga puluh) setelah tanggal penawaran sebagaimana dimaksud pada ayat (1) dan wajib dihadiri oleh seluruh peserta lelang.

(4) The sealed envelope of Divestment Share bid shall be opened on the 30th (thirtieth) day of the date of offer as intended by section (1) in the obligatory presence of all the bidders.

(5) Pemegang IUP Operasi Produksi atau IUPK Operasi Produksi menetapkan pemenang lelang berdasarkan pada penawaran tertinggi dan memperhatikan persyaratan sebagaimana dimaksud pada ayat (3) huruf b sampai dengan huruf e.

(5) Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders shall award preferred bidder status on a highest bid basis with due regard to the requirements as intended by section (3) point (b) to point (e).

(6) Dalam hal Badan Usaha Swasta Nasional yang menyampaikan pernyataan minat sebagaimana dimaksud pada ayat (2) hanya 1 (satu), lelang tetap dilaksanakan.

(6) Where there is only one National Private Entity submitting expression of interest as intended by section (2), the bidding process shall remain to continue.

Pasal 9 Article 9

Dalam hal Divestasi Saham pemegang IUP Operasi Produksi atau IUPK Operasi Produksi sebagaimana dimaksud dalam Pasal 5 sampai dengan Pasal 8 tidak dapat terlaksana, proses Divestasi Saham harus diulang dan diakumulasikan sesuai dengan kewajibannya berdasarkan tata cara Divestasi Saham sebagaimana dimaksud dalam Pasal 5 sampai dengan Pasal 8.

Where Share Divestment of the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders as intended by Article 5 to Article 8 fails, the Share Divestment process must be repeated and accumulated according to their obligations under the procedures for Share Divestment as intended by Article 5 to Article 8.

Bagian Ketiga Part Three

Tata Cara Pembayaran Divestasi Saham Procedures for Payment of Divestment Shares

Pasal 10 Article 10

(1) Pembayaran dan penyerahan Divestasi Saham dilaksanakan dalam jangka waktu paling lambat 90 (sembilan puluh) hari kalender setelah tanggal pernyataan minat dari Pemerintah, Pemerintah Provinsi, atau Pemerintah Kabupaten/Kota dan dituangkan dalam akta jual beli Divestasi Saham yang ditandatangani oleh kedua belah pihak.

(1) Payment and delivery of Divestment Shares shall be made within 90 (ninety) calendar days of the date of expression of interest of the Government, the Provincial Governments, or the District/City Governments and be stated in the deed of sale and purchase of Divestment Shares signed by both parties.

Pasal 11 Article 11

(1) Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi wajib menyampaikan laporan pelaksanaan Divestasi Saham kepada Menteri melalui Direktur Jenderal dengan tembusan disampaikan kepada gubernur dan bupati/ walikota.

(1) Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders must submit a Divestment Share report to the Minister through the Director General, carbon-copied to the governor and the regent/mayor.

(2) Laporan sebagaimana dimaksud pada ayat (1) harus disertai dengan berita acara dan akta jual beli Divestasi Saham yang telah disetujui dan ditandatangani oleh kedua belah pihak.

(2) A report as intended by section (1) must be accompanied by the minutes and the deed of sale and purchase of Divestment Shares consented and signed by both parties.

Pasal 12 Article 12

Pemegang IUP Operasi Produksi dan IUPK Operasi Produksi yang telah selesai melaksanakan Divestasi Saham wajib mengajukan komposisi perubahan saham kepada Menteri melalui Direktur Jenderal dengan tembusan kepada gubernur dan bupati/walikota.

Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders must upon completion of Share Divestment submit the changed shareholding to the Minister through the Director General, carbon-copied to the governor and the regent/mayor.

Bagian Keempat Part Four

Tata Cara Penetapan Harga Divestasi Saham Procedures for Divestment Share Pricing

Pasal 13 Article 13

(1) Harga Divestasi Saham dari pemegang IUP Operasi Produksi atau IUPK Operasi Produksi yang ditawarkan kepada Peserta Indonesia ditetapkan berdasarkan biaya penggantian (replacement cost) atas investasi pemegang IUP Operasi Produksi atau IUPK Operasi Produksi.

(1) A Divestment Share price offered by Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders to Indonesian Partners shall be determined on the basis of replacement cost of the investment cost of the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders.

investasi pemegang IUP Operasi Produksi atau IUPK Operasi Produksi sebagaimana dimaksud pada ayat (1) berupa biaya penggantian (replacement cost) atas jumlah kumulatif biaya investasi yang dikeluarkan sejak tahap eksplorasi sampai dengan tahun kewajiban Divestasi Saham dikurangi:

the Production Operation Mining Permit (IUP) holders or Production Operation Special Mining Permit (IUPK) holders as intended by section (1) shall be replacement cost of the accumulated investment cost that has been incurred from the exploration stage up until when divestment occurs, minus:

a. akumulasi penyusutan dan amortisasi yang didasarkan atas umur ekonomis atau manfaat dari golongan harta yang berbeda-beda yang disesuaikan dengan pengaruh inflasi; dan

a. the aggregated depreciation and amortization costs which are based on the economic or benefit age of the relevant assets as adjusted by inflation rates; and

b. kewajiban keuangan hingga akhir tahun saat kewajiban Divestasi Saham jatuh tempo.

b. the financial obligations until the end of the year in which the Share Divestment obligation has matured.

(3) Harga Divestasi Saham sebagaimana dimaksud pada ayat (1) dan ayat (2) menjadi:

Pasal 14 Article 14

Harga Divestasi Saham yang ditawarkan kepada Peserta Indonesia sebagaimana dimaksud dalam Pasal 13 dapat dihitung oleh Penilai Independen.

A Divestment Share price offered to Indonesian Partners as intended by Article 13 may be calculated by an Independent Appraiser.

BAB III CHAPTER III

PERUBAHAN PENANAMAN MODAL CHANGES IN INVESTMENT

Bagian Kesatu Part One

Umum General

Pasal 15 Article 15

(1) Perubahan penanaman modal dapat dilaksanakan setelah mendapat persetujuan Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya.

(1) Changes in investment may be made upon approval from the competent Minister, governor, or regent/mayor.

(2) Perubahan penanaman modal sebagaimana dimaksud pada ayat (1) terdiri atas:

c. perubahan Anggaran Dasar; c. amendment of the Articles of Association;

d. perubahan Direksi dan Komisaris; dan d. changes in the Board of Directors and the Board of Commissioners; and

e. perubahan kepemilikan saham.

Bagian Kedua Part Two

Perubahan Investasi dan Sumber Pembiayaan Changes in Investment and Financing Sources

Pasal 16 Article 16

(1) Permohonan perubahan investasi dan sumber pembiayaan sebagaimana dimaksud dalam Pasal 15 ayat (2) huruf a diajukan oleh pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan kepada:

(1) An application for changes in investment and financing sources as intended by Article 15 section (2) point (a) shall be submitted by Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Special Mining Permit (IUPK) holders, Production Operation Mining Permit holders specifically for processing and/or refining/smelting, or Production Operation Mining Permit (IUP) holders specifically for hauling and sale to the competent:

a. Menteri melalui Direktur Jenderal; a. Minister through the Director General;

b. gubernur, atau b. governor, or

c. bupati/walikota, c. regent/mayor,

sesuai dengan kewenangannya berdasarkan format sebagaimana tercantum dalam Lampiran IA yang merupakan bagian tidak terpisahkan dari Peraturan Menteri ini.

Operation Special Mining Permit (IUPK) holders;

c. bukti pelunasan pembayaran iuran produksi selama 2 (dua) tahun terakhir bagi pemegang IUP Operasi Produksi dan IUPK Operasi Produksi;

c. a receipt of payment for the last 2 (two) years production royalties for Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders;

d. bukti pelunasan pembayaran iuran produksi bagi pemegang IUP Eksplorasi atau IUPK Eksplorasi yang memiliki izin sementara untuk melakukan pengangkutan dan penjualan, serta pemegang IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian yang memanfaatkan mineral ikutan;

d. a receipt of payment for production royalties for Exploration Mining Permit (IUP) holders or Exploration Special Mining Permit (IUPK) holders with temporary hauling and sales licenses, and Production Operation Mining Permit holders specifically for processing and/or refining/smelting utilizing associated minerals.

e. laporan keuangan 2 (dua) tahun terakhir yang telah diaudit oleh akuntan publik;

e. the last (2) two-year financial statement audited by a public accountant;

f. dokumen perjanjian pinjaman dana; dan f. documentation of fund loan agreements; and

g. salinan IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, atau IUPK Operasi Produksi yang telah teregistrasi pada Direktorat Jenderal dan dinyatakan clear and clean.

g. copies of the Exploration Mining Permit, Exploration Special Mining Permit, Production Operation Mining Permit (IUP), or Production Operation Special Mining Permit (IUPK) registered with the Directorate General and certified as clear and clean.

Pasal 17 Article 17

(1) Dalam hal permohonan perubahan investasi dan sumber pembiayaan sebagaimana dimaksud dalam Pasal 16 telah lengkap, Direktur Jenderal, gubernur, atau bupati/ walikota sesuai dengan kewenangannya melakukan penelitian dan evaluasi.

(1) Upon receipt of the complete required documentation of changes in investment and financing sources as intended by Article 16, the competent Director General, governor, or regent/mayor shall make examination and evaluation.

(2) Gubernur atau bupati/walikota sesuai dengan kewenangannya menugaskan dinas teknis provinsi atau dinas teknis kabupaten/kota yang membidangi pertambangan mineral dan batubara untuk melakukan penelitian dan evaluasi.

(2) The competent governor or regent/mayor shall delegate the technical office of the province or the technical office of the district/city in charge of mineral and coal mining to make examination and evaluation.

(3) Berdasarkan hasil penelitian dan evaluasi sebagaimana dimaksud pada ayat (1), Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya memberikan keputusan pemberian atau penolakan persetujuan perubahan investasi dan sumber pembiayaan.

(3) Upon the results of examination and evaluation as intended by section (1), the competent Minister, governor, or regent/mayor shall make a decision on whether to approve or reject the proposed changes in investment and financing sources.

(4) Pemberian atau penolakan permohonan persetujuan perubahan investasi dan sumber pembiayaan sebagaimana dimaksud pada ayat (3) ditetapkan dalam jangka waktu paling lama 14 (empat belas) hari kerja, terhitung sejak tanggal permohonan diterima dengan lengkap dan benar.

(4) Approval or rejection of the proposed changes in investment and financing sources as intended by section (3) shall be made within 14 (fourteen) working days of the date of receipt of the complete and correct application.

(5) Ketentuan mengenai format keputusan pemberian persetujuan perubahan investasi dan sumber pembiayaan sebagaimana dimaksud pada ayat (4) tercantum dalam Lampiran IB yang merupakan bagian tidak terpisahkan dari Peraturan Menteri ini.

(5) The format of the decision to approve changes in investment and financing sources as intended by section (4) is provided in Attachment IB, made an inseparable part of this Regulation of the Minister.

(6) Dalam hal permohonan perubahan investasi dan sumber pembiayaan ditolak, penolakan tersebut harus disampaikan secara tertulis kepada pemohon disertai dengan alasan penolakan.

(6) Where the application for changes in investment and financing sources is rejected, such rejection must be given in writing to the applicant with assigning any reason for rejection.

Bagian Ketiga Part Three

Perubahan Status Perusahaan PMA Menjadi PMDN atau PMDN menjadi PMA

Changes in Investment Status from Investment Companies (PMA) to Domestic Companies

(PMDN) or from Domestic Companies (PMDN) to Investment Companies (PMA)

Pasal 18 Article 18

(1) Permohonan perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA sebagaimana dimaksud dalam Pasal 15 ayat (2) huruf b diajukan oleh pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan kepada Menteri melalui Direktur Jenderal berdasarkan format sebagaimana tercantum dalam Lampiran IIA dan Lampiran IIB yang merupakan bagian tidak terpisahkan dari Peraturan Menteri ini.

Foreign Capital ownership is not more than 75% (seventy-five percent).

(3) Perubahan status perusahaan PMDN menjadi PMA untuk IUP Operasi Produksi dan IUPK Operasi Produksi hanya dapat dilakukan apabila kepemilikan Modal Asing tidak lebih dari 49% (empat puluh sembilan persen).

(3) Changes in the investment status from Domestic Companies (PMDN) to Investment Companies (PMA) for Production Operation Mining Permits and Production Operation Special Mining Permits may only be made where the Foreign Capital ownership is not more than 49% (forty-nine percent).

(4) Permohonan perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA sebagaimana dimaksud pada ayat (1) harus melampirkan:

b. hasil keputusan Rapat Umum Pemegang Saham sebelum dituangkan dalam akta notaris;

b. the non-notarized resolution of the General Meeting of Shareholders;

c. laporan hasil kegiatan studi kelayakan yang membuktikan telah ditemukan paling sedikit 2 (dua) wilayah prospek dalam kegiatan eksplorasi bagi pemegang IUP Eksplorasi atau IUPK Eksplorasi;

c. the feasibility study findings reports documenting that at least 2 (two) prospects have been identified as part of the exploration activities for Exploration Mining Permit holders or Exploration Special Mining Permit holders;

d. bukti pelunasan pembayaran iuran tetap (deadrent) selama 2 (dua) tahun terakhir bagi pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, dan IUPK Operasi Produksi;

d. a receipt of payment for the last 2 (two) years dead rent for Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders;

e. bukti pelunasan pembayaran iuran produksi selama 2 (dua) tahun terakhir bagi pemegang IUP Operasi Produksi dan IUPK Operasi Produksi;

h. rancangan jual beli saham; h. a draft share sale and purchase agreement;

i. akta pendirian perusahaan calon pemegang saham baru;

i. a memorandum of association of the new prospective shareholder;

j. KTP dan Nomor Pokok Wajib Pajak bagi calon pemegang saham baru Warga Negara Indonesia atau paspor bagi calon pemegang saham baru Warga Negara Asing apabila perubahan kepemilikan saham kepada orang perseorangan;

j. the Resident ID Card and Taxpayer ID Number of the new prospective shareholder of Indonesian individual or the passport of the new prospective shareholder of Foreign individual;

k. profil calon pemegang saham baru; k. the profile of the new prospective shareholder;

l. rekomendasi gubernur dan/atau bupati/ walikota sesuai dengan kewenangannya untuk perubahan status perusahaan dari PMDN menjadi PMA bagi IUP yang diterbitkan oleh gubernur atau bupati/walikota; dan

l. a recommendation from the competent governor and/or regent/mayor of the changes in the investment status from a Domestic Company (PMDN) to an Investment Company (PMA) for a Mining Permit issued by the governor and/or regent/mayor; and

m. salinan IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, atau IUPK Operasi Produksi yang telah teregistrasi pada Direktorat Jenderal dan dinyatakan clear and clean.

m. copies of the Exploration Mining Permit, Exploration Special Mining Permit, Production Operation Mining Permit (IUP), or Production Operation Special Mining Permit (IUPK) registered with the Directorate General and certified as clear and clean.

Pasal 19 Article 19

(1) Dalam hal permohonan perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA sebagaimana dimaksud dalam Pasal 18 telah lengkap, Direktur Jenderal melakukan penelitian dan evaluasi.

(2) Berdasarkan hasil penelitian dan evaluasi sebagaimana dimaksud pada ayat (1), Menteri memberikan keputusan pemberian atau penolakan persetujuan perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA.

(6) Pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan dilarang mengajukan permohonan perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA kepada Badan Koordinasi Penanaman Modal sebelum mendapatkan persetujuan dari Menteri sebagaimana dimaksud pada ayat (2).

(6) Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Special Mining Permit (IUPK) holders, Production Operation Mining Permit holders specifically for processing and/or refining/smelting, or Production Operation Mining Permit (IUP) holders specifically for hauling and sale are prohibited from submitting an application for changes in the investment status from Investment Companies (PMA) to Domestic Companies (PMDN) or from Domestic Companies (PMDN) to Investment Companies (PMA) to the Investment Coordinating Agency prior to approval from the Minister as intended by section (2).

(7) Pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pernurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan yang melakukan pelanggaran sebagaimana

(7) Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Special Mining Permit (IUPK) holders, Production Operation Mining Permit holders specifically for processing and/or refining/smelting, or

dimaksud pada ayat (6), maka dianggap belum terjadi perubahan status perusahaan PMA menjadi PMDN atau PMDN menjadi PMA.

Production Operation Mining Permit (IUP) holders specifically for hauling and sale in violation of section (6) shall have their investment status to be deemed unchanged from Investment Companies (PMA) to Domestic Companies (PMDN) or from Domestic Companies (PMDN) to Investment Companies (PMA).

Pasal 20 Article 20

Menteri memberitahukan kepada gubernur atau bupati/walikota sesuai dengan kewenangannya setelah memberikan persetujuan perubahan status perusahaan dari PMA menjadi PMDN untuk WIUP yang berada pada lintas kabupaten/kota dalam 1 (satu) provinsi atau dalam wilayah 1 (satu) kabupaten/kota.

The Minister shall notify the competent governor or regent/mayor upon giving approval for changes in the company status from an Investment Company (PMA) to Domestic Companies (PMDN) for a Mining Permit Area (WIUP) overlapping the boundaries of the districts/cities within 1 (one) province or within 1 (one) district/city.

Pasal 21 Article 21

Pasal 22 Article 22

(1) Menteri menyerahkan dokumen IUP dalam rangka perubahan status perubahan dari PMA menjadi PMDN kepada gubernur atau bupati/walikota sesuai dengan kewenangannya untuk diperbarui IUPnya.

(1) The Minister shall refer the Mining Permit (IUP) documentation with respect to the changes in the investment status from an Investment Company (PMA) to a Domestic Company (PMDN) to the competent governor or the regent/mayor for renewal.

(2) Gubernur atau bupati/walikota sesuai dengan kewenangannya menyerahkan dokumen IUP dalam rangka perubahan status perusahaan dari PMDN menjadi PMA kepada Menteri melalui Direktur Jenderal untuk diperbarui IUPnya.

(2) The competent governor or the regent/mayor shall refer the Mining Permit (IUP) documentation with respect to the changes in the investment status from a Domestic Company (PMDN) to an Investment Company (PMA) to the Minister through the Director General for renewal.

(3) Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya wajib menerbitkan IUP dalam rangka perubahan status perusahaan dari PMA menjadi PMDN atau PMDN menjadi PMA sebagaimana

Perubahan Anggaran Dasar Amendment of the Articles of Association

Pasal 23 Article 23

(1) Permohonan perubahan Anggaran Dasar sebagaimana dimaksud dalam Pasal 15 ayat (2) huruf c, diajukan oleh pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan kepada:

(1) An application for amendment of the Articles of Association as intended by Article 15 section (2) point (c) shall be submitted by the Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Special Mining Permit (IUPK) holders, Production Operation Mining Permit holders specifically for processing and/or refining/smelting, or Production Operation Mining Permit (IUP) holders specifically for hauling and sale to the competent:

f. laporan keuangan 2 (dua) tahun terakhir yang telah diaudit oleh akuntan publik;

f. the last (2) two-year financial statement audited by a public accountant;

g. sumber dan penggunaan peningkatan modal dasar, modal ditempatkan dan disetor untuk permohonan perubahan Anggaran Dasar sebagaimana dimaksud pada ayat (2) huruf b dan huruf c;

i. the feasibility study findings reports documenting that at least 2 (two) prospects have been identified as part of the exploration activities for Exploration Mining Permit holders or Exploration Special Mining Permit holders with respect to the application for amendment of the Articles of Association as intended by section (2) point (d); and

j. salinan IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, atau IUPK Operasi Produksi yang telah teregistrasi pada Direktorat Jenderal dan

Pasal 24 Article 24

(1) Dalam hal permohonan perubahan Anggaran Dasar sebagaimana dimaksud dalam Pasal 23 telah lengkap, Direktur Jenderal, gubernur, atau bupati/walikota sesuai dengan kewenangannya melakukan penelitian dan evaluasi.

(1) Upon receipt of the complete required documentation of the amendment of the Articles of Association as intended by Article 23, the competent Director General, governor, or regent/mayor shall make examination and evaluation.

(2) Gubernur atau bupati/walikota sesuai dengan kewenangannya menugaskan dinas teknis provinsi atau dinas teknis kabupaten/kota yang membidangi pertambangan mineral dan batubara untuk melakukan penelitian dan evaluasi.

(2) The competent governor or regent/mayor shall delegate the technical office of the province or the technical office of the district/city in charge of mineral and coal mining to make examination and evaluation.

(3) Berdasarkan hasil penelitian dan evaluasi sebagaimana dimaksud pada ayat (1), Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya memberikan keputusan pemberian atau penolakan persetujuan perubahan Anggaran Dasar.

(3) Upon the results of examination and evaluation as intended by section (1), the competent Minister, governor, or regent/mayor shall make a decision on whether to approve or reject the proposed amendments to the Articles of Association.

(4) Pemberian atau penolakan permohonan persetujuan perubahan Anggaran Dasar sebagaimana dimaksud pada ayat (3) ditetapkan dalam jangka waktu paling lama 14 (empat belas) hari kerja, terhitung sejak tanggal permohonan diterima dengan lengkap dan benar.

(4) Approval or rejection of the proposed amendments to the Articles of Association as intended by section (3) shall be made within 14 (fourteen) working days of the date of receipt of the complete and correct application.

(5) Ketentuan mengenai format keputusan pemberian persetujuan perubahan Anggaran Dasar sebagaimana dimaksud pada ayat (4) tercantum dalam Lampiran IIIB yang merupakan bagian tidak terpisahkan dari Peraturan Menteri ini.

(5) The format of the decision to approve the proposed amendments to the Articles of Association as intended by section (4) is provided in Attachment IIIB, made an inseparable part of this Regulation of the Minister.

(6) Dalam hal permohonan perubahan Anggaran Dasar ditolak, penolakan tersebut harus disampaikan secara tertulis kepada pemohon disertai dengan alasan penolakan.

Pasal 26 Article 26

(1) Dalam hal permohonan perubahan Direksi dan Komisaris sebagaimana dimaksud dalam Pasal 25 telah lengkap, Direktur Jenderal, gubernur, atau bupati/walikota sesuai dengan kewenangannya melakukan penelitian dan evaluasi.

(1) Upon receipt of the complete required documentation of the changes in the Board of Directors and the Board of Commissioners as intended by Article 25, the competent Director General, governor, or regent/mayor shall make examination and evaluation.

(2) Gubernur atau bupati/walikota sesuai dengan kewenangannya menugaskan dinas teknis provinsi atau dinas teknis kabupaten/kota yang membidangi pertambangan mineral dan batubara untuk melakukan penelitian dan evaluasi.

(2) The competent governor or regent/mayor shall delegate the technical office of the province or the technical office of the district/city in charge of mineral and coal mining to make examination and evaluation.

(3) Berdasarkan hasil penelitian dan evaluasi sebagaimana dimaksud pada ayat (1), Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya memberikan keputusan pemberian atau penolakan persetujuan perubahan Direksi dan Komisaris.

(3) Upon the results of examination and evaluation as intended by section (1), the competent Minister, governor, or regent/mayor shall make a decision on whether to approve or reject the proposed changes in the Board of Directors and the Board of Commissioners.

(4) Pemberian atau penolakan permohonan persetujuan perubahan Direksi dan Komisaris sebagaimana dimaksud pada ayat (3) ditetapkan dalam jangka waktu paling lama 14 (empat belas) hari kerja, terhitung sejak tanggal permohonan diterima dengan lengkap dan benar.

(1) Permohonan perubahan kepemilikan saham sebagaimana dimaksud dalam Pasal 15 ayat (2) huruf e diajukan oleh pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan kepada:

(5) Permohonan perubahan kepemilikan saham sebagaimana dimaksud pada ayat (1) harus melampirkan:

a. dasar atau alasan perubahan kepemilikan saham;

a. the grounds or reasons for changes in the shareholdings;

b. hasil keputusan Rapat Umum Pemegang Saham sebelum dituangkan dalam akta notaris;

b. the non-notarized resolution of the General Meeting of Shareholders;

c. laporan hasil kegiatan studi kelayakan yang membuktikan telah ditemukan paling sedikit 2 (dua) wilayah prospek dalam kegiatan eksplorasi bagi pemegang IUP Eksplorasi atau IUPK Eksplorasi;

c. the feasibility study findings reports documenting that at least 2 (two) prospects have been identified as part of the exploration activities for Exploration Mining Permit holders or Exploration Special Mining Permit holders;

d. bukti pelunasan pembayaran iuran tetap (deadrent) selama 2 (dua) tahun terakhir bagi pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, dan IUPK Operasi Produksi;

d. a receipt of payment for the last 2 (two) years dead rents for Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, and Production Operation Special Mining Permit (IUPK) holders;

e. bukti pelunasan pembayaran iuran produksi selama 2 (dua) tahun terakhir bagi pemegang IUP Operasi Produksi dan IUPK Operasi Produksi;

e. a receipt of payment for the last 2 (two) years production royalties for Production Operation Mining Permit (IUP) holders and Production Operation Special Mining Permit (IUPK) holders;

f. bukti pelunasan pembayaran iuran produksi bagi pemegang IUP Eksplorasi atau IUPK Eksplorasi yang memiliki izin sementara untuk melakukan pengangkutan dan penjualan, serta pemegang IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian yang memanfaatkan mineral ikutan;

f. a receipt of payment for production royalties for Exploration Mining Permit (IUP) holders or Exploration Special Mining Permit (IUPK) holders with temporary hauling and sales licenses, and Production Operation Mining Permit holders specifically for processing and/or refining/smelting utilizing associated minerals.

g. laporan keuangan 2 (dua) tahun terakhir yang telah diaudit oleh akuntan publik;

j. KTP dan Nomor Pokok Wajib Pajak calon pemegang saham baru Warga Negara Indonesia atau paspor bagi calon pemegang saham baru Warga Negara Asing apabila perubahan kepemilikan saham kepada orang perseorangan;

j. the Resident ID Card and Taxpayer ID Number of the new prospective shareholder of Indonesian individual or the passport of the new prospective shareholder of Foreign individual;

k. profil calon pemegang saham baru; dan k. the profile of the new prospective shareholder; and

1. salinan IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, atau IUPK Operasi Produksi yang telah teregistrasi pada Direktorat Jenderal dan dinyatakan clear and clean.

l. copies of the Exploration Mining Permit, Exploration Special Mining Permit, Production Operation Mining Permit (IUP), or Production Operation Special Mining Permit (IUPK) registered with the Directorate General and certified as clear and clean.

Pasal 28 Article 28

(1) Dalam hal permohonan perubahan kepemilikan saham sebagaimana dimaksud dalam Pasal 27 telah lengkap, Direktur Jenderal, gubernur, atau bupati/walikota sesuai dengan kewenangannya melakukan penelitian dan evaluasi.

(1) Upon receipt of the complete required documentation of changes in the shareholdings as intended by Article 27, the competent Director General, governor, or regent/mayor shall make examination and evaluation.

(2) Gubernur atau bupati/walikota sesuai dengan kewenangannya menugaskan dinas teknis provinsi atau dinas teknis kabupaten/kota yang membidangi pertambangan mineral dan batubara untuk melakukan penelitian dan evaluasi.

(2) The competent governor or regent/mayor shall delegate the technical office of the province or the technical office of the district/city in charge of mineral and coal mining to make examination and evaluation.

(3) Berdasarkan hasil penelitian dan evaluasi sebagaimana dimaksud pada ayat (1), Menteri, gubernur, atau bupati/walikota sesuai dengan kewenangannya memberikan keputusan pemberian atau penolakan persetujuan perubahan kepemilikan saham.

(3) Upon the results of examination and evaluation as intended by section (1), the competent Minister, governor, or regent/mayor shall make a decision on whether to approve or reject the proposed changes in the shareholdings.

(4) Pemberian atau penolakan permohonan persetujuan perubahan kepemilikan saham sebagaimana dimaksud pada ayat (3) ditetapkan dalam jangka waktu paling lama 14 (empat belas) hari kerja, terhitung sejak tanggal permohonan diterima dengan lengkap dan benar.

(4) Approval or rejection of the proposed changes in the shareholdings as intended by section (3) shall be made within 14 (fourteen) working days of the date of receipt of the complete and correct application.

Tindak Lanjut Persetujuan Perubahan Penanaman Modal

Further Process After Approved Changes in Investment

Pasal 29 Article 29

Berdasarkan persetujuan perubahan penanaman modal sebagaimana dimaksud dalam Pasal 17, Pasal 19, Pasal 24, Pasal 26, dan Pasal 28, pemegang IUP Eksplorasi, IUPK Eksplorasi, IUP Operasi Produksi, IUPK Operasi Produksi, IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian, atau IUP Operasi Produksi khusus untuk pengangkutan dan penjualan harus mengajukan permohonan persetujuan, pengesahan, pencatatan, atau bentuk lainnya kepada Badan Koordinasi Penanaman Modal dan/atau Kementerian Hukum dan Hak Asasi Manusia sesuai dengan ketentuan peraturan perundang-undangan.

Upon Approved Changes in Investment as intended by Article 17, Article 19, Article 24, Article 26, and Article 28, the Exploration Mining Permit holders, Exploration Special Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Special Mining Permit (IUPK) holders, Production Operation Mining Permit holders specifically for processing and/or refining/smelting, or Production Operation Mining Permit (IUP) holders specifically for hauling and sale must submit an application for approval, validation, registration, etc to the Investment Coordinating Agency and/or the Ministry of Law and Human Rights under the laws and regulations.

BAB IV CHAPTER IV

SANKSI ADMINISTRATIF ADMINISTRATIVE SANCTIONS

Pasal 30 Article 30

(1) Pemegang IUP Operasi Produksi atau IUPK Operasi Produksi yang melakukan pelanggaran ketentuan sebagaimana dimaksud dalam Pasal 2 ayat (1), ayat (4), ayat (5), ayat (6), ayat (8), atau ayat (9), Pasal 3, Pasal 4, Pasal 5, Pasal 7 ayat (1), ayat (4), ayat (5), atau ayat (6), Pasal 8 ayat (1), ayat (4), ayat (5), atau ayat (6), Pasal 9, Pasal 11 ayat (1) atau ayat (2), Pasal 12, atau Pasal 13 ayat (1) dan ayat (2) atau ayat (3) dikenai sanksi administratif.

(1) Production Operation Mining Permit holders or Production Operation Special Mining Permit holders in violation of Article 2 section (1), section (4), section (5), section (6), section (8), or section (9), Article 3, Article 4, Article 5, Article 7 section (1), section (4), section (5), or section (6), Article 8 section (1), section (4), section (5), or section (6), Article 9, Article 11 section (1) or section (2), Article 12, or Article 13 section (1) and section (2) or section (3) shall be imposed administrative sanctions:

b. penghentian sementara kegiatan; atau b. suspension of activities; or

c. pencabutan IUP Operasi Produksi atau IUPK Operasi Produksi.

c. revocation of a Production Operation (IUP) Mining Permit or Production Operation (IUPK) Special Mining Permit.

(3) Sanksi administratif sebagaimana dimaksud pada ayat (2) diberikan oleh Menteri.

(3) Administrative sanctions as intended by section (2) shall be imposed by the Minister.

Pasal 31 Article 31

Peringatan tertulis sebagaimana dimaksud dalam Pasal 30 ayat (2) huruf a diberikan paling banyak 3 (tiga) kali, dengan jangka waktu peringatan masing-masing paling lama 1 (satu) bulan.

An administrative sanction in the form of written warnings as referred to in Article 30 section (2) point (a) shall be issued not exceeding 3 (three) times and not more frequently than once in any period of one month.

Pasal 32 Article 32

(1) Dalam hal pemegang IUP Operasi Produksi atau IUPK Operasi Produksi yang mendapat sanksi peringatan tertulis setelah berakhir jangka waktu peringatan tertulis sebagaimana dimaksud dalam Pasal 31 belum melaksanakan kewajibannya, dikenakan sanksi administrasi berupa penghentian sementara kegiatan sebagaimana dimaksud dalam Pasal 30 ayat (2) huruf b.

(1) A Production Operation (IUP) Mining Permit holder or a Production Operation (IUPK) Special Mining Permit holder that is issued written warnings and upon their expiration as intended by Article 31 fails to fulfill its obligations shall be imposed an administrative sanction in the form of suspension of activities as intended by Article 30 section (2) point (b).

(2) Sanksi administrasi berupa penghentian kegiatan sementara sebagaimana dimaksud pada ayat (1) dikenakan dalam jangka waktu paling lama 2 (dua) bulan.

(2) An administrative sanction in the form of suspension of activities as referred to in section (1) shall be imposed for a period of not exceeding 2 (two) months.

Pasal 33 Article 33

Sanksi administratif berupa pencabutan IUP Operasi Produksi atau IUPK Operasi Produksi sebagaimana dimaksud dalam Pasal 30 ayat (2) huruf c, dikenakan kepada pemegang IUP Operasi Produksi atau IUPK Operasi Produksi yang tidak melaksanakan kewajibannya sampai dengan berakhirnya jangka waktu pengenaan sanksi penghentian sementara sebagaimana dimaksud dalam Pasal 32 ayat (2).

An administrative sanction in the form of revocation of the Production Operation (IUP) Mining Permit or the Production Operation (IUPK) Special Mining Permit as intended by Article 30 section (2) point (c) shall be imposed on the Production Operation (IUP) Mining Permit holders or the Production Operation (IUPK) Special Mining Permit holders that fail to perform their obligations until the expiration of the imposition of sanction of suspension as intended by Article 32 section (2).

BAB V CHAPTER V

KETENTUAN PERALIHAN TRANSITIONAL PROVISIONS

Pasal 34 Article 34

(1) Pemegang IUP Eksplorasi dan IUP Operasi Produksi yang telah melakukan perubahan status menjadi PMA dengan kepemilikan saham yang berasal dari Modal Asing lebih dari 49% (empat puluh sembilan persen) sebelum berlakunya Peraturan Menteri ini tetap dikenai kewajiban Divestasi Saham sesuai dengan ketentuan dalam Peraturan Menteri ini.

(1) Exploration Mining Permit holders and Production Operation Mining Permit holders that have changed their status to Foreign Investment (PMA) with foreign shareholdings of more than 49% (forty-nine percent) prior to this Regulation of the Minister coming into effect shall be required to divest shares under this Regulation of the Minister.

(2) Pemegang IUP Eksplorasi dan IUP Operasi Produksi yang telah melakukan perubahan status menjadi PMA dengan kepemilikan saham yang berasal dari Modal Asing lebih dari 49% (empat puluh sembilan persen) sebagaimana dimaksud pada ayat (1) tidak boleh menambah jumlah kepemilikan sahamnya yang berasal dari Modal Asing sampai dengan dikenakannya kewajiban Divestasi Saham sesuai dengan ketentuan dalam Peraturan Menteri ini.

(2) Exploration Mining Permit holders and Production Operation Mining Permit holders that have changed their status to Foreign Investment (PMA) with foreign shareholdings of more than 49% (forty-nine percent) as intended by section (1) shall not increase their foreign shareholdings until they are required to divest shares under this Regulation of the Minister.

Pasal 35 Article 35

Gubernur atau bupati/walikota sesuai dengan kewenangannya wajib menyerahkan dokumen IUP Eksplorasi, IUP Operasi Produksi, IUP Operasi Produksi khusus untuk pengangkutan dan penjualan, atau IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian dalam rangka PMA yang telah diterbitkan sebelum berlakunya Peraturan Menteri ini kepada Menteri dalam jangka waktu paling lambat 1 (satu) tahun sejak berlakunya Peraturan Menteri ini untuk diperbarui IUP-nya oleh Menteri sesuai dengan ketentuan dalam Peraturan Menteri ini.

The competent governor or regent/mayor must refer the documentation of the Exploration Mining Permit, Production Operation Mining Permit, Production Operation Mining Permit specifically for hauling and sale, or Production Operation Mining Permit specifically for processing and/or refining/smelting in the scope of Foreign Investment issued prior to this Regulation of the Minister coming into effect to the Minister within 1 (one) year of the effective date of this Regulation of the Minister for renewal by the Minister under this Regulation of the Minister.

Pasal 36 Article 36

(1) Permohonan perubahan status perusahaan dari PMA menjadi PMDN atau PMDN menjadi PMA yang telah diajukan oleh pemegang IUP Eksplorasi, IUP Operasi Produksi, IUP Operasi Produksi khusus untuk pengangkutan dan penjualan, atau IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian sebelum berlakunya

Peraturan Menteri ini wajib diproses sesuai dengan ketentuan dalam Peraturan Menteri ini.

Permit (IUP) holders specifically for hauling and sale, or Production Operation Mining Permit holders specifically for processing and/or refining/smelting prior to this Regulation of the Minister coming into effect must be processed under this Regulation of the Minister.

(2) Gubernur atau bupati/walikota wajib menyerahkan dokumen permohonan perubahan status perusahaan dari PMA menjadi PMDN atau PMDN menjadi PMA sebagaimana dimaksud pada ayat (1) kepada Menteri paling lambat 6 (enam) bulan sejak berlakunya Peraturan Menteri ini untuk diperbarui IUPnya oleh Menteri sesuai dengan ketentuan dalam Peraturan Menteri ini.

(2) The governor or the regent/mayor must refer the application documentation of the changes in the investment status from Investment Companies (PMA) to Domestic Companies (PMDN) or from Domestic Companies (PMDN) to Investment Companies (PMA) as intended by section (1) to the Minister within 6 (six) months of the effective date of this Regulation of the Minister for renewal by the Minister under this Regulation of the Minister.

Pasal 37 Article 37

Permohonan pemegang IUP Eksplorasi, IUP Operasi Produksi, IUP Operasi Produksi khusus untuk pengangkutan dan penjualan, atau IUP Operasi Produksi khusus untuk pengolahan dan/atau pemurnian atas perubahan investasi dan sumber pembiayaan, perubahan Anggaran Dasar, dan/atau perubahan Direksi dan Komisaris yang telah diajukan sebelum ditetapkan Peraturan Menteri ini, diproses sesuai dengan ketentuan dalam Peraturan Menteri ini.

An application of the Exploration Mining Permit holders, Production Operation Mining Permit (IUP) holders, Production Operation Mining Permit (IUP) holders specifically for hauling and sale, or Production Operation Mining Permit holders specifically for processing and/or refining/smelting with respect to the changes in investment and financing sources, changes in the Board of Directors and the Board of Commissioners submitted prior to the issuance of this Regulation of the Minister shall be processed under this Regulation of the Minister.

Pasal 38 Article 38

Pada saat Peraturan Menteri ini mulai berlaku, tata cara dan penetapan harga Divestasi Saham yang berlaku bagi pemegang Kontrak Karya dan Perjanjian Karya Pengusahaan Pertambangan Batubara wajib mengikuti ketentuan dalam Peraturan Menteri ini.

Upon this Regulation of the Minister coming into effect, any procedures for divestment and share pricing applying to Contract of Work holders and Coal Contract of Work holders must refer to this Regulation of the Minister.

BAB VI CHAPTER VI

KETENTUAN PENUTUP CONCLUDING PROVISIONS

Pasal 39 Article 39

Peraturan Menteri ini mulai berlaku pada tanggal diundangkan.
