QUESTION 2 Due to the short period between the tender briefing day and the tender queries submission, we would like to request the tender query period to be extended until 30th April 2017. QUESTION 4 Will this project be subject to offset as stipulated in Policy and Guidelines on Industry Collaboration Program (ICP) in Government Procurement (PK1/2013 Lampiran 1.5)? As the bidder is responsible to provide financing for all components of the project, will the bidder be required to provide 100% offset for the project? If so, what is the contract value that need to be offset? ANSWER 4 Please refer to Government-applicable circular on offset program for Public-Private Partnership (PPP) projects.

QUESTION 5 For those documents required for submission under Envelope “Mandatory” & “Technical Proposal” & “Commercial Proposal”, as there is only one “Original” copy, please confirm “Certified True Copy” is acceptable to be submitted for other envelopes. ANSWER 5 Bidders are required to submit original copy of documents in the "Mandatory" envelope and certified true copies in the "Technical Proposal" and "Commercial Proposal" envelopes.

QUESTION 6 Reference: Section A Part I – Introduction Clause 1.8.7 It is stated that the bidder(s) shall also provide three (3) softcopies on Compact Disc (“CD”) and The Mandatory Requirement, Technical and Commercial proposal softcopy submission shall be placed in separate CDs. Please clarify and confirm whether the proposal softcopy submission shall be in 1 set of 3 CDs consisting of The Mandatory requirement, Technical and Commercial or in 3 sets of 3 CDs consisting the softcopies. ANSWER 6 The Mandatory Requirement, Technical and Commercial proposal softcopy submission shall be in 3 copies, be placed in separate CDs and clearly identified with receipt no. and either Mandatory, Technical Proposal or Commercial Proposal. Please clarify and confirm whether SPAD requires the Consortium to be an incorporated entity. ANSWER 7

Refer to Paragraph 3.2.1. (iii) and (iv). The Consortium need not be an incorporated entity at the point of proposal submission. _______________________________________________________________________ QUESTION 8 Reference: Section A Part III – Bidder’s Criteria Clause 3.2.3 “Category 1 – the bidder(s) shall have experience in Transit Operation and Maintenance and Fare Collection Management or other similar basis for providing its output / services to a public-sector entity in pursuance of its charter, concession or contract, as the case may be, and have operated and maintained transit for at least five (5) years in operation Category 2 - the Bidder(s) shall have experience in infrastructure and building project (s) including road/building management, operation and maintenance, worth a minimum project value of RM300 million in total, within the last five (5) years”. Please clarify and confirm whether only Lead Member of Joint Venture / Consortium or all the members in Consortium should have those experiences mentioned. “Penalty shall be imposed to the successful Bidder in the event the successful Bidder fail to comply any provisions in the Concession Agreement and will be under the purview of the Government.” Please clarify what would be the imposed penalty. ANSWER 9 Terms of Concession stated are indicative and will be discussed with the successful bidder after the tender exercise. _________________________________________________________________________ QUESTION 10 Reference: Section A Part V – Terms & Conditions Clause 5.19 (Item No 28) Payment by the Successful Bidder “If the Concession Agreement is terminated by the Government, at any time prior to completion of the works and the Government completes the works being carried out by the successful Bidder as at the termination date, the successful Bidder shall pay to the Government the aggregate of : (a) all amount at the time which may be owing to the Government by the successful Bidder under the Concession Agreement; and (b) any additional costs and expenses incurred by the Government in so completing those works in excess of the costs and expenses which would have been incurred by the successful Bidder in so completing those works less the amount of the completed works, if any”. Please clarify and confirm whether the said term is only applicable if the term is due to default by the Bidder. QUESTION 1 Can the government provide some kind of revenue guarantee, to offset the revenue risk on financing? ANSWER 1 Refer to Section A, Paragraph 2.1.3.

QUESTION 2 Can the government provide grant/soft loan in capex? ANSWER 2 Grant/soft loan requested (if any) shall be deliberated by the Government based on the Bidder’s Commercial Proposal.

QUESTION 3 Please clarify the status of BRT proposal approval from local authorities, i.e. DBKL, MBPJ, MPK, MPSJ, and has BRT alignment been captured in the structural plan of local authorities? ANSWER 3 The bidders are required to verify status from the relevant authorities.

QUESTION 4 Please clarify on utility relocation status, and who bears the cost of utilities relocation. ANSWER 4 The utility relocation will be assessed, conducted and financed by the bidders.

Please clarify on the status of land acquisition, and who bear the cost of land acquisition. Please indicate the location and land area to be acquired. ANSWER 5 The bidders shall assess, identify and propose any land acquisition, if required. Cost of land acquisition (if any) shall be deliberated by the Government based on the bidder's proposal.

QUESTION 6 In the implementation schedule, 2 years of Construction Period is stated in the Document. Please clarify if the 2-year construction period includes Detailed Design Submission, Authorities Approval, Land Acquisition and Utilities Relocation period. ANSWER 6 The 2-year Construction Period is inclusive of detailed design submission, authorities’ approval, land acquisition, utilities relocation period, construction, system supply and Installation.

QUESTION 7 Who will be the BRT operator? Operator to be appointed by Government or Concessionaire can appoint their own operator? ANSWER 7 The bidders shall submit a proposal to design, finance, construct, operate and maintain the project. Therefore, the appointment of BRT operators will be under the purview of the successful bidder, however the BRT operator must be licensed by SPAD.

QUESTION 8 Please provide the Survey AutoCAD Drawings to all bidders, to save time and cost, and for more accurate design. ANSWER 8 Bidders are required to prepare their own AutoCAD drawings.

Please clarify the status of lane wide reduction at PLUS Section. Has the road design been downgraded to U4 and lane wide reduction to 3.25m been approved by PLUS? Who bear the compensation to PLUS if required, due to BRT affecting the toll revenue? ANSWER 9 Please refer to Section B: Project Brief, item 2.3. In this section, all the mix traffic lanes at the Federal Highway (maintained by PLUS) is maintained at 3.65m width. However, the bidders shall propose and seek approval from relevant authorities for the final design. Any compensation charges will be borne by the bidder.

QUESTION 10 The existing Jalan Syed Putra has one bus lane and two traffic lanes. Can BRT make use of the existing bus lane? ANSWER 10 Please refer to Section B: Project Brief, item 2.1 and Appendix B 1.1 – B1.8. as a guideline for the bidder's proposal. The bidders shall seek approval from relevant authorities for the final design.

QUESTION 11 Please clarify and confirm whether SPAD will acquire TOD land under the land acquisition act and paid for this proposal. ANSWER 11 The Government does not guarantee any TOD land acquisition to the bidders.

QUESTION 12 What will be the assessment criteria when it comes to evaluating alternative proposals? ANSWER 12 Alternative proposals will be evaluated based on its compliance to ITDP BRT Standard of Gold.

Are we allowed to propose other choices of mode of transportation (i.e. train, tram, etc) as an alternative proposal? Similarly, station locations, station sizes, bus routes, alignment, etc ANSWER 13 Bidders are NOT allowed to propose other modes of transportation in their Alternative proposal. However, bidders may propose different station locations, station sizes, bus routes and alignment but nonetheless must start from Pasar Seni and end at Bandar Klang.

QUESTION 14 Does the estimation of ridership take into consideration of the future LRT 3 development and existing public transportation? ANSWER 14 All existing public transportation are taken into consideration during ridership assessment of the KL-Klang corridor except for the future LRT 3 project. However, bidders are advised to conduct their own independent assessment of the estimated ridership at their own cost.

QUESTION 15 What is the basis to the projected ridership? Will the assessment study be available for bidders? ANSWER 15 The basis for the projected ridership is population and employment. Bidders are required to conduct their own independent assessment of the estimated ridership at their own cost.

QUESTION 16 Please clarify to which operating year does the daily ridership initial year (Table 6-3) refer to. The figure 867,921 for the initial year is higher than the Laluan Sg Buloh Kajang MRT, which they expected 400,000 daily ridership. ANSWER 16 Initial year in Table 6-3 refers to the initial year of BRT operations. Figures provided in Table 6-3 are mere guidelines. Bidders are advised to conduct ridership assessment at their own cost.

QUESTION 17 What is the percentage of modal split that has been applied to the ridership figures provided? Do your ridership figures account for KTM Komuter and LRT3 users from Klang-Subang? What is the basis of the 50:50 modal split that you are proposing? ANSWER 17 Bidders need to conduct their own ridership assessment and be responsible for the revenue risk. All existing public transportation are taken into consideration during ridership assessment of the KL-Klang corridor except for the future LRT 3 project.

QUESTION 18 Are we given a guarantee on the ridership no as per below? Can the years of concession increase proportionately if ridership drops below forecast (Section B, Table 6-3) ? ANSWER 18 Ridership figures in Table 6-3 are only guidelines and the Government provides no guarantee on the ridership numbers provided. Bidders shall conduct an independent assessment at their own cost to verify the information given in this RFP. Bidders shall propose the concession period in accordance to the RFP.

QUESTION 19 Regarding to bus procurement, are we allowed for price variation or extension to our concession years if the operating cost has a significant fluctuation for eg, diesel price (Section B, Table 6-6)? ANSWER 19 Information provided in this RFP are only guidelines. The bidders are required to submit a cashflow that includes fleet procurement and asset management costs in current and future prices. Bidders shall propose their own fare mechanism based on their cashflow projection, subject to SPAD's approval.

QUESTION 20 If the supply of bus is more than the demand, do we have the choice to reduce the quantity of bus? ANSWER 20

The bidders shall propose a fleet procurement and expansion plan and asset management plan according to ridership assessment conducted.

QUESTION 21 Please confirm if the successful bidder will need to purchase and maintain the buses, and consequently procuring and running a depot area, or engage a third party to provide, operate and maintain the buses according to the agreed schedule and availability. ANSWER 21 The bidders may engage a third party to provide, operate and maintain the buses. However, the BRT Scheme Owner (the successful bidder) is accountable for the service performance.

QUESTION 22 Are we allowed to provide feeder bus to the BRT stations for area that are not covered by the trunk and direct services? ANSWER 22 Yes, bidders are allowed to introduce feeder bus service, along with Trunk and Direct services.

QUESTION 23 If after 7 years the existing buses still in good condition, are we allowed to use the existing bus instead of replacing them with new buses? ANSWER 23 The maximum contract duration for new BRT bus is 10 years. If the bus operator utilizes an existing fleet (not BRT bus) of not more than 5 years old, the maximum contract duration of the bus shall be for 5 years. An optional 2-3 years contract extension will be given if the bus operator achieves Minimum Performance Standard set by the successful bidder.

Can we cut down on the fleet requirement should the ridership decrease? Is this for guidance only or must we start off with 60 + 702 fleet at the onset (Section B, Table 6-4)? ANSWER 24 The figures provided in Table 6-4 are mere guidelines. The bidders may propose and comply with the fleet procurement plan proposed to SPAD based on the ridership assessment conducted.

QUESTION 25 The RFP calls for two bus services to be provided by the BRT Service: Trunk Service and Direct Service. (a) Since several Direct Services intersect the Trunk Route, would there be any halts to necessitate passengers from Direct Service to get on Trunk Service? Currently the RFP does not clearly state this feeding capability. (b) Would feeder bus services aside from the Direct Service be under purview of the BRT bidder? If not, would SPAD be making adjustments to existing bus routes to act as feeder service to the Trunk & Direct Services? ANSWER 25 a) Minimum requirement for Direct Service is to operate partially in the KL-Klang BRT busway and have direct access to at least one BRT station for a seamless transfer to Trunk Service. b) Feeder bus will not be under the purview of successful bidder, unless the bidder has proposed feeder service in KL-Klang BRT system. Priority will be given to BRT KL-Klang operator. Government will restructure the existing bus routes to minimize the overlap of services and unhealthy competition among the operators.

QUESTION 26 During the Tender Briefing, it was stated that the Direct Service (DS) will be entering the Trunk route at various entry points: 1. Wouldn't the DS buses interfere with the scheduled travel times of the Trunk buses? 2. DS bus schedules would depend on their respective DS route traffic conditions. Would there be a penalty for the BRT Operator for this? ANSWER 26 1. The bidders are required to conduct assessment and propose service schedule for Trunk and Direct services accordingly through proposed service monitoring by Operations Control Centre.

2. The bidders are required to assess traffic condition and propose Direct Service schedule accordingly. Penalty will be imposed on the successful bidder if it fails to comply with the Service Delivery Agreement signed with SPAD.

QUESTION 27 During the Site Visit, it was mentioned that Trunk Buses will not be stopping at halts, only at stations and hubs. Kindly confirm this. Is there a possibility for the DS buses to not use the trunk route, rather they feed the trunk routes via bus halts nearby nearest trunk route halts? ANSWER 27 Bidders are advised to comply with the requirements as stipulated in the Project Brief for their Base Case proposal. Direct Service must operate partially in the KL-Klang BRT busway and have direct access to at least one BRT station for a seamless transfer to Trunk Service. Trunk Service will not stop at halts. Bidders may however propose alternative route options in the Alternative proposals.

QUESTION 28 Does the proposed alignment meet the BRT Gold standard of 89 points? 1. Do the bidders alternative proposal need to meet minimum Gold points of 85 or 89. 2. Will the DS routes be subjected to Gold standard as well? ANSWER 28 The Base Case provided as per the Project Brief achieves the ITDP BRT Standard of Gold with a score of 89/100. Proposals by bidders shall meet a minimum Gold Standard of 85/100. Direct Service is part of the assessment for BRT Gold Standard.

QUESTION 29 Can we increase or decrease the bus frequency service time? ANSWER 29 The bidders may assess and propose a BRT service and network service plan (including service frequency) according to their ridership assessment.

With the new BRT line, would the relevant authority reduce the service frequency or re-route the existing public bus services? ANSWER 30 Priority will be given to BRT KL-Klang operator. Government will restructure the existing bus routes to minimize the overlap of services and unhealthy competition among the operators.

QUESTION 31 Is land for depot facilities and its subsequent construction to be provided by the bidder? ANSWER 31 Yes. Cost of land acquisition for depot facilities and its construction (if any) is to be borne by the bidders.

QUESTION 32 What is the provision for passenger fees increase and who is the ultimate authority on this? Will we need to ensure the rates for BRT-Sunway line and BRT KL-Klang are at same per km? Does it make sense for us to have the option to also operate BRT– Sunway line as well? Refer to Section B, clause 6.6.3 ANSWER 32 Bidders are required to propose to SPAD for approval of the fare structure, fare rate and fare increment. Fare rate for KL-Klang BRT is subjected to Cabinet's approval and may be different from Sunway BRT. Sunway BRT is currently operated by Prasarana Malaysia and not part of this RFP.

What is the allowable percentage for the bidder to cap (for example 10%, 20%, 30% of the system initial capex) for the future capital expenditure cost to initial capital expenditure that is acceptable by Government?

Details of data sharing and interface for Security & Safety Management shall be determined by SPV and relevant authorities later.

QUESTION 103 As these 3 Corridors intersect with KL-Klang corridor, when is the estimated year for the following corridors to take place?

QUESTION 104 Are RapidKL permitted to tender either as a master operator or sub-operator. If so, can SPAD provide any assurance that their bids will need to be comparable to private sector bids? – ie exclude direct or indirect government subsidies. ANSWER 104 This tender is an open tender. Any eligible bidder can participate in this bid. Evaluation of all bids shall be based on the same evaluation criteria.

QUESTION 105 Can SPAD provide a kmz file of the 15 trunk routes? Can they also provide a kmz file of all other routes planned following introduction of the BRT (including feeders)? ANSWER 105 The RFP specifies only 3 trunk routes within the Busway. Bidders shall prepare its own kmz file.

QUESTION 106 In the interest of providing a competitive bid, where risk can be managed, can we request ridership on the existing corridor routes/LRT/KTM from SPAD? ANSWER 106 Bidders shall conduct its own ridership assessment.

QUESTION 107 We understand that bidder/master operator can apply for an operator license to operate various categories of service. If so, how does one ‘self-certify’ satisfactory performance to release payment from the trustee bank? ANSWER 107 Bidders shall submit their proposal subject to SPAD’s approval.
