This Guaranteed Maximum Price (GMP) Proposal is based upon the documents prepared by Santiago Calatrava

/ Festina Lente LLP is association with Alfonso Architects, and their consultants as well as other documents

prepared by University of South Florida – Polytechnic, which are itemized in the Document List of this

proposal. Further project scope definition has been developed by Skanska USA Building Inc., and various

assumptions that are attached to this proposal.

From this data, which is summarized in the “Basis of GMP” section of this proposal, and our current

understanding of the schedule and logistics issues involved with the project, we hereby propose a price of Fifty

Nine Million, Nine Hundred Ninety One Thousand, Nine Hundred Thirty Eight Dollars and 00/100

($59,991,938.00) to complete this project.

This proposal incorporates the value of all construction work purchased as of this date and reflects the decision

on scope and quality as they have been decided by the client and A/E team. This proposal also incorporates

approved Preconstruction Cost Events [PCE’s].

Both the detailed GMP cost estimate and project schedule are presented later in this document.

We have developed and enclosed a Project Schedule, which indicates the agreed upon schedule objectives for

the project.

This section of Guaranteed Maximum Price (GMP) Proposal describes exclusions, assumptions, and

clarifications.

For those items that are identified as excluded, no cost or time has been accounted for in the GMP Proposal to

address the issue. For those items that are clarified, qualified or based on an assumption, the GMP proposal

reflects only the cost and time of the element as assumed or clarified.

Any differences to the following exclusions, clarifications and/or assumptions will result in a change to the

GMP and the Project Schedule.

Skanska USA’s Guaranteed Maximum Price (GMP) Proposal is based upon the following:

1. Drawings, Specifications, and Addendums (1-3) and other attachments per the Document Log

(Appendix One).

2. Skanska USA’s Project Schedules (Appendix Two)

3. Site Logistics Plans (Appendix Three)

4. Mutually agreed upon Cost Saving Items (see project specific assumptions and qualifications)

5. Exclusions, Qualifications, and Assumptions as noted in this section

6. The executed Project CM Agreement

Changes or revisions to the foregoing information will result in a modification to the GMP price and require

modifications to the Project Schedule. Documents, communications and information not included in the

foregoing list, including for instance, any Third Party agreements are not accounted for in the GMP Proposal.

As such, the Owner must carefully review all of the criteria used to develop this GMP Proposal and request any

revisions to the same, so that a modified GMP Proposal can be prepared.

The GMP estimate includes contingencies including:

A. Construction Contingency:

The Construction Contingency shall be available to the Construction Manager exclusively to provide funds to

address items such as, by way of example: work items inadvertently omitted during the estimating and bidding

process, schedule recovery costs associated with weather and other causes of delay that are not otherwise

compensable, interfacing omissions between and from the various categories of work, additional costs incurred

due to the withdrawal or disqualification of a subcontractor bid forming the basis for the GMP prior to

execution of a written subcontract, general conditions over-runs where the cause of the over-run is not a Change

to the Agreement or otherwise not caused or contributed to by the Owner, Architect or their separate contractors

or consultants, costs associated with subcontractor default, cost increases due to unanticipated local labor and

material market conditions, selective overtime, or the like. Construction Contingency is not intended to provide

for costs associated with Owner Changes, unknown, or unrevealed physical conditions of the site or adjacent

areas or other items for which the Construction Manager may be entitled to a Change Order in accordance with

the Agreement.

The Construction Contingency is not intended to provide for changes to the scope of work, Owner required

acceleration / compression of the schedule, the correction of design errors and omissions, nor revisions to the

Work due to design errors considered within the design professional’s standard of care.

These contingencies are be applied at the sole discretion of Skanska USA and reported to University of South

Florida - Polytechnic as part of the Construction Manager’s cost reporting activities. Contingencies shall be

available to the Construction Manager for any costs reasonably required to perform or manage the Work. In the

event that actual prices exceed estimated prices, contingency funds will be allocated to the specific cost item.

When a given cost item’s actual price is less than the estimated amount, the difference will be assigned to the

contingency account. Construction Contingency will be 4% at 100% CDs.

It has been agreed upon that the saving from the Owner Direct Purchase Order program will be included as a

line item in the GMP for the Owner’s use. No other Owner Scope Growth, Project Contingency) nor any other

Owner Contingency has been included in the GMP Proposal.

This GMP is based on the assumption that the Owner’s architect, its contractors and all other parties performing

work at the Project site NOT under direct contract with Skanska USA will:

1. Comply with Skanska USA’s site specific safety program and maintain an injury free environment.

2. Perform work according to Skanska USA’s project schedule, and achieve system and area completion

dates according to that schedule

3. Perform work so as to not impact Skanska USA’s ability to perform its work in accordance with its

project logistics plan

4. Perform work so as to not impact Skanska USA’s ability to maintain or accelerate its project schedule

5. Provide detailed schedule, logistics, and technical information, when and as requested by Skanska USA

so as to enable Skanska USA to maintain or accelerate elements of its schedule so as to maintain its

overall schedule and achieve necessary milestone completion dates.

Due to present economic market conditions on the cost of good and services, if Owner does not accept this

proposal within 90 days (on or before 3/16/2012), Skanska USA reserves the right to adjust the GMP based on

market conditions in effect at the time of final acceptance.

The GMP Proposal and Project Schedule assumes a notice to proceed (with all conditions precedent met) to be

issued on 3/19/2012 (“Notice to Proceed Date”) and that Substantial Completion will be achieved by or before

3/21/2014 as may be modified in accordance with the Agreement, providing the Owner furnishes Skanska all

necessary design documentation for the: (i) Civil Package by 01/27/2012 (ii) the Structural and Building

Envelope Package by 01/27/2012 and (iii) the Final Package for Remaining Scopes by 01/27/2012 and further

providing all applicable permits have been obtained to allow Construction Manager to commence work upon

receipt of the Notice to Proceed. Current subcontractor bids and accepted proposals reflect an anticipated start

date in accordance with the time periods set forth in this proposal. Any delay in the issuance of the Notice to

Proceed Date will result in an increase to the GMP and impact the Project Schedule.

1. The only price guarantee within this GMP Proposal is that of the proposed GMP Amount. There are no

individual line item guarantees within the GMP. Individual line item savings within the GMP shall be

addressed in accordance with the Agreement.

2. We included commissioning services as shown on the GMP proposal.

3. Upon completion of the final design, Skanska will develop a set of Assumptions and Qualifications,

which specifically address the scope that will be constructed for the GMP. Once the Owner reviews and

approves the Construction Manager’s Assumptions and Qualifications, as may be modified by mutual

agreement, the approved Assumptions and Qualifications will be incorporated into the Agreement

through a GMP Amendment. In the event Skanska and Owner cannot agree upon acceptable

Assumptions and Qualifications, the Agreement can be terminated in accordance with its terms and

Skanska shall recover all uncompensated pre-construction and construction costs incurred prior to the

termination.

4. Skanska and Owner recognize that the design scope for the Project is not completely defined and

developed at this time, and as such, the GMP set forth in this GMP Amendment No. 1 is a design to

budget GMP. Accordingly, Skanska and Owner understand that the final design scope will be

developed consistent with the GMP in accordance with the pre-construction process set forth in the

Agreement. The Construction Team will continue to define and develop the scope and Owner

acknowledges and agrees that it will take all necessary steps to ensure that the design scope as finally

defined and developed will not exceed the GMP. This includes, but is not limited to, ensuring that

Santiago Calatrava / Festina Lente LLP and its design team members will develop a scope that is

consistent with the GMP. If any scope causes the GMP to be exceeded, the Owner will direct Santiago

Calatrava / Festina Lente LLP to modify the scope to bring it within the GMP. It is understood that

since the documents are not yet complete, the Owner, Architect and Skanska will work together to

monitor completion of the design, in accordance with the intent and scope of the documents that form

the basis of the GMP. Should an increase in the GMP be indicated due to deviations from such intent

and scope during document completion, Skanska will recommend possible economies in order to

protect the GMP from increasing. If these economies are not accepted, the GMP shall be increased to

cover the increased cost and the associated General Conditions, Insurances, Bonds and Fee.

5. The GMP Proposal assumes unfettered, legal access to the Project Site at all times. The GMP Proposal

does not anticipate any stoppage or interruption of Work as a result of present University of South

Florida – Polytechnic operations or other Site restrictions or interferences.

6. The only spare parts, maintenance training and manufacture service support included in the GMP

Proposal is that which is specified by the Technical Construction Specifications.

7. The GMP Proposal description for an item will take precedence over conflicting information in the

plans, specifications or other contract documents.

8. All costs associated with moving/relocation and start-up of any furniture and equipment from other sites

are excluded.

9. Public Agency reviews or approvals and associated fees are excluded with the exception of Building

Permit Fees described in Item 10.

10. A fee of $207,000 in accordance with the University of South Florida permit fee schedule has been

included in this GMP for the building permit. No other permits or fees have been accounted for.

11. All Work associated with hazardous materials including, but not limited to asbestos, lead,

petrochemicals, arsenic (beyond what has been explicitly identified on the design documents), or any

other hazardous material abatement, handling and/or remediation is excluded.

12. All sales tax on material and labor is included.

13. Performance/Aesthetic Mock ups and prototypes that will not be incorporated into the permanent Work

are included per the Specifications and scopes of work.

14. Off site improvements and charges for same have not been included.

15. All Owner Supplied materials and equipment not shown on the Contract Documents as Contractor

installed are excluded.

16. All extended warranties included in the specifications, including the material/labor warranties, shall be

assigned to Owner following the Construction Manager’s one year repair/replacement obligation under

the Contract. Thereafter, the Construction Manager shall only be responsible for assisting reasonably

the Owner in enforcing those warranties provided by the manufacturers, suppliers and subcontractors.

17. Unless specifically mentioned to the contrary in this GMP Proposal, the removal of Rock or unsuitable

soils is excluded from this estimate.

18. Where Contact Documents require that design information be provided by the Construction Manager,

Design information (including calculations and certifications) will be provided by specialized trade

subcontractors. The Construction Manager relies on the trade contractor’s in so doing. The Guaranteed

Maximum Price does not include any costs and expenses to conduct an independent review of such

design information, and does not include costs and expenses resulting from any deficiencies or

inaccuracies in these calculations or certifications. The Construction Manager submits the engineered

design information to the design team for final approval.

19. Skanska assumes that all Contract Documents are in accordance with applicable laws, statutes,

ordinances, building codes, ADA requirements, rules and regulations and has provided this GMP based

on the Contract Documents provided.

The following definition represents the basis of our estimate, and serves as the GMP for the project. The

estimated costs were developed based upon the project documents listed in Section Six and schedule data

described elsewhere in this report, and the assumptions, clarifications and design criteria presented under this

section.

The revisions indicated below are all items mutually agreed upon between Skanska and the Calatrava design

team to be included in the 100% Construction Documents. The cost implications of the noted items have been

accounted for in the 50% GMP.

Bid Package - 03A: Structural Concrete

1. Skanska has provided the specified 15-mil vapor retarder for the building slab of grade and assumes that

this product is adequate and meets any and all requirements for any potential radon requirements for this

zoned area.

1. The 100% CDs are to be revised to simplify the cast in place concrete structure at the building entry

portal structures by way of eliminating the third portal rib opening as shown on the “2011-12-22

Revised Progress Set.”

2. The 100% design is to eliminate epoxy coated rebar requirements at the exterior perimeter retaining

wall. The design team has also agreed to eliminate the lenton couplers for reinforcing steel in its

entirety.

3. In the 100% CDs, the Aula Magna Room concrete is to be simplified in accordance with the “2011-12-

22 Revised Progress Set” including, but not limited to the elimination of the center concrete steps in lieu

of adding a walkway and exit doors (relocated from behind the speaker), the elimination of the sitting

area and cutback stairs at the top of the Aula Magna Room, the reduction of handrail requirements due

to the redesign and the overall simplification and reduction of the concrete in the Aula Magna Room.

4. The simplification and redesign of the four sets of egress stairs to run straight in the building with no

ninety degree turns to split the stairs at the second level as shown on the “2011-12-22 Revised Progress

Set” stair redesign, the ceiling above the stairs has also been eliminated to leave the stairs open to the

elements. In addition, the waterproofing provisions have also been reduced due to the smaller area of

stairs shown over occupied space. Last, the precast treads have been eliminated in lieu of cast-in-place

stairs.

5. The reduction and redesign of the entry stairs at the north and south ends of the building to make each

set of stairs narrower in width to reduce the amount of concrete needed as shown on the “2011-12-22

Revised Progress Set.”

6. The 100% documents are to eliminate the concrete plaza benches.

7. The water retention vaults are to be simplified and reduced due to the egress stair redesign to align with

the “2011-12-22 Revised Progress Set.”

8. A ¾” industry standard chamfer is to be incorporated into all exposed concrete design in lieu of the 2”

radius edges shown on the current design.

9. In lieu of architectural uniform-colored exposed concrete, all exposed concrete is now to be painted;

therefore the need for uniformity in color and the strict requirements for joint locations has been

simplified.

10. All stair nosing and/or tread inserts are to be excluded from all final cast in place stair designs.

11. The final design is to include a concrete curb at all wall conditions where there is a requirement for

recessed base.

Bid Package - 03A: Cast-In-Place Concrete Fascias

1. The three continuous concrete fascias are to be eliminated in the 100% CDs and are to be replaced with

metal fascias as indicated in the New Bid Package 05D – Metal Panel Fascia Systems and the “2011-12-

22 Revised Progress Set.”

Bid Package - 05A: Cupola Steel and Miscellaneous Steel

1. The cupola steel ribs are to be simplified from the current trapezoidal boxed steel section with the

requirement for grinded welds to the new design with the extended steel tabs which will not require the

grinding of hidden welds per proposed sketch INT-00025.

2. The 100% design is to revise the structural documents to eliminate the expansion joint detail at the

second level slab and column/beam connections, including all embeds, bearing plates, etc.

3. At the sixteen (16) intake louvers as detailed on 3/A6.03, the final design is to remove the steel tubing

and angle steel shown and to be replaced with a C.I.P. concrete structure to accept the louvers.

4. The stainless steel cupola grating to be detailed as aluminum in the final design. In addition, the size is

to be reduced to 3’-0” wide on each side.

5. At the terraces, aluminum grating is to be incorporated into the design in lieu of stainless steel grating.

Bid Package – 05C: Handrails – Glass and Decorative Stainless Steel

1. The final design is to add an aluminum 1.5” diameter guardrail (1/2” thick) that is 360 degrees around

the perimeter of the terrace due to the elimination of the concrete fascias.

Bid Package – 05D: Metal Panel Fascia Systems

2. The three continuous concrete fascias as shown on the 50% CD design are to be eliminated in the 100%

CDs and metal panel fascias systems are to be added as indicated on the “2011-12-22 Revised Progress

Set.”

3. This GMP price includes the use of engineered light gauge structural stud framing with a tube steel

1. With the revisions and simplifications of the four sets of egress stairs, there is no longer a need for four

(4) sets of glass double doors and hardware at these first level stair locations as shown on the “2011-12-

2. The glazing entries are to be simplified and squared-off in the 100% CDs as opposed to the curved

glazing as shown on the 50% CDs, which are reflected on the “2011-12-22 Revised Progress Set.”

3. The two sets of Curved Sliding Automatic Entrance Doors are to be eliminated from the 100% CD’s

and two pairs of typical glass entrance doors and hardware are to be added in their place on each end as

Bid Package – 26A: Electrical

1. The final building design is to eliminate all fire alarm pull stations except for one (1), which is required

by code.

2. The final building design is to eliminate approximately 50 light fixtures from the 50% CD’s.

3. The 100% CD’s are to make the lighting packages non-proprietary and more competitive by opening the

specs to allow three or more manufacturers who can provide an equal for all lighting fixtures.

4. This GMP reflects the deductive alternate as designed and incorporated into the Contract Documents

and indicated on sheet E5.02 to accept the use aluminum conductors in lieu of copper feeder size

conductors.

5. This GMP reflects the relocation of the Building 555 generator as shown on the 50% documents to a

location north of the Building 555 axis on the far side of the ring road. In addition, aluminum

conductors are to be used for the generator.

6. This GMP reflects a deductive alternate as accepted by TLC to use aluminum conductors in lieu of

copper for the lighting protection system.

7. This GMP reflects the Vesda system as shown on the 2nd

Floor Fire Protection plans, but has not

allowed for any other smoke evacuation system provisions of any kind.
