I understand that: (i) I am being engaged by Elevate Rep Services LLC solely as an independent contractor; (ii) both I and Elevate Rep Services LLC

may terminate my services at any time for any reason at-will; (iii) I will be paid on a commission-only basis based on sales according to the Elevate

Rep Services LLC Compensation Plan as explained by an Elevate Rep Services LLC representative; and (iv) personal product sales commission are

paid out on the 5th and 20th of the month(every 2 weeks). Everything else paid out on the 20th of the following month.

I understand that I will receive commissions for advertising customers once their Elevate Stack Services are installed and active in their home. I also understand that in order to receive full commission, all advertising customers must meet the standard customer requirements.

I understand all customers will personally complete the Elevate Advertising Customer welcome call and show proper identification and payment info for all payments made to Elevate.

I understand that if I have a felony on my record, I must make Elevate Rep Services LLC aware of the fact and go through the necessary procedures in becoming an approved Elevate Advertising Director.

I am fully aware of the Elevate Communications LLC 72-hour cancellation policy.

I understand that I am an Independent Contractor. As such, I will not be treated as an employee of Elevate Rep Services LLC for federal, state or

local income tax purposes, or for purposes of workers compensation insurance or state unemployment compensation programs. Accordingly,

Elevate Rep Services LLC will not withhold income taxes, Social Security taxes or other Independent Contractor taxes from my compensation and I

will be solely responsible for setting aside and paying when due all such taxes, including (i) quarterly estimated federal and state income taxes and

(ii) the federal self-employment tax (imposed at a current rate of 15.3% on all of my earnings from Elevate Rep Services LLC).

I understand “charge backs” and I am aware I am subject to them. I understand the terms of charge backs and realize all charge backs will be subtracted from monthly commissions, per occurrence, for previous commissions received from new customer activations. A. Charge backs are accounts that have been cancelled within 180 days of activation. Although all customers sign a 2-year contract, there are always exceptions. Reasons for charge backs: No Payment on bills, Fraudulent Account, Customer Request, or other misc. reasons. B. Customers who cancel within the 180 day period will be charged a $200 cancellation fee, or the amount of the remainder of their contract, whichever is less, from Elevate Rep Services LLC. If Elevate Rep Services LLC is unable to collect the commission from the Affiliate's monthly commission and bonus check, the commission will be recovered from the Affiliate's personal credit card on file.

I understand that as an Affiliate providing services to Elevate Rep Services LLC, I may be in contact with Elevate Rep Services LLC's clients, distributors, suppliers, vendors, sales materials, training materials, website, distribution process and other confidential information ("Trade Secrets"). I agree that I shall not ever (i) directly or indirectly, intentionally or unintentionally, reveal, disclose, furnish, make accessible, or disseminate such Trade Secrets to any person, corporation, partnership, L.L.C., trust or other organized entity or association other than Elevate Rep Services LLC or (ii) compete directly or indirectly with or against Elevate Rep Services LLC for a period of (2) years after date of termination or resignation. I understand that I may not contact any employees or Affiliates of Elevate Rep Services LLC for employment outside of Elevate Rep Services LLC.

I have read and understand the Elevate Rep Services LLC Policies and Procedures, the Sales Compensation Plan, this Affiliate Agreement, and other materials pertaining to optional programs, if any, and agree to adhere to them. All of the above-referenced agreements may be referred to individually or collectively as the “Agreement”.

POLICIES AND PROCEEDURES ELEVATE REP SERVICES LLC

I understand that I can advertise the published consumer rate plans that Elevate Rep Services LLC currently sells or distributes. I may not falsely advertise or mislead customers in any way. I understand that I can use mass media advertising, and that all mass media advertising must be taken from www.iwillelevate.com under the approved advertising section. MassMedia advertising consists of: T.V., Radio, Newspaper, Web Page, Direct Mail, or any publication of 500 sets or more.

The effective date of this Agreement shall be either the date that a computer record of a temporary account is set up with the Company prior to the submission of this agreement, or the date this agreement is received and accepted by the Company and a computer record is established.

Affiliate agrees to effectuate and promote the retail and direct sale of Elevate Rep Services LLC or any other Provider that Elevate Rep Services LLC currently sells or distributes in accordance with the terms and conditions of this agreement. Affiliate understands and agrees that he/she must be in good standing and not in violation of the terms of this agreement in order to be eligible for commissions and bonuses.

Affiliate shall comply with all applicable federal, state and local laws, statutes, regulations and ordinances in relation to Providers that Elevate Rep Services LLC currently sells or distributes.

I understand that any Affiliate wishing to establish a Call Center will be calling “on behalf” of Elevate Rep Services LLC and must complete additional Call Center forms and screening. All Call Centers must have Call Compliance/Teleblock as their Call Blocking technology. Call Centers must have an internal DNC process and have documentation of this DNC process for Elevate Rep Services LLC to have on file. As an Affiliate calling “on behalf” of Elevate Rep Services LLC, all DNC related issues will be the sole responsibility of the Indepen-dent Call Center and not Elevate Rep Services LLC. All calls made “on behalf” of Elevate Rep Services LLC must be placed on DNC certified phones. Elevate Rep Services LLC reserves the right to inspect all Call Centers calling on behalf of Elevate Rep Services LLC to ensure that all policies and procedures are being followed.

Affiliate acknowledges and agrees that he/she is an Independent Contractor and is not an employee, agent, or legal representative of Elevate Rep Services LLC or of any other Provider that Elevate Rep Services LLC currently sells or distributes. Nothing in this agreement is intended or shall be deemed to constitute a partnership, agency, employer-employee, or a joint venture relationship between the Independent Contractor and Elevate Rep Services LLC.

Affiliate understands and agrees that as an Independent Contractor, he/she will be self-employed, be subject to entrepreneurial risk, pay his own license fees, any insurance premiums, be responsible for all costs of his/her business, including but not limited to: travel, entertainment, office, clerical, legal, equipment, accounting, and general expenses, without advances, reimbursement, or guarantee from the company.

Affiliate agrees to pay any self-employment taxes required by federal, state, and local law, statutes and regulations, including the proper collection and payment of sales tax on retail sales.

Affiliate certifies that the information provided by him/her in this agreement is accurate, complete, and agrees that the provision of false or misleading information authorizes Elevate Rep Services LLC, at its election, to declare this agreement void from its inception. Affiliate also certifies that the social security number listed in this agreement is his/her correct tax payer identification number for United States income tax purposes and that the Affiliate is a permanent resident of the United States of America.

Affiliate agrees that he/she shall not make any statements, claims, representations or warranties regarding Elevate Rep Services LLC or any provider that Elevate Rep Services LLC currently sells or distributes unless they are in official Elevate Rep Services LLC promotional materials produced and distributed by Elevate Rep Services LLC.

Affiliate shall indemnify and hold harmless the Company, its shareholders, its officers, directors and employees, from and against any claim, demand, liability, loss, action, causes of action, costs, or expenses (not including but not limited to reasonable attorney’s fees) arising out of or alleged to, with, or related to, his/her representations, acts, or operations, including those caused by negligent and intentional acts, which are in violation of this integrated agreement. Elevate Rep Services LLC shall not be liable for any special, indirect, direct, incidental, punitive or consequential damages, including loss of profits, arising from or related to, Affiliate's breach of this agreement.

Affiliate acknowledges that important terms and conditions of this agreement are incorporated by reference to other agreements.

Affiliate agrees that he/she is subject to the provisions of the incorporated agreements.

I ACKNOWLEDGE THAT I HAVE HAD THE OPPORTUNITY TO REVIEW THE AFFILIATE AGREEMENT AND OBTAIN LEGAL ADVICE FROM MY LEGAL COUNSEL. I ACKNOWLEDGE THAT I HAVE ENTERED INTO SUCH AGREEMENT VOLUNTARILY OF MY OWN FREE WILL AND CHOICE AND WITH FULL KNOWLEDGE OF ITS CONSEQUENCES AND IMPLICATIONS.
