    AGREEMENT SCHEDULE

    ARTICLE I PURPOSE1. The purpose of this Intergovernmental Setvice Agreement (IGSA) is toestablish a forma1 binding relationship between the U.S. Immigration &Naturalization Service (INS) and the County of Hudson County, NewJersey (Contractor) fo r the detention of aliens of all nationalitiesauthori2ed to be detained by INS in accordance with the Code of FederalRegulations, Title 8, Aliens & Nationality Act and related criminal statutes.2. This Agreement sets forth the responsibilities of both INS and theContractor regarding services to be performed and reimbursement whenthose services have been performed. There is no obligation, expressed or

    implied, on the part of INS to utilize the Contractor's facility nor on thepart of the Contractor to accept detainees.ARTICLE n . COVERED S E R V l C E ~ 1. The Contractor will provide housicg, safekeeping. subsistence and otherservices for INS detainee(s) within its facility (or facilities), which shall be. idenified by letter amendment(s) hereto and incorporated herein,consistent with the types and levels of services and programs routinelyafforded its own population, and fully consistent with all applicable laws!standards, policies, procedures and court orders applicable to its facility (orfacilities), unless or as specifieally modified by this Agreement. The unit of

    service will be the Detained Day and the oost as agreed to by the parties isSEVENTY-SEVEN and NO/tOO ($77.00) DOLlARS per Detained Day.The type of detainees W111 be non-juvenile males and females. Theduration of scIVice to be provided will be overnight holds, d a i 1 y ~ and longterm, not to exceed 120 days without contacti.ng the Contractor forapproval. .ARTICLE UI SupPORT AND MEDICAL SERVICES1. The Contractor will provide housing, safekeeping, subsistence and otherservices for INS detainee(s) within its facility (or facilities) consistent Withthe types and levels of services and programs routinely afforded its own

    provide all necessaty security and transportation services, when directed orauthorized by the INS, except as required in an emergency situation. tomove IN S detai.Jlee(s) to medical or other appropr iate facilities.The Contractor further agrees to notify the INS as soon as possible ofemergency medical cases requiring removal of detainee(s) from its facility.(o r facilities). Prior authorization will be obtained from INS when removalis required for any other medical services that may be required at loc.a1clinics or hospitals.Such transportation and security services shall be performed by qualified,sworn law enforcement or correctional officer personnel employed by theContractor and under its policies, procedures and authorities. TheContractor agrees to augment such practices as may be requested by tbeINS to enhance specific requirements for security, prisoner monitoting.visitation and contraband control.

    4. The Contractor agrees to invoice INS for all costs associated with hospitalor health care services specifically provided to any INS detainee(s) outsideof the Contractor's facility, with the regular monthly billing to INS fordetention services. In this case, the Contractor arranges for the health carefacility, consultant health care provider. and other health care vendorand/or suppliers. They will invoice the Contractor for services provided at, rates no greater than those applicabJe for nonINS detainees in the custodyof the Contractor, and then after payment of these invoices, submit forreimbursement payment from INS. INS shall include reimbursementpayment to the Contractor for the hospital and health care servicesprovided to INS detainee(s)aIong with the monthly payment for detentionsetvices. The Contractor shall submit invoices for hospital and health careservices to INS within sixty (60) days after the services were rendered.Documentation must be provided in order to support INS payment ofthese costs.

    ARTICLE IV - RECEIPT. DISCHARGE AND POPULATION LEVEL1. The CDntractor agrees to receive and discharge INS detainee(s) only fromand to properly identified INS officcr(s) and, with prior authorization fromthe designated INS point(s) of contact, to other properly identified Federallaw enforcement officials. Admission and discharge of INS detainee(s)shall be fully consistent with the Contractor's policies and procedures, andshall ensure positive identification and recording of bolli detainee(s) andofficer(s).2. INS detainee(s) shall not be released from the facility into the custody of

    other Federal, state or looaJ officials for any reason, ~ c e p t for medical oremergency situations. without the express authorization of INS.The Contractor retains the right to reject or request the removal of anydetainee(s) exhibiting violent or disruptive behavior.

    ARTICLE V - PERIOD OF PERFORMANCE1. This Agreement shall remain in effect indefinitely until term.i.Qatedby

    either party. Should conditions of 8.1] unusual nature occur, making itimpractical or impossible to house detainee(s), the Contractor mayterminate, suspend or restrict the use of the facility by giving written noticeto th e INS. Such notia will be provided sixty (60) days in advance of theeffective dates of formal termination and at lease thirty (30) days inadvance of a suspension or restriction of use unless an emergency situationrequires the immediate relocation of detaiJlee(s).

    ARTICLE VI ECONOMIC PRICE ADJUSTMENT1. Payment rates shall be established on the basis of actual costs associatedwith the operation of its facility (o r facilities) during the latest aIlllualaccounting period for which data is available or for which a formal report

    or audit was issued. or as provided for in an approved annual operatingbudget for detention facilities.

    2. The Federal Government shall reimburse the Contractor at the fixed dayrare identified in Article n. The rate may be renegotiated not more thanonce per year., after the Agreement has been in effect for twelve months.The effective date of any rate adjustment will be negotiated and specifiedon the IGSA Modification form approved and signed by an INSCOntracting Officer. The effective date will be established on the first dayof the month for accounting purposes.

    3. Payments at the modified rate will be paid upon the return of the signedmodification by the authorized local official to the JNS.4. The rate covers one (1) person per "Detainee Day". The Federal

    Government may not be billed for two (2) days wheD a detaiDee isadmitted one evening and removed the following morning. The Contractormay bill for the day of arrival but no t for the day of departure. A detaineeday is defined as a 24 bour period starting at book-in time.

TheContractor agrees to provide the necessary C05t information to support therequested rate increase and to permit an audit ofacc.ounting records uponrequest of INS. Criteria used to evaluate the increase or decrease in theper.capita used to evaluate the increase or decrease in the pet-capita rateshall be those specified in the OMB Circular A-87. Cost Principles forState and Local Governments or other guidance as revised, or inacx:ordance with superseding guidanre.Unless other justifiable reasons can be documented by the Contractor, anyper diem rate increases shall not exceed the National Inflation rate asestablished by the U.S. Department of Commerce. .

    4. A proper invoice shall be submitted monthly. in a r r e a ~ . to the officeidentified in Paragraph 1, above. To constitute a proper invoice. it mustinclude the name, address, and phone. number of the official designatedpayment office. It shall list each detaineet the specific dates of custody foreach, the total number of days (or which reimbursement is sought, theagreed-upon detainee.day rate. and the total amount billed. TheAireement number shall be stated on all invoices submitted to INS forfinal payment.

    ARTICLE VIII MODIFICATIONS AND DISPUfES1. Either party may initiate a request for modifications to this AgreementSuch requests must be .submitted i l l writing. and approved in writing by aRegional Cootracting O f f i ~ r a n d the Contractor. The IGSA constitutes

    the entire agreement between the two parties, and that actions by partiesother than those identified or designated withia the Agreement will notserve to bind, or incur liability on behalf of either party. -

    2. Disputes, questions, or concerns pertaining to this Agreement shall beresolved between the INS and the appropriate Contractor official. Noresolution may explicitly or implicitly alter the terms and rates contained inthis Agreement unless approved by formal modification by a RegionalContracting Officer. Unresolved issues are to be directed to theContracting Officer, Eastem Regional Office, 70 Kimball Avenue, SouthBurlington. Vermont 05403..os13.

    ARTICLE IX INSPECJ]ON AND TECHNICAL ASSISTANCE1. The Contractor agrees to allow periodic inspections of the facility by INS.

    The sole purpose of said inspections will be to insure a minimallyacceptable level of services and acceptable conditions of confinement underthis Agreement. Findings of the inspection will be shared with the facilityoperations, conditions of confinement and levels of services. TheContractor is required to promptly disclose to the designated INS point ofcontact any and all public results OJ. copies of facility (or facilities)inspections. reviews, surveys or other forms of examinations.

    ARTICLE X - AVAlLABILllY OF FlIN1!S1. The Government's obligation under this Agreement is contingent upon theavailability of appropriated funds from which payment can be made. Nolegal Iiability on the part of the Government (o r any payment may ariseuntil such funds ar e made availabJe.

    ARTICLE XI EMPLOYMENT OF PNAtmfORIZED ALIENS1. Subject to existing laws, regulations, Executive Orders, and other provisionsof this Agreement, aliens unauthorized to be employed in the Unites Statesshall not be employed by the Contractor, or its subcontractors, to work on,under, or with this Agreement. The Contractor shall ensure that thisprovision is expressly incorporated into and all subcontracts or subordinate

    agreements issued in support of this Agreement.ARTICLE XII CONTRACTING OFFICER'S TECHNICAL gEPItESENTATIVE1. Annette Ramirez is the Contracting Officer's Technical Representative(COTR) for this Agreement In the event the caTR is changed. INS willinform the Contractor in writing of the identity of the replacement2. Th e COTR is respOnsible for: reoeiving all deliveries; inspecting andaccepting the services provided hereunder in accordance with the terms

    and conditions of this Agreement; providing direction to the Contractorwhich clarifies the Agreement's effort, fills in details or otherwise seIVes toaccomplish the Agreement 's requirements; evaluating performance; andcertifying all invoiceslvouchers for acceptance of the services furnished forpayment prior to fotwarding the original invoice to the payment office.3. The COTR does Dot have the authority to alter the Contractorsobligations under the Agreement, direct changes that fall within thepurview of the Contracting Officer and/or modifY any of the e;xpressedterms, conditions, specifications, or cost of the Agreement. I f as a result oftechnical discussions it is desirable to alter/change obligations orrequirements, the Contracting OffiCer shaD issue such changes in writingand shall execute same in behalf of the INS.ARTICLE X1U ..     The purpose of this modification is to change the detainee day rate from $77 to $90 per day andto change the hourly'guard rate from $23.76 to $35.     subsequent modifications utilizing all applicable federal procurement laws, regulations and standards inarriving at the detainee day rate. Future rate proposals shall be prepared using the ICE JailServicesCost Statement in accordance with the OMS Circular A-87.DHS/ICE shall reimburse the Service Provider at the fixed detainee day rate shown above.
